RESOLUTION OF THE CITY COUNCIL OF THE CITY OF PETALUMA, CALIFORNIA
APPROVING A CERTAIN DISPOSITION AND DEVELOPMENT AGREEMENT
BY AND BETWEEN THE PETALUMA COMMUNITY DEVELOPMENT COMMISSION AND
HENRY C. HANSEL AND MARILYN J. HANSEL, HUSBAND AND WIFE,
AND STEPHEN E. HANSEL AND CAROL HANSEL, HUSBAND AND WIFE,
AND ADOPTING A MITIGATED NEGATLVE DECLARATION PERTINENT THERETO
(PETALUMA COMMUNITY DEVELOPMENT PROJECT AREA)
WHEREAS, the Redevelopment Plan for the Petaluma Community
Development Project (the "Redevelopment Plan") was approved and
adopted by the City Council of the City of Petaluma (the "City
Council") by Ordinance No. 1725 N.C.S., dated July 18, 1988; and
WHEREAS, the Redevelopment Plan provides for the redevelopment of
real property pursuant to the Redevelopment Plan by owners thereof
or by parties seeking to acquire real property from the Petaluma
Community Development Commission (the "Commission"); and
WHEREAS, Section 33391 of the Community Redevelopment Law (Part 1 of
Division 24 (commencing with Section 33000) of the Health and Safety
Code of the State of California) (the "Act") provides that a
redevelopment agency may acquire any real or personal property
within a redevelopment project area or for the purposes of
redevelopment and Section 33430 of the Act provides that a
redevelopment agency may dispose of any real or personal property
within a redevelopment project area or for the purposes of
redevelopment; and

WHEREAS, the Petaluma Community Development Commission (the
' "Commission") and Henry C. Hansel and Marilyn J. Hansel, husband and
wife, and Stephen E. Hansel and Carol Hansel, husband and wife,
(collectively, the "Redevloper") desire to enter into a certain
Disposition and Development Agreement (the "Agreement"), a copy of
which is on file with the Commission Secretary and is incorporated
herein by reference, pursuant to which, among other matters, the
Redeveloper would acquire from the Commission a portion of the
Hansel Site which is described in Exhibit "A'° attached hereto and
incorporated herein by this reference and which is further defined
in the Agreement as the "Disposition Parcel." The Hansel Site is
located within the area subject to the Redevelopment Plan (the
"Project Area"). The acquisition would be for purposes of the
redevelopment thereof, as described in the Agreement, including
construction by the Redeveloper on the Hansel Site, which consists
of approximately five hundred thirty-five thousand seven hundred
eighty-eight (535,788) square feet (subject to changes caused by a
later survey), of building, parking, and landscaping area for the
development of a commercial retail automobile center (the
"Project"); and
WHEREAS, the Commission Staff has prepared and made available for
public inspection a certain Summary Report (the "Summary")
concerning the proposed Agreement, as required by Health and Safety
Code Section 33433, a copy of which is on file with the Commission
Secretary and is incorporated herein by reference; and
WHEREAS, the Commission and the City Council duly considered,
certified and adopted an Environmental Impact Report (the "EIR") at

the time of the approval of the Redevelopment Plan, and the
redevelopment of the Hansel Site as described in the proposed
Agreement is within the scope of the Redevelopment Plan and the EIR,
both of which adequately describe the proposed redevelopment of the
Hansel Site as set forth in the proposed Agreement; and
WHEREAS, staff for the City of Petaluma and the Agency
(collectively, "Staff") have prepared an Initial Study of the
Project as set forth in the Agreement and based upon the Initial
Study, Staff have prepared a Mitigated Negative Declaration (the
"Negative Declaration") regarding the Project, a copy of which is
attached hereto as Exhibit "B" and is incorporated herein by
reference., in accordance with the requirements of the California
Environmental Quality Act, Public Resources Code Section 21000,
e~ s_.g . ("'CEQA'°) ; and
WHEREAS, the City Council has duly noticed and conducted a public
hearing in accordance with the requirements of Health and Safety
Code Section 33433 concerning the proposed sale of the Disposition
Parcel by the Commission to the Redeveloper pursuant to the proposed
Agreement, and concerning the proposed adoption of the Negative
Declaration in accordance with the requirements of ("CEQA"); and
WHEREAS, the Commission has duly noticed and conducted a public
hearing in accordance with the requirements of Health and Safety
Code Section 33431 concerning the proposed sale of the Disposition
Parcel by the Commission to the Redeveloper pursuant to the proposed
Agreement, and concerning the proposed adoption of the Negative
Declaration in accordance with the requirements of CEQA; and

WHEREAS, based upon evidence and testimony submitted to the
Commission, it is reasonable and appropriate for the Commission to
approve the proposed Agreement.
NOW, THEREFORE, BE IT RESOLVED, BY THE CITY COUNCIL OF THE CITY OF
PETALUMA, CALIFORNIA, AS FOLLOWS:
Section 1. The City Council hereby finds and determines that the
EIR pertaining to the Redevelopment Plan was properly and lawfully
certified and adopted by the Commission and the City Council at the
time of the adoption of the Redevelopment Plan. The City Council
further finds and determines that the development of the Hansel Site
as described in the proposed Agreement is within the scope, terms
and provisions of the Redevelopment Plan and the EIR, and the EIR
adequately describes the proposed development of the Hansel Site for
purposes of compliance with CEQA. The City Council further finds
that no new effects could occur and no new mitigation measures would
be required for the proposed redevelopment of the Hansel Site as
described in the Agreement separate from those effects and
mitigation measures set forth in the EIR, and that there are no
substantial changes which have occurred since the certification of
the EIR with respect to the circumstances under which the proposed
redevelopment of the Hansel Site is to be undertaken. The City
Council further finds and determines that no new information of
substantial importance with respect to the proposed redevelopment of
the Hansel Site has become available since the certification of the
EIR. The City Council has duly considered the EIR for purposes of
its consideration of the proposed Agreement, in accordance with the
requirements of CEQA.

'Section 2. The City Council hereby further finds and determines
that the Project as set forth in the Agreement will not have a
significant effect upon the environment, and the City Council hereby
approves and adopts the Negative Declaration, a copy of which is set
forth in Exhibit "B."
Section 3. The City Council hereby accepts and approves the
Summary.
Section 4. The City Council hereby finds and determines that the
consideration to be paid by the Redeveloper to the Commission for
the conveyance of the Disposition Parcel pursuant to the Agreement
is not less than the fair market value of the Disposition Parcel.
However, in accordance with the terms and provisions of the
Agreement, the Commission will be required to make certain future
payments to the Redeveloper. To the extent that the sale of the
Disposition Parcel by the Commission to the Redeveloper pursuant to
the proposed Agreement may be deemed to be for less than the fair
market value thereof, the City Council hereby finds and determines
that the conveyance of the Disposition Parcel for less than fair
market value is reasonable and necessary to effectuate the purposes
of the Redevelopment Plan, in that the conveyance for less than the
fair market value will permit the Redeveloper to acquire the
Disposition Parcel for redevelopment and in order to eliminate
blight, to create employment opportunities, to increase the value of
real property in the Project Area and to cause the City and the
Commission to receive additional tax revenues as a result of
redevelopment. Absent the conveyance of the Disposition Parcel for

less than fair market value, the Redeveloper would likely not
proceed with the purchase thereof and redevelopment of the
Disposition Parcel due to the resulting inability of the Redeveloper
to obtain a reasonable economic return on its investment therein.
Section 5~. The City Council hereby approves the proposed
Agreement and the conveyance of the Commission's interest in the
Hansel Site by the Commission to the Redeveloper.
Section 6. This Resolution shall take effect upon adoption.

Project Description:
The .Petaluma Community pe~elopment Commission, acting in accordance with
the Redevelopment Plan for the Petaluma_ Community Development Project,
proposes to enter- into. ;separate Disposition and Development. Agreements
with Benson Investments, :Inc.. , and Henry Hansel, ~et al (the "Agreements")
for the- purpose of establishing a retail new automobile center to be known
as the Petaluma .Auto Plaza (the "Auto PIaza!'). 'The Developers (Benson
and .H'ansel) in conjunction with. Guardian B'u'ilders, acting as the Project
Manager, will construct nine (9) automobile dealerships, including all
necessary buildings, parking lots, landscaped areas. and .certain enumerated
,pub-lic improvements .over a period of .four (.4) years from the -execution date
of the Agreement In retur-n, the Petaluma Community Development
Commission will provide specific financial and. certain• other incentives as set
forth; in the Agreements..
`The project site is located in the northwest quadrant of the City of
Petaluma, °and generally bounded by U.S. Highway 101 on the ~ east,
Tndustrial Avenue "on the west and Old Redwood Highway on the. north and'
Corona Road on the south . Total area, of the. auto center site is
,approximately 3'6.7 acres,.. All of properties that comprise the site ar.e part
of an ,area commonly known as the Rancho Arroyo Business Park: an
indu`stra•1 park of predominately office and' warehouse type uses. The
pr.operfes are. presently zoned Planned Community District (PCD) , which
:allows new car dealerships: as a conditional use.

This provision was added to the original PCD regulations in 198.6. It was
recom'mend'ed by the. Planning Commission and subsequently approved by the
City Council in July 19.86 (Res. No. 86-188 N.C.S.). Development of the
Auto Center will be subject tq project' specific; PCD zoning regulations to be
approved by the: Planning Commission and City Council following execution
of the Agreements.
Petal':uma General Plan hand use des.i,gnations :for the proposed Auto Plaza
properties are Thoroughfare Commercial and Special Commercial,
respectively. Development of an auto center is consistent with both
designations. The definition of Special Commercial, in fact, specifically
designates th's site for auto dealerships only (.Petaluma General Plan, p.
3`5) . A General Plan amendment will :not be necessary in order to
accomplish this project.:
Finding of No Significant Environmental Effect:
In acting to approve 'the Agreements described above, the Petaluma
Community Development. Commission has determined That the project, as
originally proposed, would have had. potentially significant environmental
effec:ts., but that,, based on Section 2'1080 (c) of the California
Environmental Quality ..Act (CEQA) and Section '1'5070 (b) (1) of the CEQA
G.uidel'nes, and the .results of an Initial Study prepared on August '25, 1988
and attached :hereto, certain mitigation measures .have been incorporated
into plans for the project which eliminate such potentially significant
environmental effects., As a result, the Commission deems it appropriate to
approve and issue: a Mitigated Negative peciaration. based on the following.

1,. Revisions in the. project plans or proposals; made by or agreed to
by the ap,pl`eant before the proposed Negative Declaration is
released ,for' public -review would avoid the effects or mitigate the
effects to a ,point where clearly no. significant effects would
oc,ctr^, and

Mitigation :Measures :.
The following mitigation measures ..are: proposed to avoid any significant
enyi•ronmen~tal "effect's;:
1, A" foe.use'd:"traffic, stu-dy has been prepared and adequately
addresses the improvements needed fo minimize potential traffic
impacts
2. De~elopmen:t of the' project site, which is in a -flood plain and
subject- to flooding: :in a 100-year storm:, shall be consistent with
the analysi's', findings and mitigations of the Environmental Impact
Report for' the Rancho Arroyo Business :P-ark {EIR entitled "North
Petaluma Center'") calling for designated on-site detention of peak
storm-runoff... In addition, alh appl"icab e development shall be
subject to payment of `Storm Drainage Impact m'i'tigation fees that
contribute to the cost of an eventua"1 aon.g-term resolution of the
flooding. ,problems along the .`Petaluma River, as well.' as the City!s
buildin-g pad elevation and "zero net-fill" flood plain policies.
3. The Agreements bind the pevelop.ers to provide pecfi'ed public
improvements such as streets, treet li'ghts' traffic signals,: storm
dr'ains' utilities„ flood control;, curbs, gutters, sidewalks,
landscaping, sewers. as well .as payment of all applicable City
development. fees..
4., The Agreements also contain stringent Conditions,. C'ovenants' .and;;
R'estri'ctions that obligate. the individual dealerships. to improve
and. rnaintai'n their respective sites in a. mariner consistent with
.city policy :an"d compatible' with surrounding uses.
5. Specific project development plans w"il be subject to applicable
review and ..approval by the Petaluma Planning Commission, City
Council, Site Plan and Architectural Review- Committee an°d the
var-ious City' departments. Public hearing will be held where
appro.p"rid-te and required by law and ubject to legal public

d'evelop'ed 'n, aceor•dance with City policy and pertinent public
testimony s-hall be applied to s'ai~d projects where deemed
.appropriate and; in aceoxdan:ce with the Agreements or any other
