Compensation;l3usinesS Tax-Certificate. A For the perfohnance of the Services as-described herein, City shall compensate Consultant undef4he following terms: in accordance with Attachment A-1 in Exhibit "Ar'ScoPe of Services- B. Consultant Shalt submit,detailed.monthly invoices reflecting all,sennces performed during theprecedingimonth, and including a revised schedule for performance and additional requested by City,as applicable-. Consultant shall not directly or indirectly disclose, or.use,any such confidential information, except as required for the performance of the Services. 12. Conflict of Interest. Consultant represents that.it;�presently has no interest,.and covenants that shall not acquire any'interest, direct or indirect,'financial;4or otherwise, which would conflict in any manher or degree:with the performance;of the,Services°hereunder or with any applicable, ethical laws. Consultant further covenants that, in the, performance of'this Agreement, it shall not employ any;subcontractor or person-having such aconflict of interest: Consultant represents that no one who has or will have any financial interest under the Agreement is an officer°or employee of City; It such;conflict;of interest arises during;this gr any extension, Consultant will immediately advise City and City'may, at its Agreement or sole;'discretion;ithrinediately.tarninate thiS Agreemient. 13. .Consultant No Agent • Except as City may specify in writing;,Consultant shall have no authority,express or implied,to act on behalf of City'in any capacity whatsoever as,an.agent. Consultant shall perform all,the Services inamanner consistent with the standards of'Consultant's profession. Assignment/Transfer._ No assignment or transfer in whole or impart of this Agreement shall be made without the:prior written consent of City. Consultant acknowledges that this Agreement involves rendering a vital service to City, ankihnt City has selected consultant to perform 'serYicesi specified herein',;based.on the Consultant's experience, staff; skill; and reputation; in conducting its municipal wastewater solids hauling and reuse or disposal operations;; and Consultant's financial resources to,maintain the required equipment and reuse: and =disposal :facilities and to support its indemnity obligations to. City under this agreement. For the purposes of.this, Section, the term "proposed assignee" shall refer to the proposed transferee(s) 'or other successor(s) rn the interest pursuant't 'the assignment. If Consultant requests'City's consideration of and 'conseritto an-assignment or transfer; the City..maydeny or approve,suchirequest in-its sole discretion: The City does not have to consider a-request;by Consultant'for consent:to an assignment until the Consultant has met the'following.requirements: A. Consultant shall andertake,to pay City its reasonable.expenses for,attorney's+fees and other consultants'fees•andiinvestigation,costs necessary to investigate the;suitability • Of;any' ro" osed,assignee, and to review and;finalize any documentation required as,a P p condition for:approving•any such assignment,' $: Consultant dfurnish City with, audited'financidi statements of the proposed assignee's operationsfor the immediately preceding three operation years; C: Consultant shall';furnish City with satisfactory proof '(i) that the proposed assignee has at ,least 5 years of experience in providing the Services described in these Agreement.Documents on• a scale-equal, to or exceeding the scale of municipal wastewater ssolids 'hauling and reuse or disposal operations conducted by the Consultant tinder this Agreement; (ii),that'in the last, ;years the proposed assignee has;_not suffered. any citations or other censure from-any Federal, State or ,local contractor having jurisdiction over,itstmunicipal wastewater solids,hauling:.and reuse or'disposal operations due.to any:significant`failure to comply with state, Federal-or local;laws and that the proposed assignee has,providedthe City'with•a•complete list Of•such citations and ,censures, (iii) that the proposed assignee has at all tittles conducted its ioperations in an environmentally'safe and,conscientious fashion; (iv) that the proposed'• assignee conducts its wastewater solids hauling and:reuse or ,disposal management practices in accordance with sound wastewater solids - management practices in:fiill compliance with all applicable state,. Federal,and local laws, and'(v);that- any .other information required by City demonstrates that the proposed assignee can fulfill they terms• of this Agreement in a timely, safe, and effective manner;; Under no.circumstances shall any proposed,,assignment or transfer be considered by-City if Consultant isan default;at•any?time'during the-period of consideration.•16. Subcontractors. 'Consultant shall directly perforrh•.all Services; and shall'not subcontract any portion:'of performance of the Services without the prior written•consent of City; Any such subcontractors shall berequired t'o comply, to the full extent applicable, with the,terms and conditions:/of this,Agreement including but not limited to; procuring:•and maintaining insurance.coverage as required•herein:and Which shall name City as an-additional insured. • '1'8. Living Wages[ The.Consultant shall acknowledge:receipt fif a copy ofthe City's Living Wage Ordinance ("Ordinance") included as Exhibit D'which isi-attached'hereto and!made a pare;cif this Agreement: The Consultant shall complete and sigh the 'City form entitled 4 PROFESSIONAL SERVICES AGREEMENT(City) March 2009 • Attachment 3 and compliance with the City's Living Wage Ordinance.for'the Services described in this Agreement upon written'request from the City: 19. Faithful:Per`formance,Bond. The.Consultant shallprovide'the City,,upon,execution of this Agreement, a;geed and sufficient.corporate!surety;bond in the penal sum of$300,000.00, which bond Shall be,on.the forms provided by the CITY in Exhibit C of this Agreement ("Bond ),"andi`be conditioned upon the faithful performance of the Services and fulfillment of all of the Consultant''s_obligations under the Agreement. The Bond ;Mist be properly ,cxecuteet by it corporate surety that is an admitted surety insurer:,in the Staterof California and acceptable to-;the City in-accordance with applicable law. The term of the Bond shalfbe at leasfoneyear from the Effective Date of this Agreement The Bond must'be,renewed';by the Consultant atthe Consultant's sole expense so that the Bond remains in full force and;effect throughout the Term of this Agreement, as specifiedsin Section 3, including any renewal periods approved bythe City,;and for one year following the expiration orterminationof this Agreement. Throughout the Agreement Term, and for one year'followingrthe expiration or termination of the Agreement, the'Consultant must renew the Bond, and'provide the City proof of Bond renewal„acceptable;to the City, at least 30 days:prior to the expiration of the Bond The consultant's obligations to timely renew the bond and to provide the City acceptable'proofof timely bond renewal are material obligations under-this Agreement and securedbythe'Bond. 20. Compliance With Al 'Laws. Consultant shall fully,comply with all applicable local, state and federal rules, laws, regulations: and ordinances pertaining to the performance of the Services:required hereunder: To the extent that;any-othengovernment agency or entity provides compensation' for any Services,: Consultant: shall comply with all rules and regulations appli cable to such,fiscal,assistance. 21. Discrimination. During the performance of this Agreement, Consultant shall, not discriminate:against any employee or applicant for:employment because of race,'religion, creed,1color,'national origin, ancestry, gender, sexual orientation, age or physical or mental disability in violation cif'anyapplicable law. 22: Notice ,Except as otherwise specified in this Agreement;.all notices to be sent pursuant to this;Agreement shall be•made'in writing, and sent to the Partrties'at their respective addresses specified below or to,suclrotherjaddress as a;Party may designate by written notice delivered to the other Party in:accordance with this Section. All original papers, documents,or computer material on disk or microfilm, and copies thereof; produced as a result of this Agreement, shall be the property of City and may not'be used byConsultant without the written consent of City. Copies of such documents or papers:shall not be disclosed to others'without the written consent of the CityManager or his;or her designated'representative. 24. Indemnification. Consultant,shall indemnify, defend with counsel acceptable to,City,and hold:harmless City°and:its officers, officials, employees, .agents and'volunteers from and against any and all liability,loss, damage, claims, expenses, and costs (including, without limitation; attorney'srfees and-costs and fees;'of.litigation) (collectively, "Liability") of every nature arising out'of or in connection^with Consultant's performance of the Services or its failure,to comply with any of its obligations contained in this.,Agreement.
