RESOLUTION AUTHORIZING THE MAYOR OR
CITY MANAGER TO ENTER INTO AND SIGN
AN AGREEMENT WITH WHEELER & ASSOCIATES
FOR REVIEW APPRAISAL SERVICES AT
154 WILSON STREET
BE IT RESOLVED THAT the Mayor or City Manager is hereby
authorized to enter into and sign an agreement with the firm of Wheeler and
Associates for Review Appraisal services at 154 Wilson Street; and,
BE IT FURTHER RESOLVED the estimated cost of such services is as
outlined in Exhibit A, is $1,200.00
Under the power and authority conferred upon this Council by the Charter of said City.

AGREEMENT FOR REVfiEW APPRAISAL SERVICE'S (ACQUISITION)
THIS AGREEMENT, dated for convenience as of .January 21, 1986,
19.8. , by and between the City of Petaltnna, County
of Sonoma, State of California, hereinafter referred to as
the "Agency" , and ~- Terry Wheeler - _~- "
to as the "Review Appraiser"
W I .T N E S S E T H:
hereinafter referred
WHEREAS, the Agency proposes to acquire certain real
_property commonly known as A.P. O~'/,~ and
WHEREAS, Agency desires that the Review Appraiser furnish
it certain services with respect to such property, including a review
of the appraisal of the property obtained'by the Agency; and
WHEREAS, the Review Appraiser represents that he is fully
qualified to perform such services and will furnish such services
personally; and
WHEREAS, the services to be provided under this Agreement
are necessary to achieve the purposes of the Community Development
Block Grant Program and the Uniform Relocation Assistance and Real.
Property Acquisition Policies Act of 1970 (Uniform Act);
NOW, THEREFORE, the Agency and the Review Appraiser, for
and in consideration of the mutual .promises contained herein and
under the conditions hereinafter set forth, do agree as follows:
I. SCOPE OF SERVICES.
(a) EVALUATION OF APPRAISAL: The Review Appraiser shall review
the appraisal`obtained by the Agency for the real property to be
formally identified in a Notice to Proceed to be issued by the Agency

to the.-Review Appraiser; such property commonly referred to as
Assessor's Parcel Number ~ ,- in the City of Petaluma,
California.
In his review of the appraisal, the Review Appraiser shall deter-
mine the adequacy of the initial appraiser's supporting data and
documentation; the soundne,ss.of the appraiser's reasoning; whether
the appraisal conforms with recognized appraisal practices; the
appraiser's compliance with the requirements of the appraiser's
Agreement for Appraisal Services; and the correctness of the
appraiser's opinion of the fair market value of the property. At
the time the Agency furnishes the Review Appraiser with a Notice.
to Proceed-under this Agreement, the Agency shall furnish the Review
Appraiser with a copy of the appraiser's Agreement with the Agency
and with a copy of the appraiser's report.
The Review Appraiser shall require the appraiser to make any
necessary corrections in his report.
(b) .REVIEW APPRAISER'S REPORT: After the appropriate corrections,
if any, have been made to the appraisal report, the Review Appraiser
shall set forth in a written report his recommendation as to the
fair market value of the property. The Review Appraiser's report
shall identify the appraisal report reviewed, •and shall fully explain
the basis for his recommendation.
The Review Appraiser shall furnish .the Agency three signed
copies of his report , addressed to the attention of Jane Walsh "°

The Review Appraiser shall submit a single invoice for payment to the
Agency upon completion of .his written ..report. Payment by the Agency
will occur upon acceptance and approval of the review appraisal
report.
The Review Appraiser shall address his invoice to:

III. TIME OF PERFORMANCE.
The Review Appraiser shall complete the review appraisal within
fourteen (14) calendar days of receipt of the Agency's written
Notice to Proceed.
IV. MERGER.
This writing is intended both as the final expression of the
Agreement between the .parties :hereto with.re pect to the included
terms and as a complete and exclusive statement of the terms of the
Agreement, pursuant to C.C.P. §1856. No modification of this Agree-
ment shall be effective unless and until such modification is
evidenced by a writing signed by both parties.
V. INDEMNIFICATION.
The Review Appraiser shall indemnify, hold harmless and defend
the Agency, its agents and employees from and against any and all
actions, claims, damage`s, disabilities or expenses including
attorneys' fees and witness costs that may be asserted by any person
or entity, arising out of or in connection with the activities
necessary to perform the services and complete the tasks provided
for herein, whether or not there is concurrent passive or active
negligence on`the part of the Agency, but excluding liabilities

+ due to the sole negligence or willful misconduct of Agency. This
indemnification obligation is not 1im-ted in any way by any
limitation on the amount ox type of damages or compensation payable
by or forthe services and tasks described in this Agreement or its
agency under workers' compensation Acts, disability benefit Acts, or
other employee benefit Acts.
VI. EXPERT WITNESS AND JUDICIAL PROCEEDINGS SERVICES.
Notwithstanding any item spec'if'ied in V. above., it is under-
stood and agreed between the Agency and the Review Appraiser that
the Review Appraiser may be called upon :at some time in the future
to act as an expert witness in any judic'i'al proceedings arising
from the Agency's acquisition action and to prepare for such witness
services by updating appraisal s, collecting background information,
and in other appropriate ways.
Should the Review Appraiser be required to provide said judicial
services, there shall b:e an .amendment to this Agreement which shall
set forth the services required and the agreed compensation. for said
services. In no event; hall the Review Appraiser be required to
provide said services under this Agreement as written without an
amendment to Chia Agreement..///////%/////

VII. GENERAL. .TERMS AND CONDITIONS.
The Community Development Block Grant General Terms and Conditions
are attached to this Agreement and. incorporated herein by reference.
IN WITNESS WHEREOF, the parties hereto have executed this
Agreement or caused it to be executed by their` duly authorized
representatives.

' ~ During the performance of this Agreement, the CONTRACTOR agrees
as follows.:
A. The CONTRACTOR shall not discrim mate ag-anst any employee
or applicant for employment because of race, color, religion,
sex, or national origin.. The CONTRACTOR shall take affirma-

qualifier applicants will receive consideration f.or employment
