SUBJECT: Resolution Authorizing'Execution of Professional Services,Agreement for Design
and Engineering Services for the Denman Reach Phase 3Improvements Project
RECOMMENDATION
It is recommended that the City Council adopt the;attached Resoltitionsauthorizing execution of a
Professional Services Agreement for Design-and Engineering Services with Questa Engineering
Corporation for the Denman Reach-Phase 3 Improvements Project (Attachment 1).
BACKGROUND
The provision of flood terracing,placed=within the Petaluma Watershed, in concert-with the
development of a river and:creek;front trail system has been envisioned since the adoption of the
River Access and-Enhancement,Plan in 1996 and was readopted.through the General Plan 2025
in 2008. Once completed, the'-three phases of Denman Reach creates!`an'opportunity to develop a
stewardship-program-with area businesses and residents, a concept in line with Council priority
to "Expand Adopt-A Park program".
In the fall of 2008, the City,submitted atwo-part grant application,to the State of California for
land acquisition and continuation of the•flood terrace, riparian-habitat enhancement and trail
improvements,within the Denman-Reach. The first grant application was to the Natural
• ResourcestAgency's'(NRA) River Parkways Program for $1,1'50,000,for land acquisition, which
they partiallyfunded at$850,000: The second applicationwas to the;Department.of Water
Resources''a,,(DWR) Urban Streams Restoration Program for$993,375, which was hilly funded
for design and construction. The•Sonoma,County-Water Agency (SCWA)Zone 2A.committed
matching fundssof approximately 8362,500'as authorized by Resolution No 2008-1'99. In
addition to theAbudgeted amount;of$362,500,the Zone 2Acommittee is considering including
an additional $150,000-in the SCWA's FY 14-15,budget. The•funding Agreement between the
City and the"Sonoma County Water Agency, to provide project=implementation match funds will
be presented fot-Cduneil:aufliorization ata.later..date.
Following:the grant award in 2009, the-State suspended all funding activities due;to budget
constraints. As a result; the land;acquisition G'rant,Funding Agreement with NRA was not

executed:until February 20f I.,,Since that time:appraisats have been prepared,the first priority
parcel was authorized by theState, and acquisition was°completed in August 201'3. .As directed
by Council, staff continues io seek,additional funding-to purchase public title to the-remainingj
two parcels. -Addition] funding:in the amount of$160,000 has been added to the NRA
,acquisition grant; the-NRA Funding Agreement amendment will be prepared and executed by the
State and the City. A conditional full price offer has been provided to the owners of the 2:07-
acre,parcel (Gateway Financial) and, it'accepted, willbe presented to the Council in January for
final authorization. The Grant.Agreement with the DWR for design and construction of the
project was executed.June 14,`2013.
The City is implementing-the River Plan within the Denman Reach,over three phases as grants
become available. Phases 1 and,2,extended a.flood terraceiand trail,fora distance of
approximately 1,000 feet upstream from Corona Road, over four properties purchased by the
City.with State grant funds. The-current project is the third-phase of these improvements and
extends the trail and terracing upstream across three additional properties (see Attachment 2,
location map).
Adopting the proposed Resolution addresses and implements the"following Council Goal and
Priority:

Denman Reach:
DISCUSSION
A Request for Proposals (RFP)'was prepared and distributed:to-seven primary firms and one
support services firm for design and.engineering services-for the project. Two firms partnered to
submit a proposal, three firmsideclined,to submit proposals, and the other firms did not respond.
The sole`proposal was received from,Questa Engineering Corporation with WEST Consultants,
and WRA Environmental Consultants as,sub consultants.
QUESTA completed the degigifefor Denman Reach Phases I and,2.. They have been the design
firm on a=number of flood mitigation, stream restoration, bank stabilization and related projects
throughout the Bay Area and have received awards such as the 2010.Visionary Planning for
Environmental SustainabilityfromtheSouthern'California Association of Governments;
i(SCAG).WRA, Inc. was the design firm for the City.project.at Steamer Landing Park, a riparian
enhancement and public access'projecfon'the McNearChannel.
The project has been found to be consistent with CEQA through the,adoption of a Mitigated
Negative Declaration and project approval on'September 10, 2012 (Resolution No 2012-138
N.C.S.).

Staff-reconirnends that the City,Council,approve the Professional Services Agreement for design
service in:theamountof$148,639'with QUEST-A.

FINANCIAL IMPACTS
The implementation project is priinarilyfunded`by the State Department of Water Resources
Grant and SCWA.through Zone 2A. Environmental review expenditures were approved by
Council Resolution (2008) at time,of grant application preparation. City staff will provide
management and construction oversight services;to complete the project within existing budgets.
The cost allocation spreadsheet within the adopted FY 13-14 budget will be amended to reflect
compliance with the executed Funding Agreement with the.State Department of Water
Resources.
Amount Budgeted: $2,213,000 (includes State'NRA grant for land acquisition)
Estimated Project Cost: $1,355,875 (Excluding land acquisition)
Land Acquisition: $.1,010,000 (850,000 + 160,000)

RESOLUTION AUTHORIZING EXECUTION OF
PROFESSIONAL SERVICES AGREEMENT FOR DESIGN.AND ENGINEERING
SERVICES FOR THE DENMAN'REACH'PHASE:3t IMPROVEMENTS PROJECT
WHEREAS, the City of Petaluma has adopted policies calling for the development of flood
terraces'and a riverfronttrail.system; and
WHEREAS, the City of Petaluma.has been awarded a grant from the. Department of Water
Resources in the amount of $993,375 for the design and. construction of the Denman Reach
Phase 3 project; and,
WHEREAS, the City of'Petaluma property owners contribute to the Zone 2A funding for
surface water maintenance and capital improvements within the Petaluma Watershed; and,
WHEREAS, the City has approved a capital improveme itproject in the amount of$2,213,000
for the implementation"of the DenmanReach Phase 3 project;,:and
WHEREAS, the City has received a.professional engineering proposal.from Questa Engineering
Corporation for a total price•not to exceed $148,639; and
WHEREAS, City,staff has'determined`through a competitive'RFP process that the firm, Questa
Engineering Corporation has the knowledge, skill, capability and experience to complete the
• project; and
WHEREAS, the"project was approved concurrently with the adoption of a Mitigated Negative
Declaration, through Resolution #2012-138 N.C.S. adopted by the City Council on September
10,201'2.
NOW, THEREFORE BE IT RESOLVED, that the City Council of the City of Petaluma
hereby authorizes.the City Manager to execute a Professional Services Agreement with Questa
Engineering Corporation for,the design and engineering services for Denman Reach Phase 3; in
the,amount not to exceed.$148 639.
