SUBJECT: Resolution Approving First Amendment to Professional Services Agreement with
the Petaluma Animal Services Foundation.
RECOMMENDATION
It is recommended that the City Council adopt the attached resolution approving and authorizing
the City Manager to execute the First Amendment to the Professional Services;Agreement with
the Petaluma Animal Services Foundation.
BACKGROUND
In July 2012, the City Council approved an agreement with the Petaluma Animal Services
Foundation(PASF) to provide Animal "Services in the City.of Petaluma(the.Agreement).
Section 10 of the Agreement set the maximum fees the PASF could charge during its first year of
operation. Section 10(B) specifies that, beginning August 1, 2013, fees and charges may be
(administratively) increased annually by an amount no,greater than the increase in the Bay Area
Consumer Price Index (CPI).since the prior year. Increases greater than CPI would require an
amendment to the Agreement. The maximum allowable fees through-July 31, 2013 are specified
in Exhibit E to the Agreement (Attachment 2).
DISCUSSION
On January 6 2014, PASF representatives presented a fee revision proposal to'the Animal
Services Advisory'Committee. The Committee is empowered by its enabling resolution to
review and make;recommendations to the City Council regarding Animal Services`fees. The
proposal would reduce adoption fees, increase licensing and surrender fees, and incorporate
mandated fines,associated with unaltered animals. The Agreement allows the-PASF, at its
discretion,to'redu`ce fees"belo;w the maximums established pursuant to Exhibit E"of the
Agreement. As noted'inthe Background section, however, fee increases greater than the CPI
require a contract amendment. In this case, the amendment consists of replacing the fee schedule
included as,Exhibit E to the Agreement, with a new Exhibit E, which supersedes the former one
The revised,Exhibit'E is provided as Attachment I to the proposed First Amendment to the
Professional Services Agreement with•the PASF.

As noted in the•PASF's•seini-annual and annual reporting, adoption rates at the animal shelter
have increased since the'PASF assumed responsibility for providing animal services in Petaluma.
There has been a corresponding decrease in euthanization rates. To support these trends, the
PASF has reduced adoption fees in an effort to place more animals in quality homes more
quickly, and to decrease the amount of time an animal is sheltered until it is adopted. This also
will reduce the attendant costs of boarding animals while they are sheltered. Fees are decreased
from $126 to $90 for dogs, from $126 to $70 for cats, from $65 to $10 for rabbits, and from $25
to $10 for small animals. These changes bring PASF's adoption fees in line with, if not below,
other shelters operating in the County. It should be noted fee levels were not a serious
impediment to adopting animal's, but the PASF receives favorable response when fees are
reduced (as with promotions), and believes that reducing adoption fees will have a positive effect
on the adoption rate.
The PASF proposes to increase animal licensing and surrender fees, by amounts greater than the
CPI. Based on a"CPI increase,factor of two percent (2%), for the one-year period from August
2012 to August 2013, licensing fees could be administratively increased by $.30 for altered dogs
and $.40 for unaltered dogs. Pursuant to the current request; licenses for altered and unaltered
dogs would increase by five dollars ($5), resulting in license fees of$20, and $25, respectively.
Adjusted rates would be less than, or on par, with the fees charged by other shelters in the
County. During the conversation on licensing fees with the Animal.Services Advisory
Committee, the PASF indicated that the spirit of licensing regulations is to assure our county
remainsrabies free. The proposed changes allow the PASF to continue to press our citizens for
rabies vaccination compliance at an affordable cost.
With respect to surrender fees, current charges do not recover the cost of care for surrendered
animals until they are adopted. Based on a CPI increase factor of two percent.(2%), for the one-
year period from August 2012 to August 2013, surrender fees could be administratively
increased by $.72 to $1.27, depending on the animal. The proposal increases the fee from $6 to
$10, depending on the animal. Increases still do not fully recover costs, but provide more
resources for animal care ata rate that is not punitive to the customer. With this proposal, the
surrender cost of a litter is reduced from $29 to $19 per animal, to encourage those wishing to
surrender a litter to come to the shelter rather than disposing of the litter in a less humane way.
Further changes set fees for services provided through the PASF's veterinary clinic, and
mandated spay/neuter fines. The veterinary clinic fees charged by the PASF are lower than fees
charged elsewhere in the Petaluma veterinary community, but are provided as low-cost services,
on an honor'basis, for customers in financial need. The costs associated with time and materials
change annually; PASF charges for those costs and adds a:modest administrative charge.
Incorporated into these charges are microchip fees for dogs and cats, which are currently charged
at flat-fee rates of$20 and.$10, respectively. Spay/neuter fines are set at $35, $50'and $100, are
charged in conjunction with redemption fees for recovered dogs, and represent the fines for the
first, second, and third occurrenceswhen an unaltered dog is returned to its owner. These
charges encourage owners to spay/neuter their unaltered animals.
This proposal was discussed with the Animal Services Advisory Committee on January 8, 2014.
The Committee unanimously supports (4-0 with one absence) the proposal and recommends it to
the City Council for approval, as a contract amendment. Representatives of the PASF will be
available at your February 24, 2014 meeting to discuss the proposal and to answer any questions
you may have.
FINANCIAL,IMPACTS
There is no impact to the City of Petaluma from the recommended action. Pursuant to the
Agreement, the City contributes $478,200 per year to support the PASF's activities. That amount
is not contingent upon or affected by the PASF's fee collections or other revenue sources.

A RESOLUTION APPROVING AND AUTHORIZING THE CITY MANAGER TO
EXECUTE THE FIRST AMENDMENT TO THE PROFESSIONAL SERVICES
AGREEMENT WITH THE PETALUMA ANIMAL SERVICES FOUNDATION
WHEREAS, on July.2, 2012 the City Council approved and authorized the City
Manager to execute a Professional Services Agreement (Agreement) with the Petaluma Animal
Services Foundation (PASF), to provide animal services, effective August 1,2012; and
WHEREAS. Exhibit E of the Agreement established the maximum fees that could be
charged by the PASF for the period from August 1, 2012 through July 31, 2013; and
WHEREAS, Section 10(B) of the Agreement provides,that fees may be administratively
increased, annually on or after August 1, 2013 by amounts not-to-exceed the change in the
Consumer Price Index (CPI) for the one year prior; and
WHEREAS, the PASF wishes to amend the fee schedule to reduce certain fees, to
increase other fees by amounts greater than the change in CPI;:and to establish charges mandated
by State law that are not currently incorporated in the fee schedule;.and
WHEREAS, the PASF-presented a fee revision proposal to the Animal Services
Advisory Committee (Committee) on January 8, 2014; and
WHEREAS, the Committee agrees with, and has recommended for approval to the City
Council, the fee adjustments proposed by the PASF.
NOW, THEREFORE, BE IT RESOLVED that the Petaluma City Council hereby
approves and authorizes the City Manager to execute the First.Amendment to the Professional
Services Agreement with the Petaluma,Animal Services Foundation, which replaces and
supersedes the fee schedule labeled "Exhibit E" in the Agreement approved in July 2012. This
schedule is provided as Attachment Ito the First Amendment to the Professional Services
Agreement with the Petaluma Animal Services Foundation, which is incorporated in the
Resolution'as Exhibit A.

THE AGREEMENT.entered into and effective as of July 30, 2012, by and between the City of
Petaluma, a municipal corporation and a charter city (hereinafter referred to as "City") and
Petaluma Animal Services Foundation (hereinafter referred to as "Consultant") is hereby
amended as follows:
1. EXHIBIT E,the schedule of maximum allowable fees for the period from August 1, 2012
through July 31, 2013 is replaced•and superseded by fee schedule, titled "Exhibit E— PASF
Fee Schedule 2/24/2014" and'included as Attachment 1 to this Agreement.
