APPROVING AND AUTHORIZING THE CITY MANAGER TO EXECUTE THE
FIRST AMENDMENT TO THE PROFESSIONAL SERVICES AGREEMENT
WITH THE PETALUMA ANIMAL SERVICES FOUNDATION
WHEREAS, on July 2, 2012 the City Council approved and authorized the City Manager to
execute a Professional Services Agreement (Agreement) with the Petaluma Animal Services Foundation
(PASF), to provide animal services, effective August 1, 2012; and,
WHEREAS, Exhibit E of the Agreement established the maximum fees that could be charged
by the PASF for the period from August 1, 2012 through July 31, 2013; and,
WHEREAS, Section 10(B) of the Agreement provides that fees may be administratively
increased, annually on or after August I, 2013 by amounts not-to-exceed the change in the Consumer
Price Index (CPI) for the one year prior; and,
WHEREAS, the PASF wishes to amend the fee schedule to reduce certain fees, to increase other
fees by amounts greater than the change in CPI, and to establish charges mandated by State law that are
not currently incorporated in the fee schedule; and,
WHEREAS, the PASF presented a fee revision proposal to the Animal Services Advisory
Committee (Committee) on January 8, 2014; and,
WHEREAS, the Committee agrees with, and has recommended for approval to the City
Council, the fee adjustments proposed by the PASF.
NOW, THEREFORE, BE IT RESOLVED that the Petaluma City Council hereby
approves and authorizes the City Manager to execute the First Amendment to the Professional Services
Agreement with the Petaluma Animal Services Foundation, which replaces and supersedes the fee
schedule labeled "Exhibit E" in the Agreement approved in July 2012. This schedule is provided as
Attachment 1 to the First Amendment to the Professional Services Agreement with the Petaluma Animal
Services Foundation, which is incorporated in the Resolution as Exhibit A.

FIRST AMENDMENT TO THE PROFESSIONAL SERVICES AGREEMENT WITH
PETALUMA ANIMAL SERVICES FOUNDATION
THE AGREEMENT entered into and effective as of July 30, 2012, by and between the City of Petaluma, a
municipal corporation and a charter city (hereinafter referred to as "City") and Petaluma Animal
Services Foundation (hereinafter referred to as "Consultant") is hereby amended as follows:
1. EXHIBIT E, the schedule of maximum allowable fees for the period from August 1, 2012 through July
31, 2013 is replaced and superseded by fee schedule, titled "Exhibit E- PASF Fee Schedule
2/24/2014" and included as Attachment 1 to this Agreement.
