SUBJECT: Resolution Approving Purchase of Ten (10)`New'Passenger'Waiting Shelters for
Petaluma-Transit
RECOMMENDATION
It is recommended•that the City Council adopt the attached Resolution,Approving Purchase of
Ten (10) New Passenger Waiting Shelters:for Petaluma Transit..
BACKGROUND
Petaluma Transit was able to obtain funding to purchase and install new lighted bus shelters from
a recent-disbursement of Proposition 1B:Lifeline funds. The goal is to improve-the passenger
experience.at-key bus stops-throughoutthe Petaluma Transit system. .Shade,windbreak, and a
place to sit are key to ridership. The Prop 1B Lifeline funding is constrained to inclusion or
adjacency in lower income census;blocks, which limits the areas,that these shelters can be
installed in. For areasserved-by Petaluma Transit, this limits the project to areas along Lakeville
Hwy., E. Washington, U.S. 101, and N. McDowell Blvd.
DISCUSSION
Subject to Council;authorization, the shelters will be identical to the current shelters at.the
Eastside TransifCenter on Maria Drive' light blue with solar lighting, ad panels, perforated"metal
bench, and wind 'panels with an attached trash can.
Staff is recommending the following non-sheltered bus stops for inclusion in,the project:
1. Lakeville/Caulfield
2. Lakeville/Baywood
3. Lakeville/Casa Grande Road
4. N. McDowell at Petaluma,Plaza.South, SB (Southbound direction)
5. N, McDowell at Rainier; NB (Northbound direction) •
6. N. McDowell at Candlewood, NB

The feasibility of each site will be evaluated based on bus stop productivity and availability of
space to install the shelter and maintain-ADA clearances. Staff will consider busy stops that need
simple, low cost improvements to host a shelter, and lower productivestops that have enough
space for a shelter without significant site improvements.

As a benefit of Petaluma's membership to the California Association for Coordinated
Transportation (Ca1ACT), the shelters can be procured via the CaIACT/Morongo Basin Transit
Authority Purchasing Cooperative (MBTA). The CaIACT Cooperative obtained very
competitive pricing from,Tolar Manufacturing Company, one of the leaders in passengershelter
manufacturing in the country. Via the CaIACT bid, Tolar's purchase price including tax and
delivery is $8,139.70 per shelterndt including setup and installation. To ensure,that using the
CaIACT/MBTA purchasing cooperative is of benefit to the City, a second`quotation from Tolar
for the same shelter and quantitywas obtained (see attachment 4). The pricing for the exact same
equipment would cost the City over $4,000 more, plus additionalstaff hours to conduct a stand-
alone procurement. Petaluma has ordered bus shelters from Tolar in 2011 that are now in use at
the Eastside Transit.Center located of the Safeway Shopping Center on Maria Drive, and on
Petaluma Blvd North at Magnolia. •
Based on recent experience, it anticipated that installation labor will.cost between $2,000 and
$3,000 per shelter. Staff is requesting authorization to order ten(10) new Tolar shelters, for a.
total cost of$81,397. The remaining;grant balance of approximately$36,000 will cover the
labor and site preparation elements of the installation. The project scoping and manufacturing
will occur in late FY 13-14, with delivery estimated within three (3) months of placing the order
Installation of the shelters is scheduled to occur early in FY 14-15. The City will manage sales
of ad space in the shelters, and will provide weekly cleaning and regular maintenance service.
The Transit Advisory Committee considered this item on February 6,2014 and recommends City
Council authorize the Purchase Order to Tolar Manufacturing for $81,397 for the shelters
through the CaIACT — MBTA Purchasing Cooperative.
The proposed action meets Council Goal: "Plan for and implement priority capital projects as
funding permits".
FINANCIAL IMPACTS
Petaluma Transit successfully competed for $76,734 in Prop 1B Lifeline funding through
Sonoma County Transportation Authority (SCTA) last year and.these funds are included in the
FY 13-14 transit budget. With the required 20% local match from Transportation Development
Act reserves; the total grant budget is $95,917. In order to expand the project to include 10
locations, staff is committing an additional $22,353 in Transportation Fund.for Clean Air
(TFCA) funding for a total project budget of$118,270. The project's funding is 65% Prop 1B
Lifeline (State) funds, With.the local match coming from a combination of 19% TFCA and 16%

Petaluma TDA capital funds. The project is contained<imthe FY 13-14 Transit Budget. The
project funding and costs are suirunarized below:

RESOLUTION APPROVING'PURCHASE OF TEN.(10);PASSENGER WAITING
SHELTERS F,OR PETALUMA TRANSIT
WHEREAS, Sonoma County Transportation Authority (SCTA) has been
designated by Metropolitan Transportation Commission (MTC) to assist with the Lifeline
Transportation Program in Sonoma County on behalf of MTC, and conducted a competitive call
for projects;and
WHEREAS, City of Petaluma submitted a project(s) in response to the
competitive call for projects, seeking to purchase and install bus shelters in or adjacent to lower
income census block areas within Petaluma; and
WHEREAS, City of Petaluma agrees to meet project delivery and obligation
deadlines, comply with funding conditions placed on the receipt of funds allocated to the
Proposition 1B Lifeline Transportation Program, provide for the required local matching funds,
and satisfy all other conditions set forth in MTC Resolution No. 4033; and
WHEREAS, this action is exempt from the California Environmental Quality Act
(CEQA)pursuant to title 14, Chapter 3 of the California Code of Regulations (CEQA
Guidelines), including but not limited to sections 15301 (Existing Facilities) and/or 15303 (New
Construction or Conversion of Small Structures).
WHEREAS, the Petaluma Municipal Code section 4.04.100 provides that
purchases made through a cooperative purchasing program with the state, county or other public
agencies are exempt from provision of Chapter 4.04 of the Petaluma Municipal Code which
requires the City to conduct'its own competitive bid process for certain purchases and
documentation as to the advantage of the cooperative purchase will be retained; and
WHEREAS, there is no legal impediment to City of Petaluma making the
funding request; and
NOW, THEREFORE BE IT RESOLVED, that City of Petaluma adopts this
Resolution Authorizing the Purchase of Ten (10)New Passenger Waiting Shelters from Tolar
Manufacturing, Inc., utilizing competitive pricing and assigned options from the FTA-approved
CaIACT/MBTA:Purchasing Cooperative and directs the issuance of a purchase order in the
amount of$81,397.

Assignment to Purchase Agreement
The California Association for Coordinated Transportation, "Assignor", hereby assigns to the
City of Petaluma, "Assignee", an option to purchase Transit Bus Shelters.("Shelters") from the
Local Government Purchasing Schedule at a price and under the terms and conditions
contained in Assignor's Contract No. 12-02 With the TOLAR Manufacturing Company. Only
those Shelters and optional features may be purchased using the contract. Specifically, the
Assignment shall have the right to purchase:
Ten (10) Model 9ALD-PM 2589-01, 9' Transit Bus Shelter
Such ability to purchase commenced, per terms of Contract, on February 5, 2014 and may be
exercised at any time on or before June 29, 2015.
With respect to the Shelters assigned hereunder and this Assignment,.Assignee agrees to
perform all covenants, conditions and obligations required of Assignor under said Contract and
agrees to defend, indemnify and hold Assignor harmless from any liability or obligation under
said Contract..Assignee further agrees to hold Assignor harmless from any deficiency or defect
in the legality or enforcement of the terms of said Contract or option to purchase there under.
Assignee agrees and understands that Assignor is not acting as a broker or agent in this
transaction and is not representing Seller or Assignee, but rather is acting as a principle in
assigning its interest in the above-referenced assignment to purchase the Shelters under the
Contract to Assignee.

Please be advised that assignment of said Shelters does not constitute a recommendation or
endorsement of this product by the Cooperative. The City of Petaluma, as the purchaser, is
responsible for its choice of Shelters and options selected.•The City of Petaluma is responsible
for vehicle inspection, acceptance and enforcement of any contract provisions.
Assignee hereby unconditionally releases and covenants not to sue Assignor upon any.claims,
liabilities, damages, obligations or judgments whatsoever, in law or in equity; whether known or
unknown,-or-claimed which-they-or-either of-them-have.or-claim-to-have-or-which-they-or-either
of them may have or claim to have in the future against Assignor, with respect to the Shelters or
