AUTHORIZING AGREEMENT BETWEEN CI'TY OF PETALUMA
AND PETALUMA ADULT BASKETBALL ASSOCIATION
1985/86 SEASON
NOW, THEREFORE, BE IT RESOLVED that the City Manager is
authorized to sign, on behalf of the City of Petaluma, an agreement between
Petaluma Adult Basketball Association to supervise and conduct the 1985/86
basketball program.

AND ADULT BASKETBALL ASSOCIATIO'N
This . Agreement between the Petaluma Park and Recreation Department,
hereafter known as City, and the P-etaluma Adult Basketball Association,
hereafter referred to as the ASSOCiation, entered . into this Agreement on
October 7, 1985, for the purposes of conduating the I985-86 Adult Basketball
leagues . These services involve- the complete oper..ation of the season which
is to begin the, . second week of October, 1985 and conclude at the end of
February, 1986, Specifically, the followi_ng is an outline of the
responsibilities of the;. City and the Association.. Association is acting as an
indeperndent contr.actor with respect to tlie activi-ties conducted
pur.suant to- the- agreement:.
The City will.: •
a. Provide all ba.lls,, .scoresheets, and g,y.,mnasium.
b. Print and distribute league operations:, regulations-;: schedules and house
rules~.
c. Coll`ec€ all fees and distribute same on a~ basis~ to the Association..

All protest fees, forfeit fees or unsportsmanlike conduct fees will be
collected by the Association and will remain with the Association for league
operations. ~
It is further stipulated that the Association will assign at least one, but no
~ more than two representatives who can be contacted by the teams to answer
any league operation concerns. Also, the Association may meet once a week
with the Park and Recreation Department to coordinate the activities of the
season.
The Association, through indi~idual team insurance, will indemnify and hold
City harmless from any claim or claims% of Tiability or damages resulting from
• the activities of the Association conducted pur.suant to this Agreement.
If either party becomes involved. in litigation arising out~ of this contract, or
the performance ther.eof,, the Court in s,uch. litigation, or in a separate suit,
shall award reasonable costs and expenses, incIuding. attorney's fees to the
party justly entitled thereto. In awarding attorney's. fees,, the Court will
not be bound by any Cburt fee schedule,. .but sha1T, if it is in the interest of
justice. to do so,. award the full amount of costs and expenses in attorney's
fees paid or incurr.ed in good faith.
This Agreement will be in effect from Ocfober 7,. 1985 fo the end of the
season in February, 1986.
