Following our~phone conversation I have reviewed our Professional Liability Insurance file and policy. Our carrier, the largest Professional Liability Insurance company in the U.S.,, has advised-us in the past that, if our client requests a Hold Harmless.Clause within our Ag~reement,.and if we are to afford him the full protection.of our insurance policy, then we should insert the Hold Harmless Glause pro.posed by- them. This we have done in the attached Agreement and trust that is as acceptable to the City.~as it has been for our other clients. We have added your Litigation Clause.as wri.t:ten. If acceptable, .please have one copy of the Agreement signed by an Officer of the City and return to this office for our records. The second copy is for your files. THE GITY OF PETALUMA Petaluma, Ca. and the~Architect: HANSEN ASSO.CI9TES ARCHITECTS AND PLANNERS A Professional Parfnership Box 868, Tiburon,, Ca. 94920 for the following Project: Basic services.for.'the design of the P.ETALUMA PUBLIC'SAFETY FACILITY, comprising a remodel of the existing facilit,y of 2,600 GSF and the addition of a new area of Z,600 GSF, and at,an esttimated construction cost of $1,500,;000 all`in'aecordance with'the concept diagram dated May, 1982. The Owner and the Architect agree on the follow:ing: l. ARCHITECT'S SERVICES AND RESPONSIBILITIES: Basir Services - The Architect`s Basic Services consist of the five phases of 1) Schematic Design, 2) Design Development, 3) Construction Documen'ts, 4) Bidding, and 5) Construction Administration. Work will include normal structural, mechanical and electrical engineering services. l.l Schematic Design P.hase l.l.l The Architect shall prepare a summary o:f space needs based on infor- mation furnished by the Owner to ascertain the requirements of the project. 1.1.2 The Architect shall review with the Owner alternative approaches to the design and construction of the Project. 1.1.3 Based on the mutually agreed upon conc'ept and Project budget requirements, the Architect shall prepare_for approval by the Owner, Sch'ematic• Design Documents consisting of draw;ingS and other documents illustrating the scale and relationship of Project components. 1.1.4 Ttie Architect;shall submit to the Owner a Statement of Probable Construetion Gost based on current area, volume or other unit costs. - 1 - 1.2 Design Development, Construction Documents, .Bidding and Construction ~ Administration w,ill be author-ized after~compl~etion of the Schematic ~ Design Phase. ~Compensat•ion for seruices for this.work will be negotiated on or about the date of such author.ization. -2. THE OWNER'S RESPONS'IBILITIES 2.1 The Owner shall provide full information reg"ard'ing,requirements for the Project including O.wner's design objectives, constraints and criteria, space requirements and relationships, flex~ibility and expandability, special equipment and systems and site requirements. 2.2 The Owner shall'designate a representative authorized to act in the Owner's behalf with respect to the Project. The Owner or such authorized representative shall examine the documents_.submitted by the Architect and shall.render decisions perfain-ing ther.eto promptl.y, to avoid unreasonable delay in the progress of the Architect':s services. For the purpose of this agreement, the Owner's representative shall be Robert B. Murphy, Chief of Police. 2.3 The Owner shall fur.nish a legal deseription and a certified land survey of the-site, giving, as applicable, g-rades and 1%nes of streets, alleys, pavements and adj;oining property; rights-of-wa.y, restrictions, easements, encroachments, zoning, deed restrictions, boundar-ies and contours of the site; locations, dimensions and complete data pertaining to existing buildings, other improvemen'ts and trees; and full information concerning available service and utility lines both public, and private-, above and below grade, includ`irig inverts and depths. 2.4 The Owner shall furnish the services of soil engineers or other consultants when such services ar-e deemed necessary by the Architect. Such services shall include test borings, test pits, soil be.aring v.alues, percolation tests, air and water poilution tests, ground cor.rosion and resistivity tests, including necessary opera'tions for determining subsoi'1,, air and water conditions, with reporfs and appropriate professional reco~endatiors. 3.. COMPENSATION 3.1 Basic Compensation for this phase shall be,a stipulated Lump Sum~Fee of T'hirteen Thousand Fiue Hundred Dollars ($'13,'S00.00). 3.2 Compensation for any,Additional Services sha-ll,be computed.on Che basis of a Mu•ltiple of Direct Persorinel Expense, as follows: Principals' time at the fixed rate of Fifty Dollars ($50.d0),per hour. Employees' time at a multiple of two point f ive (2.5) times the employees''.Dir,ect:Personnel Expense. Services of pr.of"essional eonsultants at a multiple of one point five (1.5) times the amount billed to the Architect for such services - 2 - O . , 3.3 Reimbursable Expenses - Reimbursable Expenses are in addition to the Compensation for Basic and Additional Services and include actual expendi- tures made by the Architect and the Architect's employees and consultants in the Project for the reproductions, postage and handling of Drawings and Specifications, and other documents, excluding reproductions for the office use of the Architect and the Architect's consultants. Expense of renderings, models and 'mock-ups requested by the Owner. 4. PAYMENTS T0. THE ARCHITECT Payments for services shall be made bi-monthly and shall be in proportion to services performed. 5. LITIGATION In the event that legal action is necessary to enforce any provision of this agreement, the prevailing party shall be entitled to reasonable attorneys fees and legal costs. 6. HOLD HARMI,ESS The Contractor (Architect) shall indemnify and save the City of Petaluma, its officers, agents and employees harmless.from and against any and all claims, loss, cost,s, damage or expense.arising out of the negligent acts, errors or omissions of Contractor~(Architect) or its agents, servants or employees,.provided however that the Contractor's obligation to indemnify and save the City of ~Petaluma harmless shall be limited to the amount of Contractor's (Architect's) Professional Liability Coverage so long as that coverage includes contractual liability coverage.for the liability assumed hereunder and is at least in the amount of $500,000.
