BACKGROUND
This Freeway Agreement is .for State Highway Route I01, from 0.4 miles south of Route 116 to
0.6 miles north of Old Redwood.Highway Interchange. The Agreement. identifies the state route
through, Petaluma and all currently allowed interchanges, separations ,(crossing structures) and
pedestrian overcrossings within the.limits of that. agreement.
Since initial construction of State Route -1.01., a series. of Freeway Agreements between the State
and the City of Petaluma have been executed. Whenever a modification is made to any of the
allowed structures, a new Freeway Agreement is required by the State: The existing Agreement
was executed on December 2:1, .T966.
DISCUSSION
The Old Redwood Highway/1:01 Interchange Project will be upgraded to meet current design
standards and current and future traffic requirements.. The~proposed interchange modification
includes ramp widening and reconf guration, traffic operations system improvements, the over-
cross~ing structure replacernent'to four lanes that will include `bicycle lanes and. a pedestrian
sidewalk, and enhanced signal'ization improvements at the adjacent intersections. This project is
combined with the Old: Redwood Highway ramp improvements of the Central' 101 HOV Project,
and will'provideboth'safety and congestion relief enhancements'..

The -East Washington Interchange Project proposes to modify the existing southbound diagonal
on-ramp by'realignng the,horizontal geometry to improve the curve radius on the ramp and
widen, the. on=ramp to provide two lanes to accommodate ramp metering. The planned
northbound diagonal on-ramp. will require a new bridge to span Washington Creek, retaining
walls, right-of--way acquisition, and two lanes to accommodate ramp metering. The terminus of
the existing northbound diagonal off-ramp with East Washington will be widened from two to
four lanes.
In order to continue to move forward with improvements to the East Washington and Old
Redwood Highway Interchanges, the State is requiring that anew Freeway Agreement be
executed (Exhibit A to Resolution). The City Attorney requested that wording be inserted into
item #6 of the Caltrans form. agreement stating that any acceptance of title to portions of the
streets outside of the freeway limits by the City after completion of the work be subject to City
inspection, acceptance and objection rights, because of the importance of ensuring that property
interests and/or improvements proposed for relinquishment by Caltrans to the City do not include
unanticipated bases of liability for the City. The State has responded that they will not modify
their standard agreement form. Staff recommends approval without changes in order to keep the
projects viable.
However, also at the City Attorney's recommendation, aprovision has been added to the
Council's approval resolution stating that by authorizing the Agreement, the City does not waive
any',of its rights to inspect, acceptor object to the improvements prior to relinquishment of any
portion of them to the City by Caltrans.
Staff will return to City Council for approval of maintenance agreements for both projects,
identifying improvements to these interchanges and the maintenance responsibilities of each
party for specific areas. These responsibilities generally will include graffiti control~on the
structure, sharing of traffic signal ,electrical costs, maintenance of the structures and pavement
maintenance.
FINANCIAL IMPACTS
Item:, #6 of the attached agreement. states "CITY will accept control and maintenance over each
of the relocated or reconstructed CITY streets, any frontage roads, and other local streets
constructed as parf of the project, on receipt of written confirmation that the work thereon. has
been completed, except for any portion which is adopted by STATE. as part of the freeway
proper. If acquired .by STATE, CITY will accept title to the portions of such streets lying
outside the freeway limits upon relinquishment by STATE." However, there will be no
relocated City street or frontage road constructed with either Old Redwood Highway or East
Washington Interchanges and therefore there will be no fiscal impact to the City.
The current. estimated annual maintenance costs for the Old Redwood Highway Interchange and
the 1/ast Washington Interchange (including pavement, pothole repair, striping, graffiti control,
etc.) are approximately $2,600 for each interchange. Once the improvements are complete,
maintenance costs for Old Redwood Interchange will probably decrease, in the near term,
because the facility will be new. Maintenance costs for East Washington Interchange are

estimated to remain the same. The estimated annual. street light and traffic signal cost is
approximately $1,200 for each interchange.
Maintenance costs are paid out of 2411 Street Maintenance Fund.

~ WHEREAS, on December 21, 1966, the City of Petaluma and the State of California
(Caltrans) entered into a Freeway Agreement relating to that portion of State Highway Route 101
from 0.4 miles South of Route 116 to 0.6 miles North of Old Redwood Highway; and
WHEREAS, Exhibit A of the Agreement'identifies the state route through Petaluma and
all currently allowed interchanges, separations (crossing structures), pedestrian overcrossing, and
roads to be constructed, reconstructed, or relocated within the limits of the agreement; and
WHEREAS, the City of Petaluma and Caltrans will improve the East Washington and
Old Redwood Highway interchanges; and
WHEREAS, because of these new improvements, Caltrans requires a new Freeway
Agreement to be executed, which will include Exhibit A, identifying the allowed structures listed
above.
NOW, THEREFORE, BE IT RESOLVED that the City Council of the City of
Petaluma authorizes the City Manager to sign the new Freeway Agreement, attached hereto as
Exhibit. A to the Resolution.
BE IT )FURTHER. RESOLVED that in authorizing execution of the Freeway
Agreement, attached as Exhibit A to Resolution, the City Council expressly does not waive, and
authorizes and directs City staff to preserve and maintain any and. all rights of the City
concerning inspection, approval, acceptance, and/or objection to improvements constructed
pursuant to the Freeway Agreement and/or proposed relinquishment of same to the City pursuant
to any applicable relinquishment agreement, cooperative. agreement and/or other applicable law.

EREEWAX AGREEMENT
THIS AGREEMENT, made and entered into on this day of
2010; by and between the STATE OF CALIFORNLA acting by and through the Department of
Transportation (herein referred to as "STATE"), and the City of Petaluma (herein referred to as
"CITY"),
W ITNESSETH:
WHEREAS, the highway described above has been declared to be a freeway by
Resolution of the California Highway Commission on March 23, 1950; and

WHEREAS, STATE and County of Sonoma have entered into a Freeway Agreement
dated April 11, 1952, relating to that portion of State Highway Route 101 from 1.5 mi]e south of
Petaluma to Railroad Avenue; and
WHEREAS, G1TY has subsequently annexed, certain areas. including portions of such
freeway covered by the Freeway Agreement dated Apri] l 1, 1952 with the County of Sonoma;
and
WHEREAS, STATE and CITY have entered into a Freeway Agreement dated.December
21, 1966, relating.to that portion of State Highway Route 101 from State Highway Route l 16 to
the North City Linvts; and
WHEREAS, a revised plan map for such freeway has been prepared showing the
proposed plan of the STP.TE as it affects streets of the CITY; and
WHEREAS, it is the mutual desire of the parties hereto to enter into a new Freeway
Agreement in accordance with the revised plan of the freeway;
NOW, TI-IEREFORE, IT IS AGREED:
1. This Agreement supersedes in portion of said Freeway Agreement related to State
Highway Route 101 dated April 11, 1952, from 0.4 mile south of State Flighway Route 116 to
State Highway Route 116 and in its entirety said Freeway Agreement related to Highway Route
101 dated December 21, 1966.
2. CITY agrees and consents to the closing of CI"fY sn•eets, relocation of CITY streets,
construction of frontage roads and other local streets, and other constriction affecting CITY

streets, all as shown,on the plan map attached hereto, marked Exhibit A and made a part hereof
by this reference:
3. The obligations of STATE and CITY with respect to the funding and construction of the
freeway project will always be dealt with. in•separate•,Cooperative Agreement(s) between the
parties, and any amendments thereto, or Encroachment Permits issued to the.CITY. The parties
responsible for the construction of the freeway shall make aiiy changes affecting CITY streets
only in accordance withahe plarrmap attached hereto, marked Exhibit A.
4. The obligations of STATE and CITY'with respect to the acquisition of the right of way
required for the construction, reconstruction,. or alteration of-the freeway and CITY streets,
frontage roads,•and other local streets will always be~dealtwith in separate Cooperative
Agreement(s) .between the parties,. and any amendments thereto or Encroachment Permits issued
to -CITY.
5. It is ~inderstood vetween the parties that the right of way may~.be acquired in sections or
units, and thatboth as to the acquisition of right of way and the construction of the freeway
project, the oblig5tions of STRTE.and CITY hereunder shall be carried out at such time and for
such unit or units of the project as funds are budgeted and made lawfully available forsuch
expenditures.
6. CITY will accept control and'mainteitance over each of the relocated or reconstructed
CITY streets, any frontage roads, atzd other local streets constructed as part of the project, on
receipt of vtn-itten corifirmstion that the work thereon has been completed, except for any portion
which is adopted by STATE as a part of the freeway proper. If acquired by STATE, CITY will
accept title to the portions of such streets lying outside the freeway Iimi[s upon relinquishment by
STATE.
7. This Agreement may be'modified at any time by the mutual consent of the parties hereto,
as neededto best accomplish, through STATE and CITY`cooperation, the completion of the
whole freeway project for the benefit of the people ofthe,STATE and of the CITY.
