ARTICLE 19..2
SPECIAL PILOT PROJECT -
PLANNED l1NIT D'ISTRICT
(SFP-PUD).
SECTION 19.2-100 PURPOSE - It is the in,tent of the Special Pilot Project -
Planned Unit District (SPP-PUD) to: ~
A. Allow the introducti;on of a new us'e not heretofor permitted under any
zone by trying it out under the SPP-PUD zone prior to placing it
under another zone as a permi`tted or conditional use, or
,
B. Permit the i'ntroduction of a new land~use,, or a unique mixture of
existing land u.se_s, combined with an innova~ti:~e de.velopment plan, on
a singular trial basi;s, prior`to allowi'ng addit:ional projects of the
same land use,, development type:, or land use mix to. be considered
elsewhere for approval within the city, or designated for use within
other zones. Such desi.gnation shall pe"rmit only one such project
type to be approved,:cons'tructed and eva~l'uated at any one time.
SECTION 19.2-200' ESTABLTSHMENT ;O,F D;ISTRIC~T .- N SPP,-FUD may be 'establ ished or

remoY:ed in accordance wi~th- the procedures set out i~n Sections 19-800 through
19-`807 o:f thi s Ordi nance;, and the~ addi ti onal requ`i~rements set out i~n .thi s
ar.ticle. Where said S~ections 19-800 through 19-807`confli,ct with this article,
this article shall p,revail.
SECTION.19..:2-201 DEVELOPMENT SCHEDtJLE - The Deve.lopment Schedule~required by
Section 19-806:sha7l not-exceed 3 year•s from the time zoni'ng approval is obtained
until completi`on of the-~pr.oject.

SEGTION 1'9.2-300 FINDINGS REQl1.IRED - The Unit Development P1an, as defined
herein,~may be approved by the City Co'uncil by resolution aftew consideration
by and recommendation of the Plann-ing Commi~ssion. In its review and recommendation
on~tfi:e Unit Development Plan, the Planning Gommissi`on must make the findings
set out below or indicate why the findings cann~ot~be made. In approvi'ng said
pl.an, the City Council must find that said plan clearly results in a more
desirable.use of land and a better physical environmen't than would be possible
under any single zoning district o'r combination of zoning districts and, in
addition, must make the fol'l'owing additional specifi'c findings:
A. That the district is' proposed on property~which has a suitable
relationship to one (1} or more thoroaghfares;; and that said thoroughfares
~ are adequate to carry any'addition~al traffic generated by the development.
B. That the plan for the pro:posed development present's a unified and
organized arrangement of buildings and servic,e facilities which are
appropriate i,n relation to~adjacent or nea;rby properties and that
adequate landscap'i.ng and/or screening is inc,lud`ed.if necessary.to
insure compatib:ility.
C. ~That the.natu.ral,and scenie qualities of `the site are protected; with
adequate avai,la'bl:e;. public and priva:te spaces designated on the Unit
Development Plan.
D. That the development of the subject property, i:n the manner proposed
by the applicant, will not be detrimental to the pub1ic welfare, will
be in the best interests of the City and wil_1 be i'n keeping with the
general intent and;~spi°r.it of the zoning regulation of the City of
Petaluma, with the Petaluma General Plan, and`with any applicable

Environmental p:esi°gn P1"ans adopted by the C.ity. '
E. .Sp;ecial _F_indi,n_g Necess;ary. ~A .specia~l f•indi;ng.:sha]1 be made that the
Unit Development Plan represents a use o.r;mix,ture of uses of a new
type or in a nove:l com6ination of Uses',not previ'ously approved in the
City, and which could not be constructed irr any other zoning district.
In connection_with this finding, the elements of the Development Flan
which ju,stify the findi.ng shall be speeifically enumerated.

SECT,ION 79:2-301 LIMITATIONS ON RfSIDENTIAL UNI'TS - No SPP-PUD Unit Development
Pl,an shall be approved for more tfian 1.00 dwelling units.
SECTION 19..2-310 SPF-PUD b.ISTRICT PROCEDURES - A SPP-PUD District as set forth
in Article 19.2 may be established by using the procedures set out in this
article.
19.2-311 Planning Commission Act.ion. following a publ.i'e hearing, and upon
making the required find~ings, the Planning Gommission shall make a
recommendation to the~City Council relatiVe to the proposed district;
and shall adopt.a.,recommendation relative to~the Un~it Development
Plan as submitted~ or as modified. Such recommendation and copies of
the recommended Unit Development Pl.an shall be forwarded to the City
Council ~for its consi~deration. - ~ '
19.2-312 Denial by Planning Commissi.on. If unable to ma!ke the required findings,
the Planning Commi,ssion shaTl deny the appl~ication. The appli,cant
may appeal from a deni~a:l as set out in Section 27-600.
19.2-313 City Council Ac:tion. A favorable recommend:a`tion of the Planning
Commission shaTl 6e forwarded to the Ci'ty Council, for hearing and
consideration of the rezoning and Uni't Development Plan.
19.2-314 Decision o,f the C,ity Gounci.l. Following its hearing, the Council may
adbpt an amendment to the Zoning Ordinance eStablishing the district,
or may deny the proposed amendment. The City Council may make modifi-
cations to the Unit Development Flan as considered by the Planning
Commission and may, but need not, refer such modifications to the
Planqing Commission for study, report, and recommendation. Such
study, report and recommendation shall be_made by the Planning
Commission within thirty (30) days of the date o.f the referral,
' unl.ess and except as the City Couneil may grant the Planning Com-
mission a'dditional time for its rev'iew of the matter.

19.2-31~5 Approva.l of Unit D.eu:elopment Plan;. „At t~he time~of adoption of the
amendment•, the City Gouncil shall approve, by resolution, the Unit
~ Devel.opment Pl.an;; which resolution as adopted or as may be thereafter
. modified, i:n accord.ance wi,th th.is section, shall es.tabli.sh the regulations
~ for said distric:t and shall become a part thereof: Upon the adoption •
of the amendment, and~approval of the Unit De~elopment Plan, the
proposals and standards of said plan shal~l be:come the official develop-
ment policy of the City of Petaluma within the boundaries of the
district. ~
19.2-316 Development in a Planned Un~it District. Followi-ng the adoption of
~~ the amendment and the appr:oval of the Unit Deve~lopment Plan, all
develo~pment within the di~strict shall be in substantial conformity
with the said adopted.fJnit Development Plan or su`ch modifications
thereto as may hav;e been° a~pp,roved. Suc:h~ development may proceed as
follows: ~
A. Should the subdiv'isi;on of land be necessary to the carrying~out o;f ~
the Unit Development Plan, the applicant may submit and the City may
approve a te'ntative su-bdivision map.in conformity with the Unit
Development Plan.fo..r the area. ~
B. Should;no subdivision of land be reqaired, the applicant may apply
for bu i l~di ng ,permi ts,; •grada ng pe~rmi ts., or. any . other permi ts requ i red
for the carrying out of the Unit Deve.lopment Plan.
C. No wo.rk,.includi:ng site grading~or rough grading of streets, or tree
or brush removal other than that necessary for surveying, shall be
commenced prior to one or of the other of. the ,procedures listed
above. ~ ~
19.2-317 Failure.,to Proceed. Npplication fo'r subd:ivision approvaT, or applica-
tion for one or another of the permits required shall be made within
six months afte:r establishment-of the dist"rict by the City Counci~l.

Fai1ure to make such a,pplications may cause the P~lanning Commission
~ to initiate pu'bli_:c hearings to review the zoning classification of
the area, and to recommend to the City Council the appropriate rezoning
of the district.
19.2-318 DeveJopment~Agreement Required.
A. No project approved by adoption of a SPP-RUD District and Unit Develop-
ment Plan shall be commenced without ap.provaT of and execu.tion of a
Development Agreement as set out in Article 19.3. In addition to
other mandatory elements of such agreement nequired by Article 19.3,
the Agreement slial l prov`ide that the time 1 imi ts requi red 6y thi s
article shall be compl'ied with, and that the City Council shall, on a
finding of noncompli'ance with the Agreement or this Chapter, terminate
the Agreemen.t, and i:nitate procedures to modify the SPP-PUD District
or rezone it to a conventional zoning c]assification.
B. The Development Agreement shall include requirements that will prevent
assignment or transfer of the rights and obligations therei'n without
the consent of the City Council.
C. Modification to the approved Unit Devel~opment Rl.an as set out in this
article shall include conforming ch`anges to the applicable Development
Agreement.
19.2-319 Mo.difi~ca::tions of the~Unit_Development P1'.an:~. From time to time it may
be necessary :and! desirab.l-e to make ~minbr modi,f=ications to the approyed
lJnit De~elg.pment Plan; 'Such' mi°now modi'fications ~may be apprbved by
the Planning Di'rector, sabject to_disapprova_1 by th~e City Council.
19.2-320 ~~Reqaests for Modificati;ons. Requests for modifications-shall be
submitted ,to the Planning Department in written form and sha.ll be
accompan~ied by such additional maps, statements, or other information
as may .be reguired to support the proposed modification.

with the city, the Ci.ty Council "shall, after giving appropriate notice, hold a
public hearing to initiate rezoning of lands or portions of lands within the
SPP-PUD to a more appropri;ate zone or zones, terminate or modify the Development
Agreement, or modify the llnit Devel;opment Plan. Proceedings may also be initiated
by the Planning Commission or- City Council.
SECTION 19.2-327 ::VOTE REQUIRfD - Approval of the Ci:~ty ~Council of a SPP-PUD
shall require the affirmative votes of five members of the City Council; failure
of such a resol ution to wi n the necessa_ry affi rma~ti'v;e votes siial l be deemed to
be a denial of the application.
SECTION 19.2-328 N'UMBER OF ZONES LIMITED - Not more than three SPP-PUD rezonings
shall be approved in any calendar year.

Article 19.3
At its regular meeting of Tuesday,. .May 6, 1980', the Pl.anning Commission, after
a Public Hearing on the matter, 'unanimously recommended that the City Council
amend the Zoning Ordiriance to-establish the use.of Development Agreements as a
zoning tool. .
The applicability of the'De~elopment Agreements would be mandatory for the
SPP-PUD zone and permissi~e for any other zones or zoning change, including
standard single-f amily subdivisions. In this regard, it provides the flexi-
bility to attach requiremerits norma-lly,.found in Planned Unit Development zones
to subdi~isions p"roposed-in_single-f amily zories or other~residentiaL zones.
The Developlnent Agreements will,also lieTp to insure that all the terms and
conditions adopted as pa~':t of tYie zoriing amendment will be f aithfully carried
out by the developer. A zoning revision process and penaTty clauses can be
inserfed into such contracts where' needed to insure full compliance with the
terms and conditions at'tached'to the zoning amendment.

ARTICLE 19.3
DEVELOPMENT AGRfEMENTS
19`.3-100 PIJRPOSE. The purpose of this article is to pe,rmit Development
Agreements pursuant to Article 2.5 (commenc_ing with Section b5864) of
Chapter 4 of Title 7 of the government Code, In connection therewith,
the City Council hereby finds as follows:
A. The lack of certainty in the approval of development projects can
result in a waste of resources, escalate the cost of housing and
other development to the consumer, and discourage investment in and
commitment to comprehensive planning whi'ch,would make maximum efficient
utilization of resources at the least economic cost to the public.
B. Assurance to the appli'cant for a developmen.t project that upon approval
of the project; the applicant may proceed with the project in accordance
with existing polici.es, rules and regul.at.ions, and subject to conditions
of approval, will strengthen the public planning process, encourage
. private participation in comprehensive planning, and reduce the
economic costs of development.
19.3-101 WHERE US'ED: NATl1R~E OF AGREEMENT. Development Agreements as defined
herein may be used in any zoning district authorized by this Zoning
Ordinance. Said agreements shall be considered a combining zone with
the existing district, and their appro~al shall be a legislative act,
subject to refe:rendum.
19.3-102 DEVELOFMENT A'GREEMENT AUTHORIZED. The c~ity may enter into a Development
Agreement with any person having a 1ega1 or equita'ble interest in
real property fo:r the development of sucfi proper"ty as prov'ided in
this articl.e, so .long as such person's interest entitles him to
engage in such development.

19.3-103 PROCEDURES. The procedures stated in this article shall govern the
issuance of Development Agreements.
19..3-104 APPLICATION. Application for a Deyel:opment Agreement shall be made
in the same fashion as.an application fo;r an amendment to the Zoning
Ordinance, as stated in Article 27 hereo,f; together with the additional
requirements of this article, to the ext'ent that requirements of said
Article 27 conflict wath this article, this article shall prevail.
In cases where both r.ezoning and a Dev:elopment Agreement are applied
for, duplicate documents need not be submitted. .
19.3-105 ADDITIONAL- REQUIREf~ENTS. In addition to the requirements of Sec-
tion 19.3=104, the following shall be submit.ted.:
A. A copy of the propose.d Development Agreement, or a substantive summary
of the terms proposed to be included in the agreement by the aPplicant.
B. A statement signed by the applicant setti~:ng out the justification for
the agreement, inc.Tuding a statement o:f special f.inancial or long
term project consideratio.ns which make p,reservation of existing
zoning requirements desirable throughoat the life of the project.
C. Submission of the:fili'ng fee as established by City Council resolution.
In the absence of such resolution, the fee shall be the same as for
a rezoning appl-ication.
19.3-106 HEAR`INGS RfQU`IR•ED. Notwithstandi'ng, other provisions of the Zoning
Ordinance,, a public hearing on an app~lication for a development
agreement shall 6e held by the Planning Commission and by the City
Council. Notice of intention to consider adoption of a Development
Agreement shall be given as provided in Sections 65854, 65854.5, and
65856 of the Gov,ernment Code, in addition to such other notice as may
be required by Taw for other actions to be con;sidered concurrently
with the Dev.elopment Agreement.

19.3-107 PERIODIC REVIEW. At least every 12 months the Director of Community
Development and,Planni'ng shall review tne project for good faith
compli.ance with the terms of the agreement by the applicant or successor
in interest thereto. In the event the Director determi'nes that there
is not good faith c:ompliance, he shall refer the matter to the Gity
Council, which shall determine, after a hearing, if good faith compliance
has occurred, If the City Council finds that',good faith compliance
has not occurred';- it may, in its sole•discre:tion, terminate or modify
the agreement in order to best prese~rye the pu,b:lic health, safety and
welfare.
19.3-108 REQUIREPIENTS OF AGREEMENT. A DeVelopment Ag.reement shall specify the
duration of the agreement, the permitted uses of the property, the
density or intensi.ty of use, the maximum height and size of proposed
buildings, and provisions for reservation or dedication of land for
public purposes. Th:e~Development Agreement may include conditions,
terms, restrictions, and requirements for su'bsequent discretionary
actions, provided.that such cond'iti~ons, terms, restrictions, and
requirements for su,bsequent discretionary ac~tions shall not prevent
development of the land for the, ases and to the-density or intensity
of development set forth in the agreement,. The agreement may provide
that construction shall be commenced~within. a specified time and that
the projeet or any phase thereof be eompl`eted within a specified
time. No such agreement shall conflict with the requirements of the
zone in.which the project is~located at the time the agreement is
approved;, and aTl su,ch.agreements._must 'be in conformity with the
General Plan as it exists at the time the~agreement is approved.
19.3-109 ENFORCEABIL~ITY;~REMEDIES. Unless amended or. canceled pursua~nt to
Section 19.3-107 or 19.3-111, a Developmen.t Agreement shall be enforce-
able by any party thereto notwithstanding any change in.any applicable
~general or specific plan, zoning;, subdivision, or building regulation
adopted by the city, which alters or amends the rules, regul°ations or
policies s.pecified in Section 19:.3-110. The remedies stated in this
art~ic]e shaTl not be construed as limiting any other remedy provided
by the Zoning Ordinance for Violation thereof.

19~.3-110 EFFECT OF AGREEMEN.T.:. Unless otherwise pro~id'ed by the Development
~ Agreement, rul~s, regulations., and officia-l po;licies go:Verning permitted

the city, in subsequent actions applica~ble to'the property, from

city from denying or conditionally approvi`ng any su6sequent development

19.3-111 AP~ENDMENT: CANCELLATION. A'Developme,nt Agreement may be amended, or
canceled in wliole or in p'art, by mutua] consent of the parties to the
agreement or thei'r suec'ess'ors in interes~t. Notice of intention to
amend or cancel any por"ti.on of the ~agreement._ shal~l be ~given in the
manner provided by Secti;on 19.3-11.0. An amendment to an agreement
shall be subjeet to,the provisions of .Sectio.n 19.3-101.
19.3-112 RECORDATTON'. No late,r~ than 10 days ;af'te_r the .city enters into a

19:3-T13 CONFLICTING REGULATIONS. In the event that applicable state or
federal laws or regul.ations, enacted after a Development Agreement
has been entered into, prevent or preclude comPliance with one or
more provisions of the Development Agreement, such provisions of the
agreement shall be modified or suspended as may be necessary to
comply with such state or federal laws or r.egulations.
