HomeMy WebLinkAboutResolution 2001-071 N.C.S. 03/19/2001 1 Resolution No. 2001-071 N.C.S. 2 of the City of Petaluma, California 3 4 APPROVING AN AGREEMENT BETWEEN IVIARDEL, LLC AND THE CITY OF 5 PETALUMA REGARDING THE ADOBE CREEK WEIR AND DIVERSION CHANNEL 6 AND AUTHORIZING THE CITY MANAGER TO SIGN SAID AGREEMENT 7 8 WHEREAS, Mardel, LLC is the developer of the Cross Creek residential subdivision located 9 generally at northeast conger of Casa Grande Road and Ely Boulevard South ;and 10 11 WHEREAS, as a condition. of approval of the final phase of Cross Creek, Mardel, LLC was 12 required to secure a Letter of Map Revision (LOMR) from the Federal Emergency Management 13 Agency based on the design and construction of a weir and diversion channel on Adobe Creek; 14 and 15 16 WHEREAS, as part of the process to secure the LOMR, the City and Mardel, LLC negotiated 17 the terms of an agreement by which the long-term maintenance and operation of the weir and 18 diversion channel can be addressed; and 19 20 WHEREAS, the City Council reviewed the terms and conditions of the agreement as part of its 2 t regular meeting of March 19, 2001. 22 23 NOW, THEREFORE, BE IT RESOLVED that the City Council of the City of Petaluma 24 hereby approves the Agreement Regarding the Adobe Creek Weir and Diversion Channel 25 (attached as Exhibit "A") and authorizes the City Manager to sign said agreement on behalf of 26 the City. 27 28 Under the power and authority conferred upon this Council by the Charter of said City. 29 REFERENCE: I hereby certify the foregoing Resolution was introduced and adopted by the 30 Council of the City of Petaluma at a Regular meeting on March 19, 2001, Appioved as to 31 by the following vote: o rn• 32 33 City Attome 34 AYES: O'Brien, Healy, Torliatt, Maguire, Moynihan, Mayor Thompson 35 NOES: Vice Mayor Cader-Thompson 36 ABSENT: None 37 38 ATTEST: 39 City C~ rk E. ark Thompson Reso. 2001-071 NCS AGREElv1ENT REGARDING WEIR AND DIV`ERS{ON CHANNEL MARDELL LLC, a California limited liability company, ("Mardel") and the CITY OF PETALUIvIA, a California charter city ("City") make this agreement on , 2001. Recitals A. In about.1990, the City~of'Pe.taluma approved a subdivision of what is now known as Adobe Creek Goff Course and retated housing development ("the .golf course property''). As a condition of approvai, City imposed" o.n the developer a requirement to construct a weir and diversion channel adjacent to the bores under Casa Grande Road at the easterly crossing of Adobe Creek ("the crossing''.). In 1990,the developer prepared, and` the C°ity approved, plans and specifications for the weir and diversion channel. B. In 1.995., the City of Petaluma approved the tentative. map for Cross Creek Subdivision at Mardel's request. One.of-the conditions of approval required Marde to~construct the weir and diversion channel according to the approved plans and specifications if the- developers. of the golf course property did not. C. Developers ofi the go f course property did not install the weir and diversion. channel as required. D. In 1997-98,, Mardei installed, the weir and diversion channel according to the approved: plans and specifications. Subsequently, at the City's request and with fhe involvement and. approval of the City and appropriate agencies, Mardel modified the weirand diversion channel... E. Mprd`el advised City that; although in Mardel's opinion Mardel has no obligation to do so, Mcirdei would contribute to a fund to maintain of the weir and diversion chann.ei at the crossing. F..City,.afterconsulting with the National Marine Fisheries Service, has advised Mardel that City -desires instead to make changes in the course of Adobe Creek. Regarding th,e weir and bypass channel; the parties agree as follows: A. City agrees it shall have sole responsibility to maintain and repair the weir and bypass channel. Cn order to assist .City to fund its obligation under.this supparagraph, Mardel ggrees to cooperate fully with the City to create a special flax district (under fhe Mello Roos .Facilities Act of 1982 or a similar charter city special tax procedure of the City, as determined by the City) incCuding the 12 tots described in Exhibit A hereto, provided: i. City shall use the special tax solely for the maintenance of the weir and bypass channel on Adobe.Creek,, which maintenance shall occur annually or at such other interval as deemed appropriate by the City for adequate preservation of the weir and channel. ii. the initial special tax shall not exceed th amount of $635:00 per lot per year, fhe special tax shall be leviedcommencing in the fiscal year 2001-2002; it shall increase. (but not decredse)~thereafter at the rate of the Consumer Price Index for San Francisco/:Oakland%San Jose area (all urbar consumers); and, unless otherwise specified by the City, it sha{I be collected' on 't.he pro.perfy tax rolls of the County of Sonoma. iii. Mardel shall complete, execute and file; such petitions, ba lots; and other documents as are required by the City to complete the successful. creation of the special tax district not later than August 1, 2001 iv. Mardel agrees to pay ali costs of creating the special tax district and agrees. to be solely responsible for the disclosure of the special t:ax obligafion to any initial purchasers. of fihe 12 Lots. v. provided, .City esteblishes the: special tax district on or before August 1,: 2001; qs pa,rf .of the proceedings for.the pedal tax district, a) City and Mardel agree. ,to cause to be recorded against the title to each of the 12 lots an appropriate .notice of special tax lien, which recording. shall take. place not less than 10 days before the close of any escrow befween °Mardel' and any third party, .notice of which escrow closing Mardel shall give: to City of least 15 days before the anticipated date of closing,. and ~b~~ Mardel .agrees that no escrow closing shall occur until the establishment :of the special tax and the special~~ tax lien has been recorded': vi'. if City fails to create the special 'tax. on or before August 1, 2001, Mardel's ob igafion .under this paragraph 1;A: shalt terminate but the other provisions of this Agreement shall remain in full force and effect. oso~ot ~~~ ~ ~ ~' ~ ~ Reso. 2001-0'71 B. City agrees it shall have. sole responsibility to repldce or repair the weir and;bypass'charrnel in the event of a catastrophic event. City shall immediafiely create a fund or account, not subject to the demands of the. City's general fund, for that purpose. In order to assist City to fund its obligation Mandel agrees to pay into that fund the sum of $5,000.00 for each of the dwellin°gs described in Exhibit A, payable when the City issues a certificate of occupancy for a parficular dwelling. Mardel's total obligation under.t;his paragraph shall be $60,0.00..00,. City shall use interest accruing to the City from. funds Mandel deposits under this paragraph. only for the purposes described above. C. City and Mandel agree to-work.cooperatively to obtain a maintenance-easement for the benefit of City over the property described. in Exhibit 8'. The easements shall be in the form shown in Exhibit C. If Mandel and City fail to obtain the easement described above on or before June 1',•2001, City sha11 promptly commence and pursue to completion .eminent domain proceedings to acquire the easement described above. Mandel agrees to pay all costs of the proceedings, including attorney-fees incurred by City, and to.pay the price for the easement established_'by or through the Sonoma County Superior Court, or by separate negotiations. City agrees to assert in the eminent domain .proceedings:-any rights it may have arising out of conditions of approval associated with development of lands affected by the easement described above.. Within ten (10) daysafter fihe parties execute this Agreement, Mandel shall post a cash bond in the amount of $20.,000.00 for the purpose of securing Mardel's obligations under this subparagraph. The total deposits under this subparagraph and subparagraph 2:G. shall not exceed $20,000.00: 2. A. Mard`el and City agree to work wifh the National Marine Fisheries Service ("NIvIFS") to return the main channel of Adobe Creek to the Creek's approximate former course for approximately 100 yards immediately upstream from the weir and. diversion channel. Exhibit D shows the ~ap.proximate former course of Adobe-Creek in the affected area. EXhibit E~is.a construc:fion plan showing: the scope of work that Mandel shall undertake ;(''the cope of work") Provided City obtains all the permits and permissions, described .below, Mandel agrees to perform and pay for. all work. necessary to complete the scope of work. Marti ol'~ work under this paragraph shall be complete when the' City s Director Comrnuriity`'Developrrient issues a letter to that effect. AS a condition precedent to City. issuing its sixth (b1h) through twelfth certificate of occupancy for dwellings completed by Nla~rdel, tilardel shall deposit with Cityt;he sum of $50,000.00. If the City notifies . Mandel in wrifiing that City cannot obtain the; permits and permission. or easements described in Secfion 2:C. within the time permitted in paragraph 2..C., City shall i. release all the bonds: described in Seefion 4,.and ii. release Mandel from any obligation arising out of Section . 2.A. in writing; whereupon Mandel shall release any clairrls it may have on its deposit and :City shall have the r-fight to establish a special fund, using the $50,000.00 Mandel deposited, plus interest that accrues, for the sole .purpose of maintaining and cleaning the improvements described :in Recital D and the culverts adjacent to those improvements. If City obtains the permits and permissions or easements wifh'in the time allowed and Mandel completes the improvements described :in Section 2.A., City shall .return the $50,000:00 deposit,. plus .interest that has accrued, at the. same time as Gity's Director of Community Development issues his letter of completion.. Completion of the improvements described. in Section 2:A. or Nlardel's release of the deposit under this subparagraph shall. constitute full performance of Mardel's'obligations under Section 2.A. G City agrees to obtain. on or before July 1,.2004, a) all permits for the work described in paragraph 2. A. from rill public agencies required by law and bj permission or easements from owners of fhe land on which Mandel will perform the work described in paragraph 2. A. Mardef shall not. commence work until City obtains all permits required by law and permission from all the owners.. Mandel shall pay all costs associated with obtaining permits from public agencies. The term "all permits for the work descnb.ed in .paragraph 2. A. from all public agencies required by law" means the permits City's Director of-Community Development de;termihes to be necessary. City shall be solely responsible to determine whether it has obtained dl1 necessary permits and permission or easements. City agrees to indemnify and hold Mandel harmless from all claims, penalties, damages; fines, costs, and any other consequence, including attorney fees and costs: Mandel incurs to defend itself, resvlfing from City's .negligent or intentional direction to Mandel to proceed on improvements described in this paragraph without City first obtaining all necessary permits and permission. D. Within 10 business days after the parties execute this Agreement., Mandel shall post with City the following: m ~ ~ s., ~; 030701 ~~ ~ ~ ~ Reso, 2001-0T1 i. a performance bond in the amount of $60;000.00 in a form acceptable to the City Attorney securing 'Mardel's obligation described in paragraph 2: ii. d labor and materials bond in the.amount of $30,000.00 securing Mardel's obligation to pay for labor and materials necessary to complete the scope of work. By their terms, the bonds shall expire on upon. 1'): completion of the work described the scope of work or 2J~ Mardel's funds deposited pursuant to paragraph 2.8. are released to City as provided in paragraph 2.8. City's Director of Community Developmenf shall release the bonds described in subparagraphs.Aand Bwithin 10 business days after he issues the letter of completion described in paragraph 2. E: City and Mardel agree to work cooperafively to obtain a construction easement :and a maintenance easement for the benefit of City over the property described in Exhibit F: The.. easements shall be in the form shown in Exhibit C. If Mardel and City fail. to obtain the easements described above on or before .June 1, 2001, City shall promptly commence and pursue to completion eminent domain proceedings to acquire: the easements described above.. Mardel agrees to pay all costs of the eminent domain proceedings, including, attorney fees incurred by City, and to pay :the price for the easements established by or through the SonomaCounty Superior Court, or by separate riegotia°tions. City agrees. to assert in the proceedings any rights it may have arising out of conditions of approval associated with development of lands affected by the easements described above. Within. ten ('1 O)' days after the parties execute this Agreement, ivlardel sha11 post a cash bond in the amount of $20,000.00 for the :purpose of securing Mdrdel's obligations under this subparagraph. Mar-del, .agrees that City may use funds that Mardel previously deposited ~in the Adobe Creek Monitoring and Maintenance Fund for maintenance and monitoring of the work described in the scope of work: Mardel shall not have any obligation to perform: or pay for monitoring or mdiritenance ~of the'work. described in, the scope of work or in Recital D. Mardel has already agreed to permit the City to use for `that same purpose the. $3Q`,000.00 fund Mardel prevlousiy deposited with the City ofi Petaluma. . v) Perform dll work in the creek :according to the Flowline Relocation attached hereto as Exhibit. E, subject to reasonable plan cheek modifications approved by the permitting agencies.. 3. City agrees to' issue building permits to Mardel for constructing residences on the 12 lots described in Exhibit A within 2 .business days .after FEMA issues the LO,N1R described in Exhibit G and Mardel posts the bond described in paragraph ZD. City 'agre'es. that Mandel shall be entitled to commence and complete construction of the 1.2 residences upon receipt of the building permits, provided that Mardel has satisfied all of the City's usual and customary requirements associated-with iss_"vance of building permits. City agrees to issue certificates. of occupancy for the 12 residences after Mardel reasonably requests them. City agrees not to withhold certificates of occupancy unreasonably; except City may withhold the sixfih {6th).through :twelfth (12th) certificate of: occupancy requested by Mandel until Mardel and City obtain the easements described in this Agreement or City obtains orders of possession. 4, ;.: ~ City agrees that within 5 business days after Mardel posts the performance bond and labor and materials bond, City will unconditionally withdraw in writing any.and al appeals it may have filed. with the Federal Ecriergeney Management Agency ("FEMA") regarding the Letter of Iv1`ap Revision described in the notice attached hereto as Exhibit G (thee LOMB''). _ 5. ;Mardel. hereby covenants and agrees to,; and'shall, indemnify, save harmless,: and defend, the City., its agents and/or employees against all claims, demands;. costs, and liabilities for damages of -any kind or nature including; but not limited to, damages for death or injury to any person {including,lvlardel's employees and agents) or damage or destruction to any property of either party hereto orthird 030701 ~~~ ~ ~~ ~ ~~ ~ Reso; 2001-07':1 persons in any manner arising out of or occasioned by ~Mardel's performance of'its obligations pursuant to this Agreement whether or not.contributed to any act or omission, active or negligent, or othenrvise, except for the active sole negligence or willful misconduct of the City orthe City's em.p ogees. The City may regain so much of the money due Mandel :as shall be considered ;necessary, until disposition has been made of claims or suits for damages as aforesaid. 6. Mardel shall procure and' maintain for the duration of the contract insurance against claims for injuries ~to :persons or damages: to property which may arise from or in connection with the ;performance of the work hereunder by Mandel, his agents, representatives, employees or subcontracfors. A. Minimum Scope of Insurance_ . Coverage -shall be at least as broad as: (1) Insurance Services Office . Commercial General Liability coverage. (occurrence from CG 0001). (2) Insurance Services Office form numb-er CA 0001 (.Ed. 1 %87) covering Automobile tigbility, code-1 (any auto)..- (3.) Workers' Compensation insurance as required. by the State of California and . Ernpioyer's Liability Insurance. B. Minimurri Limits of 6nsurdnce. Mandel shall° maintain limits no less than': (1) General Liability:: $1;000.;000 per occurrence for bodily injury, personal injury and property damage. If Commercial General Liability Insurance or other form with a ,general - aggregate liability is used, either-the general aggregate limit shall apply separately to this project/location or the general aggregate limit shall be twice the required occurrence limit. (2) .Automobile Liability:..$1,OOO,OOO per accident for bodily injury and property damage.. (3) Employer's Liability,: $1',000,000 per accident far~bodily injury or'disease. C. Deductibles and Self-Insured Retentions. Any deductibles orself-insured retentions mvust be declared to and approved by the City. At the option of the oso~o~ ~~ ~°~ ~ ;~ ~ Reso, 2001=07`1 City,. either: the insurer shall reduce~or eliminate uch deductibles orself-insured re.tentio:ns as respects the City, its officers, officials, employees, and volunteers; or Mardel shall . procure a' bond guaranteeing payment of losses and~reiated investigations, claim administration and defense expenses.. D. Other.lnsurance Provisions. The general .liability and automobile policies are to contain; or be endorsed to contain, the following provisions: (1) The Cify, its officers, officials:; employees, agents and volunteers are to be covered as insureds as respects; liability arising "out of activities performed by or on behalf of Mardel; products: and completed operations of Mardel; premises.owned_, occupied or used by Mardel; or automobiles owned, leased, hired or borrowed by Mardel. The coverage shall contain no special limitations on the aco:pe ofi profection afforded to -the City, its officers, officials, employees, agents or volunteers; Coverage shali not extend to any indemnity coverage. for the active negligence of the additional insured in ..any ease where an agreement to indemnify the additional insured would be invalid under . subdivision, (b) of ection 2782 of the Civil Code. (2) 'For any claims. related to this project, Nlardel's insurance coverage shall be primary insurance as respects the City, its officers., officials, emp.(oyees, agents and volunteers. Any insurance orself-insurance maintained by the City, its officers, officials, employees; agents or volunteers shall be excess of Mardel'`s insurance and shall not contribute wifh it. - (3) Any failure to comply with reporting or other provisions of the policies including breaches of warranties shall not affect coverage provided to the City, its officers, officials, :employees, agents or volunteers, '(4) Mardel's insurance halo apply - separately to each insured against whom claim is made or su.it'is brought except, with respect to the limits. of the insurer's liability. Ma~elel shall furnish the City with or-igiral endorsements effecting coverage required by this. clause. The endorsements are to be signed' by a person authorized by that insurer to bind coverage on its: behalf,.- The endorsements are to be on forms provided by the 'City: All endorsements are to be received and approved by the City before work commences. As an alternative to the City's forms, Mardel's insurer may provide complete,, certified copies of all required insurance policies, including endorsements effecting the cove"rage required by these specifications. G. :Subcontractors. - Mardel shall include all subcontractors as insureds under its policesor shall furnish separate cectificat-es anal endorsements'for each subcontractor. All coverages for subcontractors hall be subject to all of the requirements stated hErein." 7. Thisinstrume,nt constitutes the entire agreement between the. parties. regarding its subject matter. Any prior agreements, .promises,. negotiations, or represenfiations not expressly set forth in this Agreement shall have no_ . force or effect. Any amendment to this Agreement shall have no-force or effect unless: it is in writing and signed by all the parties. 9. In any action or proceeding to interpret or enTOrce this Agreement, the losing party shall pay the. prevailing party's actual attorneys' fees, costs, and expenses incurred,'including costs of enforcement,. in addition to any other relief granted. This paragraph shall apply also to resolution of an action' or proceeding by mediation, arbitration; or negotiated settlement.. 10. This Agreement binds,and inures to the bereft of the parties and their elected and appointed officials; .heir-s, personal representatives, successors, employees; subcontractors, shareholders; members, partners, agents, and assigns.. 1 l Each party and his orits-counsel have participated fully in the review and revision of this Agreement,.. Any rule of construction to-the effect that ambiguities are to be resolved against the drafting party shall not apply in interpreting this Agreement.
