Resolution No. 2008-047 N.C.S. of the City of Petaluma, California RESOLUTION AUTHORIZING THE CITY MANAGER TO ENTER INTO AN AGREEMENT WITH THE STATE FOR MAINTENANCE OF STATE HIGHWAY ROUTE 116/LAKEVILLE HIGHWAY, PROJECT NO. C500800 WHEREAS, the City of Petaluma widened State Highway Route 116/ Lakeville Highway from Caulfield Lane to Frates Road; and, WHEREAS, during the design phase of the State Highway Route 116/ Lakeville Highway Widening Project from Caulfield Lane to Frates Road, the City of Petaluma entered into a cooperative agreement with the State, whereby the City Agreed to maintain the items listed in the agreement entitled Agreement for Maintenance of State Highway Route 116/Lakeville Highway From Station 7 + 75 (Approximately 400 Feet Southeast of Caulfield Lane) to the City Limits of the City of Petaluma (Approximately 5,800 Feet Southeast of Pine View Way (Maintenance Agreement), attached hereto and made a part hereof; and, WHEREAS, in said Maintenance Agreement, the City of Petaluma agrees to maintain the items listed in Exhibit A (Delegation of Maintenance — City of Petaluma); and, WHEREAS, in 2006, the City of Petaluma annexed State Highway Route 116/ Lakeville Highway from Frates Road to the city limits on the southerly side of the City's oxidation ponds; and, WHEREAS, it is desirable to add the newly annexed portion of State Highway Route 116/ Lakeville Highway to the Maintenance Agreement because it would allow the City to approve or make improvements along this highway; and, WHEREAS, a new maintenance agreement is needed to replace an outdated agreement. Resolution No. 2008-047 N.C.S. Page I NOW, THEREFORE, DE IT RESOLVED that the City Council of the City of Petaluma hereby authorizes the City Manager to enter into the above referenced Maintenance Agreement for the maintenance of State Highway Route 116/Lakeville Highway. Under the power and authority conferred upon this Council by the Charter of said City. Page 2 AGREEMENT FOR MAINTENANCE OF STATE HIGHWAY ROUTE 116/ LAKEVILE HIGHWAY FROM STATION 7 + 75 (APPROXIMATELY 400 FEET SOUTHEAST OF CAULFIELD LANE) TO THE CITY LIMITS OF THE CITY OF PETALUMA (APPROXIMATELY 5,800 FEET SOUTHEAST OF PINE VIEW WAY) THIS AGREEMENT is made effective this day of , 20 , by and between the State of California, acting by and through its Department of Transportation, hereinafter referred to as " STATE", and the City of Petaluma, hereinafter referred to as "CITY". The Parties desire that CITY perform specific maintenance functions on those portions of State Highway 116 (SR-116) identified herein which is located within CITY's jurisdiction, all as is authorized in Section 130 of the Streets and Highways Code. This Agreement shall supersede any previous agreement for maintenance of the same identified portion of this State Highway of and/or amendments thereto entered into with CITY, III. CITY will perform such maintenance work as is specifically delegated to it on SR-116, or portions thereof, all as hereinafter described in Exhibit A and Exhibit B roadway plan, hereof, or as said Exhibits may be subsequently modified with the consent of the parties hereto, acting by and through their authorized representatives. Brief descriptions of those maintenance functions delegated to CITY are included in said Exhibits. IV. The degree or extent of maintenance work to be performed, and the standards therefore, shall be in accordance with the provisions of section 27 of the Streets and Highways Code and the then current edition of the State Maintenance Manual (a copy of which has been provided to CITY), or as may be prescribed from time to time in writing by the District Director and agreed to by CITY in writing. "District Director," as used herein, means the District Director of State's Oakland City Office or an authorized representative. While STATE reserves the option to inspect at random all areas of the SR-116 maintained by CITY, such random inspection does not preempt the CITY 's maintenance responsibilities as specified in this Agreement. An encroachment permit issued by the STATE will be required for third parties when maintenance work is re -delegated by City. Such re -delegated work shall be performed at the same levels of service as specified herein and will be subject to the same random inspections as provided for work performed directly by CITY forces. V. Nothing in the provisions of this Agreement is intended to create duties or obligations to or rights in third parties not parties to this contract or to affect the legal liability of either party to the contract by imposing any standard of care respecting the maintenance of State Highways different from the standard of care imposed by law. Vl. Neither STATE nor any officer or employee thereof is responsible for any injury, damage or liability occurring by reason of and to the extent arising from anything done or omitted to be done by CITY under or in connection with any work, authority or jurisdiction conferred upon CITY and arising under this Agreement. It is understood and agreed that CITY shall fully defend, indemnify and save harmless STATE and all of its officers and employees from all claims, suits or actions of every Resolution No. 2008-047 N.C.S. Page 3 name, kind and description brought forth under, including, but not limited to tortuous, contractual, inverse condemnation and other theories or assertions of liability occurring by reason of and to the extent arising from anything done or omitted to be done by CITY under this Agreement. VII. Neither CITY nor any officer or employee thereof is responsible for any injury, damage or liability occurring by reason of and to the extent arising from anything done or omitted to be done by STATE under or in connection with any work, authority or jurisdiction conferred upon STATE and arising under this Agreement. It is understood and agreed that STATE shall fully defend, indemnify and save harmless CITY and all of its officers and employees from all claims, suits or actions of every name, kind and description brought forth under, including, but not limited to tortuous, contractual, inverse condemnation and other theories or assertions of liability occurring by reason of and to the extent arising from anything done or omitted to be done by STATE under this Agreement. VIII This Agreement shall remain in full force and effective until amended by the mutual consent of the parties thereto or terminated by either party upon thirty (30) days' prior written notice to the other party. The City Manager of the City of Petaluma is authorized by the attached Resolution of the Petaluma City Council to approve or amend this Agreement on behalf of the City of Petaluma IN WITNESS WHEREOF, the parties hereto have set their hands and seals the day and year first above written. Page 4 EXHIBIT "A" TO MAINTENANCE AGREEMENT DELEGATION OF MAINTENANCE - CITY OF PETALUMA The specific maintenance function indicated below is hereby delegated to CITY at City's expense. This delegation of maintenance function set forth herein does not include the control and maintenance areas and functions which rest with CITY under the terms of executed. (Highway 101 Mainline) Freeway Agreements and/or Freeway Maintenance Agreements. A. Soundwall - CITY maintains the face of soundwalls (both sides). CITY maintains areas between the back of the soundwalls and the STATE right of way line behind the walls. B. Storm Drain - CITY owns and is responsible for structural maintenance of the 60-inch diameter storm drain located on the south side of Lakeville highway, running from the west side of Route 101 (Sta. 16+80), under the Route 101 separation (overstructure) and ending at McDowell Creek (Sta. 24+10). C. Fossil Filters in drainage inlets - CITY maintains the filters in four drop inlets in the Lakeville Highway (SR-116) Park and Ride Lot on the west side of Highway 101, CITY shall not remove or substitute these filters without written consent from the Army Corps of Engineers. D. The CITY shall clean, maintain, and repair the sidewalks and other appurtenances between the curb and the outer highway right-of-way boundary line. This maintenance includes watering, fertilizing, removal and trimming of trees and shrubs and control of weeds and pests in areas planted and installed by the City under a Caltrans encroachment permit. Weed and brush control, trimming and removal of trees, and pest control shall be to City of Petaluma standards. The sidewalk will be maintained under current CITY policy and procedure for sidewalk maintenance, In areas where abutting property owners are under legal obligation to perform the above work at their expense, the CITY is responsible to ensure work is preformed under current CITY policy and procedure for sidewalk maintenance. If an abutting property owner is working in State right-of-way, they shall first obtain a Caltrans encroachment permit for said work. Specific areas of maintenance shall include; 1. Sidewalks 2, Right-of-way maintenance on the south side of Route 116 Lakeville Highway from back of curb to STATE right-of-way line shown from Station 16+75 to McDowell Creek @ Station 24+50 (under and near the highway 101 separator/over structure). E. See areas of maintenance responsibility delineated on Exhibit B (plan attached). DELEGATION OF MAINTENANCE - STATE OF CALIFORNIA The specific maintenance function indicated below is hereby delegated to STATE at State's expense. This delegation of maintenance function set forth herein does not include the control and maintenance areas and functions which rest with the STATE under the terms of executed (Highway 101 Mainline) Freeway Agreements and/or Freeway Maintenance Agreements. A. Soundwalls -STATE maintains the structural integrity of the soundwalls. B. Storm Drain - STATE assumes routine maintenance responsibility for the 60-inch diameter storm drain, including the flap gate at the pipe outlet (Station 24+10) located in McDowell Creek. Maintenance by the STATE shall consist of regular cleaning, including removal of silt and debris as required for proper flap gate function Resolution No. 2008-047 N.C.S. Page 5 C. State maintains roadway, striping, signing, (except as provided for hereinafter), curb and gutter, and State Highway storm drain systems within State's right-of-way. CITY maintains directional signs installed under encroachment permit, parking regulatory signs, and street name signs as part of CITY obligation to maintain sidewalks and other appurtenances between the curb and outer highway right-of-way boundary line. D. The STATE shall maintain the area adjoining the southbound and northbound ramps to HWY 101 (Park and Ride lot included). This provides for cleaning, maintaining, and repairing of landscaping and other appurtenances between the curb and the outer highway right-of- way boundary line. This maintenance includes watering, fertilizing, removal and trimming of trees and shrubs and control of weed and pests in planted areas. It also includes weed and brush control by chemical, biological or mechanical methods, trimming and removal of trees and pest control. The STATE will follow the same policy and procedure State generally follows with respect to landscaping of the STATE in the manner of requiring repairs and control of vegetation to be made by or at the expense of abutting property owners who are under legal obligation to perform such work. E. See areas of maintenance responsibility delineated on Exhibit B (plan attached). COST SHARING OF ELECTRICAL FACILITIES BETWEEN THE CITY AND THE STATE: Street Lights; The STATE will not pay for the maintenance, installation, repair, servicing, and power for ordinary street lighting; however, lighting at intersections, which qualify as safety lighting under warrants approved/accepted by the STATE, will be paid for when approved and specifically authorized by the District Director. Where such lighting has been specifically authorized, the maintenance and operating costs thereof shall be shared between the STATE and the CITY on a pro rata basis in the same ratio as the number of legs in the intersection under each jurisdiction bears to the total number of legs. Signal Lights; The cost of maintaining traffic signals or other electrically operated traffic control devices now in place or those which may hereafter be installed at the intersection of any STATE highway route and any CITY street/road shall be shared between the STATE and the CITY on a pro rata basis in the same ratio as the number of legs in the intersection under each jurisdiction bears to the total number of legs. The same principle of cost distribution shall apply to freeway interchanges. The participation ratio shall be based on the ratio of the number of legs of the respective agencies to the total number of legs of the intersection. The physical repair and maintenance of all traffic signals within State right-of-way shall be the responsibility of the State. Resolution No. 2008-047 N.C.S.
