Summary Statement:
City Council is requested to approve an ordinance authorizing the City Manager to execute all documents
related to a grant of easement with Bedford Petaluma, SPE, Inc. over a 17,865 square foot portion of a
property owned by Bedford Petaluma, SPE, Inc. This easement will provide access to the Ellis Creek
Water Recycling Facility and the pedestrian trails, and allow installation of necessary utilities. Funding for
the cost of the easement is being provided by a grant from the California Coastal Conservancy.

14 1. EXECUTIVE SUNINIARV:

16 City Council is requested to introduce an ordinance authorizing the City Manager to execute all
17 documents relating to a grant of easement with Bedford Petaluma, SPE, Inc. over a 17,865
18 square foot portion of a property owned by Bedford Petaluma, SPE, Inc. This easement will
19 provide access to the Ellis Creels Water Recycling Facility and the pedestrian trails, and allow
20 installation of necessary utilities. Funding for the cost of the easement is being provided by a
21 grant from the California Coastal Conservancy.

27 2. BACKGROUND:

29 In February 2004, the City completed acquisition of 262 acres of land in the 4000 block of
30 Lakeville Highway for construction of the Ellis Creek Water Recycling Facility and
31 enhancement and preservation of 220 acres of open space and wetlands. Access to the property
32 will be provided from Lakeville Highway and from Cypress Drive. hi order to provide the
33 access from Cypress Drive, the City must perfect a grant of easement over a 17,865 square foot
34 portion of the property at 3880 Cypress Drive, which is owned by Bedford Petaluma, SPE, Inc.
35 (Bedford).

37 The Grant of Easement includes the following terms:

39 Easement is for public pedestrian and vehicular access, and the supply and
40 transmission of utilities, including gas, electricity, sewer and water.
41 Construction of 18 (eighteen) public parking spaces.
42 Cost consideration of $125,055.
I • The easement requires the lender to subordinate its security interest on the easement
2 property.
3 The easement is a covenant running with the land.
4 The easement is permanent.

6 The purchase price of the property was appraised at $250,110. The easement price of $125,055
7 is based on 50% of the appraised value. The California Coastal Conservancy has approved the
8 easement. The Conservancy is providing a grant to fund the entire purchase of the easement.
10 The subject parcel is shown in the maps on Attachment A (highlighted in yellow). The draft
11 Grant of Easement agreement is provided with the ordinance.

13 The City had originally intended to purchase the property. In December 2004, Bedford informed
14 the City they preferred to perfect a grant of easement, since a purchase would negatively impact
15 their company.

The cost to purchase the easement is $125,055. The California Coastal Conservancy is providing
a grant to fund the entire cost of the easement 2.
CONCLUSION:
This action will grant the City all necessary access and action on the subject property and support
construction of the Ellis Creek Water Recycling Facility.
6. OUTCOMES OR PERFORMANCE MEASUREMENTS THAT WILL IDENTIFY SUCCESS OR
COMPLETION:
Timely construction of the Ellis Creek Water Recycling Facility.
7. RECOMMENDATION:
City Management recommends the City Council approve the ordinance authorizing the City
Manager to all documents related to a grant of easement with Bedford Petaluma, SPE, Inc. for
access and installation of utilities to serve the Ellis Creek Water Recycling Facility.
This provision ensures the City's easement remains should Bedford default on its loan.
'' The Coastal Conservancy's grant to the City included purchasing this piece of property. Since the grant of
easement is the preferred transaction, the Coastal Conservancy has agreed to fund the purchase of the easement.

BE IT ORDAINED BY THE COUNCIL OF THE CITY OF PETALUMA AS FOLLOWS:
Section 1.
19 Bedford Property, SFE (Grantor) is the owner of a parcel of real property located at 3880
20 Cypress Drive, in the City of Petaluma, County of Sonoma, California, Sonoma County
21 Assessor's Parcel No. 005-090-062 ("Servient Tenement").

23 Section 2.
24 The City of Petaluma (Grantee) is the owner of real property near and contiguous to Seller's
25 Property consisting of Sonoma Comity Assessor's Parcel Nos. 068-001-033 and 068-001-034
26 ("Dominant Tenement") in the unincorporated area of the County of Sonoma upon which it
27 intends to relocate and construct a neva water recycling facility and attendant facilities.

30 Grantee is purchasing from Grantor an easement in, upon and across an approximate 17, 865
31 square foot portion of the Servient Tenement. Grantee is purchasing the Easement for, among
32 other things, public and private access to the Dominant Tenement, including public pedestrian
33 and vehicular access and the supply and transmission of utilities, including gas, electricity,
34 sewer, recycled water and water, to Grantee's property.

37 For such purposes, Grantee intends to construct an access road on the Easement and install a
38 maximum of eighteen (18) parking spaces adjacent to the access road.

I The City Council, on August 5, 2002, authorized City Management to seek grant funding from
2 the State Coastal Conservancy in support of the Ellis Creek Water Recycling Facility Project
3 (earlier referred to as the Petaluma Marsh Acquisition, Enhancement and Access Project). The
4 State Coastal Conservancy grant was approved in the amount of $2,000,000 on October 31,
5 2002.

8 Grantee has obtained grant funding from the California State Coastal Conservancy ("Coastal
9 Conservancy") for its purchase of the Easement.

This Agreement is made this —day ofAugust, 2005, byBEDFORD PETALUMA
SPE, INC., an Arizona corporation ("Grantor") and CITY OF PETALUMA, a public entity
("Grantee").
Recitals
A. Grantor is the owner of a parcel of real property located at 3880 Cypress
Drive, in the City of Petaluma, County of Sonoma, California, Sonoma County Assessor's
Parcel No. 005-090-062 ("Servient Tenement"), and more particularly described in Exhibit A
attached hereto and made a part hereof.
B. Grantee is the owner of real property near and contiguous to Seller's Property
consisting of Sonoma County Assessor's Parcel Nos. 068-001-033 and 068-001-034
("Dominant Tenement") in the unincorporated area of the County of Sonoma upon which it
intends to relocate and construct a new water recycling facility and attendant facilities and to
develop the Petaluma Marsh Acquisition, Enhancement and Access Project. The Dominant
Tenement is more particularly described in Exhibit B, attached hereto and made a part
hereof.
C. Grantee is purchasing from Grantor an easement in, upon and across an
approximate 17, 865 square foot portion of the Servient Tenement, as more particularly
described in the attached Exhibit C ("the Easement"). Grantee is purchasing the Easement
for, among other things, public and private access to the Dominant Tenement, including
public pedestrian and vehicular access and the supply and transmission of utilities, including
gas, electricity, sewer and water, to Grantee's property.

D. For such purposes, Grantee intends to construct an access road on the
Easement and install a maximum of eighteen (18) parking spaces adjacent to the access road.
E. Grantee has obtained grant funding from the California State Coastal
Conservancy ("Coastal Conservancy") for its purchase of the Easement. A requirement of
such funding is Grantee's execution of an Irrevocable Offer to Dedicate the Easement to the
Coastal Conservancy in the form of the attached Exhibit D.
NOW, THEREFORE, in consideration of the mutual covenants and promises below
set forth, it is agreed as follows:
1. In consideration for payment of the sum of One Hundred Twenty -Five
Thousand Fifty-five Dollars ($125,055.00) from Grantee, receipt of which is hereby
acknowledged, Grantor hereby grants and transfers to Grantee, its successors and assigns, a
perpetual exclusive Easement in, upon and across the property described in the attached
Exhibit C.
2. The Easement is for the purpose of public and private access to Grantee's
property, including public pedestrian and vehicular access, the construction of a road and a
maximum of eighteen (18) public parking spaces for the same, and the supply and
transmission of utilities, including gas, electricity, telephone, cable, fiber optic, sewer and
water to Grantee's property.
3. The Easement granted herein is appurtenant to the Dominant Tenement and is
a covenant running with the land.
4. Grantor consents to Grantee's execution of the Irrevocable Offer to Dedicate
the Easement to the Coastal Conservancy, in the form attached hereto as Exhibit D.
5. This grant of Easement, and all rights and obligations pursuant to it, are
subj ect to the condition precedent of the execution by Grantors' lender, John Hancock Life
Insurance Company, of agreements by which the lender subordinates its security interest in
the easement property, Exhibit C, to the rights created by this grant of easement, and to the
Irrevocable Offer to Dedicate the Easement to the Coastal Conservancy.
6. Grantee, its successors and assigns, hereby agrees to indemnify and hold
Grantor harmless from any claim, right, demand, or action for any damages, injuries, costs or
expenses which result from the use of the Easement by Grantee, its successors, assigns,
employees, invitees and licensees.

7. This instrument shall bind and inure to the benefit of the respective successors
and assigns of the parties hereto. Such successive owners are bound by this instrument for
the benefit of the land owned by Grantee.

those tracts of "The Petaluma Ranch", shown upon a subdivision map of said Rancho, as made by Rowe
Brothers, on file in the Recorders Office of said Sonoma County as Lots 229, 230 and 231 and being a

All that portion of land lying in the County of Sonoma, State of California, within a portion of
those tracts of "The Petaluma Ranch", shown upon a subdivision map of said Rancho, as made by Rowe
Brothers, on file in the Recorder's Office of said Sonoma County as Lots 229, 230 and 231 and being a
portion of the lands conveyed to Richard and Faith Gray, his wife, in Deed recorded in Book 3537 of
Official Records, at Page 913, Sonoma County Records, said lands being more particularly described as
follows:

Beginning on the Northwesterly line of the Lands of Richard and Faith Gray as shown on that
certain Record of Survey entitled "Lands of Richard and Faith Gray" recorded in the Office of said

monument tagged RLS 5493, marking the intersection of the Southerly right-of-way line of State Highway

also being the Northwesterly comer of said Lands of Gray, bears North 36° 23' 57" East 365.98 feet,

ordinary high water line of the Petaluma River, thence Northwesterly along said natural ordinary high
water line to a point on the Northwesterly line of said Lands of Richard and Faith Gray and Lot 229,
thence along said Northwesterly line North 35" 33' 57" East to said meander comer on the Northwesterly
line of said Lands of Richard and Faith Gray and Lot 229, thence continuing along said line North 35' 33'

California, in Book 359 of Maps, Page 4, being more particularly described as follows:
Beginning at the Northeast corner of said Lot 23, thence along the Easterly line
of said Lot, South 360 16'53" West 70.00 feet, thence leaving said Easterly line, North
540 31' 54" West 258.27 feet more or less, to a point on a curve concave to the
Northwest having a radius of 57.00 feet, said point also lying on the Westerly line of
