HomeMy WebLinkAboutStaff Report 4.D 12/17/2018DATE: TO: FROM: SUBJECT December 17, 2018 Honorable Mayor and Members of the City Council through City Manager Jared Hall, Transit Division Manager Resolution Awarding a Contract to Complete Coach Works for the Rehabilitation of a 1999 New Flyer Bus RECOMMENDATION It is recommended that the City Council adopt the attached Resolution Awarding a Contract to Complete Coach Works for the Rehabilitation of a 1999 New Flyer Bus. BACKGROUND The City currently operates a fleet of 14 fixed route buses and 9 paratransit vehicles. Of these, three (3) 1999 New Flyer fixed route buses have reached the end of their useful life. The City wishes to perform rehabilitation to extend the life of one (1) 1999 New Flyer transit bus using existing federal and state transit funding. DISCUSSION A Request for Proposals (RFP) was issued on August 16, 2018 in order to select a vendor for rehabilitation of a 1999 New Flyer transit bus. The contract calls for rehabilitating one 1999 New Flyer bus in FY 19 with two additional, one-year optional extensions included for rehabilitating one vehicle per year in FY 20 and FY 21. The RFP covered all relevant aspects of interior and exterior bus refurbishment and all associated components including but not limited to: drivetrain, paint, window replacement, seat refurbishment, among others. One proposal was received on September 14th, 2018 from Complete Coach Works. A best and final offer was requested on October 18, 2018 and received on October 30, 2018 from Complete Coach Works. The competitive selection process followed both City and Federal Transit Authority (FTA) procurement guidelines. The RFP complied with FTA guidelines calling for a "competitive proposal" selection method by stating that proposals would be scored based on the following weighted criteria: • Qualifications and Experience with Similar Projects (30%) • References (20%) • Warranty (15%) • Work Plan (10%) • Cost (25%) A Selection Committee comprised of City staff and MV Transit staff reviewed the proposal, found it to be in line with budgetary estimates and industry standards, and reached a consensus on the recommendation of awarding the contract to Complete Coach Works. They are considered to be the industry standard for bus refurbishment and have been awarded over a dozen bus rehabilitation contracts within the state of California. All references contacted were highly complementary of Complete Coach Works and their work quality and warranty coverage. On December 6th, the Transit Advisory Committee (TAC) added its support by recommending that Council award the contract to Complete Coach Works. The cost, if the City chose to refurbish three buses is $906,525. This amount includes a per bus cost of $296,777 for the base contract with additional cost of $5,399 for inclusion of the optional fire suppression system for a total of $302,176 per bus. In comparison to the $302,176 vehicle refurbishment cost, purchase of a new fixed route transit bus would exceed $700,000. The bus refurbishment is anticipated to provide an additional 12 years to the vehicle's life expectancy, which is comparable to the life expectancy for a new bus. This is the first bus refurbishment conducted by Petaluma Transit and will help to determine the cost effectiveness of the project and whether future contract extensions and refurbishments are warranted. As part of the contract, Complete Coach Works will provide a one-year standard manufacturer warranty that covers repair or replacement of any faulty components, and a five-year, unlimited mileage warranty for the refurbished Cummins diesel engine. The action sought tonight is approval of a contract to refurbish one bus. If additional buses are proposed for refurbishment, an item indicating such would be brought before the City Council for consideration. The project is anticipated to take six months for rehabilitation of the first bus scheduled for June 2019. FINANCIAL IMPACTS The proposed action will require an increase of $27,176 in the project line item identified in the FY 19 Capital Improvement Plan which is currently budgeted at $275,000 in the approved FY 19 budget. If approved, staff will provide the necessary budget adjustment request during the mid- year budget adjustment process. Funding for the refurbishments will be derived from Federal 5307, urbanized area, and State Transportation Development Act funding, and is available to cover the proposed minor budget amendment. Exhibit A to Resolution— Professional Services Agreement with Exhibit A (Scope of Services, Schedule, and Method of Payment) to PSA RESOLUTION AWARDING A CONTRACT TO COMPLETE COACH WORKS FOR THE REHABILITATION OF A 1999 NEW FLYER BUS WHEREAS, the City of Petaluma seeks to provide for a range of attractive and viable transportation alternatives, such as bicycle, pedestrian, rail, and transit as a guiding principal in the 2025 City General Plan; and WHEREAS, the City of Petaluma Department of Public Works & Utilities has identified transit as a vital piece of achieving multimodal accessibility through Petaluma; and WHEREAS, the City of Petaluma has provided fixed route transit service ("Petaluma Transit") and paratransit service ("Petaluma Paratransit") service throughout the City for over four decades; and and WHEREAS, the City of Petaluma seeks to provide a safe and well-maintained bus fleet; WHEREAS, three 1999 New Flyer transit buses in the Petaluma Transit bus fleet are reaching the end of their useful life and in need of replacement or refurbishment to maintain a healthy bus fleet; and WHEREAS, an RFP for bus refurbishment of a 1999 New Flyer bus was issued on August 16, 2018 with initial responses due on September 14, 2018; and WHEREAS, one proposal from Complete Coach Works was received; and WHEREAS, the Selection Committee found that the Complete Coach Works proposal contained an effective project approach to fulfill the Scope of Work and have sufficient credentials to adequately complete the project; and WHEREAS, the negotiated price of the contract is $27,176 above the approved FY 19 CIP budget of $275,000 and will require a mid -year budget adjustment using available Federal and State transit funding; and WHEREAS, the Selection Committee and staff recommend the City Council award the one-year contract with options available for two additional, one-year extensions to Complete Coach Works, based on the Selection Committee and staff review of their responsive proposal. NOW, THEREFORE, BE IT RESOLVED by the City Council of the City of Petaluma that the City Council awards the Professional Services Agreement (PSA), included as Exhibit A, for the Refurbishment of a 1999 New Flyer Transit Bus to Complete Coach Works, which is consistent with the responsive proposal submitted by Complete Coach Works and any agreed modifications thereto and authorizes and directs the City Manager to execute the PSA conditioned on Complete Coach Works timely execution of the PSA and submittal of all required documents, including but not limited to, certificates of insurance and endorsements, in accordance with the RFP. WHEREAS, the Parties enter into this Agreement for the purpose of Consultant providing professional services to City under the terms and conditions set forth herein. THEREFORE, in consideration of the mutual covenants contained in this Agreement, the Parties agree as follows: 1. Services. Contractor shall provide the services as described in and in accordance with the schedule set forth in "Exhibit A" attached hereto and incorporated herein ("Services"). 2. Compensation; Business Tax Certificate. A. For the full performance of the Services as described herein, City shall compensate Contractor in accordance with the rates specified in exhibit A. B. Consultant shall submit detailed invoices reflecting all services performed during the prior period, and including a revised schedule for performance and additional documentation requested by City, as applicable. C. City's obligation to pay compensation to Consultant as provided herein is contingent upon Consultant's performance of the Services pursuant to the terms and conditions of this Agreement and any amendments thereto. 3. Term. The term of this Agreement commences on the Effective Date, and terminates on June 30 2019 with options to extend until June 30, 2021, unless sooner terminated in accordance with Section 4. Upon termination, any and all of City's documents or materials provided to Consultant and any and all of the documents or materials prepared for City or relating to the performance of the Services, shall be delivered to the City as soon as possible, but not later than fourteen (14) days after termination of the Agreement. 4, Termination. City may terminate this Agreement without cause upon ten (10) days' written notice. City may immediately terminate or suspend this Agreement for cause. Cause for immediate termination or suspension shall include, but not be limited to, any breach of this Agreement by Consultant or Consultant's bankruptcy or insolvency. Upon receipt of notice of termination or suspension for cause, Consultant shall immediately stop all work in progress under this Agreement. In the event of early termination of this Agreement by City, Consultant shall be entitled to payment for all Services performed to the date of termination to the extent such Services were performed to the satisfaction of City in accordance with the terms and conditions of this Agreement. If City terminates this Agreement for cause, Consultant shall be liable to City for any excess cost City incurs for completion of the Services. 5. Consultant's Representation; Independent Contractor. Consultant represents that Consultant possesses distinct professional skills in performing the Services. City has relied upon said representation as a material inducement to enter into this Agreement. Consultant shall, therefore, provide properly skilled professional and technical personnel to perform all Services under this Agreement. It is expressly understood that Consultant and its agents and employees, shall act in an independent capacity and as an independent contractor and not as officers, employees or agents of City. This Agreement shall not be construed as an agreement for employment. 6, Facilities and Equipment. Consultant shall, at its sole cost and expense, furnish all facilities and equipment that may be required for furnishing Services pursuant to this Agreement. City shall furnish to Contractor no facilities or equipment, unless the City otherwise agrees in writing to provide the same. 7. Licenses, Permits, Etc. Consultant shall, at Consultant's sole cost and expense, keep in effect at all times during the term of this Agreement any licenses, permits or other such approvals which are legally required for performing the Services. Time. Consultant shall devote such time to the performance of the Services as may be reasonably necessary for satisfactory performance of Consultant's obligations pursuant to this Agreement. 9, Inspection. Consultant shall provide the City every reasonable opportunity to ascertain that the Services are being performed in accordance with the requirements and intentions of this Agreement. The inspection of such work shall not relieve Consultant of any of its obligations pursuant to this Agreement. 10. Progress Reports. Upon the City's request, Consultant shall provide, in a form acceptable to City, written progress reports of all oral and written observations, opinions, recommendations, analyses, progress and .conclusions related to Consultant's performance of the Services. 11. C'onfdentialitV. In the course of Consultant's employment, Consultant may have access to trade secrets and confidential information, disclosure of which is protected or limited by law. Consultant shall not directly or indirectly disclose or use any such confidential information, except as required for the performance of the Services. 12. Conflict of Interest. Consultant represents that it presently has no interest, and covenants that it shall not acquire any interest, direct or indirect, financial or otherwise, which would conflict in any manner or degree with the performance of the Services hereunder. Consultant further covenants that, in the performance of this Agreement, it shall not employ any subcontractor or person having such a conflict of interest. Consultant represents that no one who has or will have any financial interest under the Agreement is an officer or employee of City. If such conflict of interest arises during this Agreement or any extension, Consultant will immediately advise City and City may, at its sole discretion, immediately terminate this Agreement. Certain Consultants are subject to the requirements, including the disclosure and reporting requirements, of the City's Conflict of Interest Code adopted pursuant to the Political Reform Act. Such Consultants subject to the City's Conflict of Interest Code include those whose work may involve: making government decisions regarding approval or adoption of rates, rules, or regulations, action on permits or other applications, authorization to enter into or modify contracts, or approval of plans, designs, reports, or studies. Consultant agrees to comply fully with all such requirements to the extent they apply to Consultant's performance of the Services. 13. Consultant No Agent. Except as City may specify in writing, Consultant shall have no authority, express or implied, to act on behalf of City in any capacity whatsoever as an agent. Consultant shall have no authority, express or implied, pursuant to this Agreement to bind City to any obligation whatsoever. 14. Standard of Performance. Consultant shall perform all the Services in a manner consistent with the standards of Consultant's profession. All instruments of service of whatsoever nature, which Consultant delivers to City pursuant to this Agreement, shall be prepared in a substantial, first class and workmanlike manner and conform to the standards of Consultant's profession. All such instruments of service shall become the sole and exclusive property of City upon delivery of the same. 15. Assignment/Transfer. No assignment or transfer in whole or in part of this Agreement shall be made without the prior written consent of City. 16. Subcontractors. Consultant shall directly perform all Services, and shall not subcontract any portion of performance of the Services without the prior written consent of City. Any such subcontractors shall be required to comply, to the full extent applicable, with the 3 PROFESSIONAL SERVICES AGREEMENT—PREVAILING WAGES (1037730) Mar 2018 terms and conditions of this Agreement, including but not limited to, procuring and maintaining insurance coverage as required herein and which shall name City as an additional insured. 17. Compliance With All Laves. Consultant shall fully comply with all applicable local, state and federal rules, laws, regulations and ordinances pertaining to the performance of the Services required hereunder, including but not limited to, the California Building Standards Code as in effect in the City, the Americans with Disabilities Act, and any laws and regulations related to any copyright, patent, trademark or other intellectual property right involved in performance of the Services. Consultant's failure to comply with any law(s) or regulation(s) applicable to the performance of the Services hereunder shall constitute a material breach of this Agreement. To the extent that any other government agency or entity provides compensation for any Services, Consultant shall comply with all rules and regulations applicable to such fiscal assistance. 18, Prevailing Wages. This Agreement is subject to the requirements of the California Prevailing Wage Law, California Labor Code Section 1720 et seq., and the Services as described in Exhibit A will be performed in accordance with all applicable requirements of the California Prevailing Wage Law, including, but not limited to, all applicable requirements contained in Exhibit C, which is attached to and made a part of this Agreement. 19, Living Wage Ordinance. Without limiting the foregoing Section 17, Consultant shall comply fully with all applicable requirements of Petaluma Municipal Code, Chapter 8.36, Living Wage (the "Living Wage Ordinance"), as the same may be amended from time to time. Upon the City's request Consultant shall promptly provide to the City documents and information verifying Consultant's compliance with the requirements of the Living Wage Ordinance, and shall within fifteen (15) calendar days of the Effective Date of this Agreement, notify each of its affected employees as to the amount of wages and time off that are required to be provided to them pursuant to the Living Wage Ordinance. The Acknowledgement and Certification Pursuant to City of Petaluma Living Wage Ordinance, attached to this Agreement at Exhibit C, shall be a part of this Agreement for all purposes, and Consultants that are subject to Living Wage Ordinance requirements, as determined by the City, must provide a properly completed Exhibit C in accordance with the requirements of the Living Wage Ordinance. Consultant's noncompliance with the applicable requirements of the Living Wage Ordinance shall constitute cause for City's termination of this Agreement pursuant to Section 4 hereof. 20. Discrimination. During the performance of this Agreement, Consultant shall not discriminate against any employee or applicant for employment because of race, religion, creed, color, national origin, ancestry, gender, sexual orientation, age or physical or mental disability in violation of any applicable law. 21. Notice. Except as otherwise specified in this Agreement, all notices to be sent pursuant to this Agreement shall be made in writing, and sent to the Parties at their respective addresses specified below or to such other address as a Party may designate by written notice delivered to the other Party in accordance with this Section. All such notices shall be sent by: 4 PROFESSIONAL SERVICES AGREEMENT — PREVAILING WAGES (1037730) Mar 20l 8 0 (i) personal delivery, in which case notice is effective upon delivery; (ii) certified or registered mail, return receipt requested, in which case notice shall be deemed delivered on receipt if delivery is confirmed by a return receipt; (iii) nationally recognized overnight courier, with charges prepaid or charged to the sender's account, in which case notice is effective on delivery if delivery is confirmed by the delivery service; or (iv) facsimile transmission, in which case notice shall be deemed delivered upon transmittal, provided that (a) a duplicate copy of the notice is promptly delivered by first-class or certified mail or by overnight delivery, or (b) a transmission report is generated reflecting the accurate transmission thereof. Any notice given by facsimile shall be considered to have been received on the next business day if it is received after 5:00 p.m. recipient's time or on a nonbusiness day. Ownership of Documents. All original papers, documents or computer material on disk or microfilm, and copies thereof, produced as a result of this Agreement, shall be the property of City and may not be used by Consultant without the written consent of City. Copies of such documents or papers shall not be disclosed to others without the written consent of the City Manager or his or her designated representative. 23. Indemnification, the maximum extent permitted by law, Consultant shall, at its own expense, indemnify, defend with counsel acceptable to the City, (which acceptance will s PROFESSIONAL SERVICES AGREEMENT—PREVAILING WAGES (1037730) Mar 2018 10 not be unreasonably withheld), and hold harmless City and its officers, officials, employees, agents and volunteers ("Indemnitees") from and against any and all alleged liability, loss, damage, claims, suits, actions, arbitration proceedings, administrative proceedings, regulatory proceedings, civil penalties and fines, expenses and costs (including, without limitation, claims expenses, attorney's fees and costs and fees of litigation) (collectively, "Liability") of every nature, whether actual, alleged or threatened, arising out of or in connection with the Services or Consultant's failure to comply with any of the terms of this Agreement, regardless of any fault or alleged fault of the Indemnitees. The Consultant's obligation to indemnify, defend and hold harmless under this provision shall not be excused because of the Consultant's inability to evaluate Liability, or because the Consultant evaluates Liability and determines that the Consultant is not or may not be liable. The Consultant must respond within 30 calendar days to any tender for defense and indemnity by the City, unless the time for responding has been extended by an authorized representative 'of the City in writing. If the Consultant fails to accept tender of defense and indemnity within 30 calendar days, in addition to any other remedies authorized by law, so much of the money due or that may become due the Consultant under this Agreement as shall reasonably be considered necessary by the City, may be retained by the City until disposition has been made of the matter subject to tender, or until the Consultant accepts the tender, whichever occurs first. In the event that the City must file responsive documents in a matter tendered to Consultant prior to Consultant's acceptance of tender, Consultant agrees to fully reimburse all costs, including but not limited to attorney's fees and costs and fees of litigation, incurred by the City in filing such responsive documents. The Consultant waives any and all rights to express or implied indemnity against the Indemnitees concerning any Liability of the Consultant arising out of or in connection with the Services or Consultant's failure to comply with any of the terms of this Agreement. The defense and indemnification obligations of this Agreement are undertaken to, and shall not in any way be limited by, the insurance obligations contained in this Agreement pursuant to section 24. Notwithstanding the foregoing, to the extent this Agreement is a "construction contract" as defined by California Civil Code Section 2783, as may be amended from time to time, Consultant's duty to indemnify under this provision shall not apply when to do so would be prohibited by California Civil Code Section 2782, as may be amended from time to time. Notwithstanding the foregoing, to the extent that the Services include design professional services subject to California Civil Code Section 2782.8, as may be amended from time to time, Consultant's duty to indemnify shall only be to the maximum extent permitted by California Civil Code Section 2782.8. 24. Insurance. Consultant shall comply with the "Insurance Requirements for Consultants" in Exhibit B, attached hereto and incorporated herein by reference. City reserves the right to review any and all of the required insurance policies and/or endorsements, but has no obligation to do so. City's failure to demand evidence of full 6 PROFESSIONAL SERVICES AGREEMENT—PREVAILING WAGES (1037730) Mar 2018 II compliance with the insurance requirements set forth in this Agreement or City's failure to identify any insurance deficiency shall not relieve Contractor from, nor be construed or deemed a waiver of, its obligation to maintain the required insurance at all times during the performance of this Agreement. 25, Amendment. This Agreement may be amended only by a written instrument executed by both Parties. 26, Litigation. If litigation ensues which pertains to the subject matter of Consultant's services hereunder, Consultant, upon request from City, agrees to testify therein at a reasonable and customary fee. 27. Construction, This Agreement is the product of negotiation and compromise on the part of both Parties and that the Parties agree that, notwithstanding Civil Code Section 1654, any uncertainty in the Agreement shall not be construed against the drafter of the Agreement. 28, Governing Law; Venue. This Agreement shall be enforced and interpreted under the laws of the State of California and the City of Petaluma. Any action arising from or brought in connection with this Agreement shall be venued in a court of competent jurisdiction in the County of Sonoma, State of California. 29, Non -Waiver. The City's failure to enforce any provision of this Agreement or the waiver thereof in a particular instance shall not be construed as a general waiver of any part of such provision. The provision shall remain in full force and effect. 30. Severability. If any term or portion of this Agreement is held to be invalid, illegal, or otherwise unenforceable by a court of competent jurisdiction, the remaining provisions of this Agreement shall continue in full force and effect. 31, No Third Party Beneficiaries. The Parties do not intend to create, and nothing in this Agreement shall be construed to create any benefit or right in any third party. 32. Mediation. The Parties agree to make a good faith attempt to resolve any dispute arising out of this Agreement through mediation prior to commencing litigation. The Parties shall mutually agree upon the mediator and shall divide the costs of mediation equally. 33. Consultant's Books and Records. A. Consultant shall maintain any and all ledgers, books of accounts, invoices, vouchers, canceled checks, and other records or documents evidencing or relating to charges for services, or expenditures and disbursements charged to the City for a minimum period of three (3) years or for any longer period required by law, from the date of final payment to Consultant pursuant to this Agreement. B. Consultant shall maintain all documents and records which demonstrate performance under this Agreement for a minimum period of three (3) years or for any longer period required by law, from the date of termination or completion of this Agreement. 7 PROFESSIONAL SERVICES AGREEMENT — PREVAILING WAGES (1037730) Mar 2018 12 C. Any records or documents required to be maintained pursuant to this Agreement shall be made available for inspection or audit, at any time during regular business hours, upon written request by the City Manager, City Attorney, City Finance Director, or a designated representative of these officers. Copies of such documents shall be provided to the City for inspection at Petaluma City Hall when it is practical to do so. Otherwise, unless an alternative is mutually agreed upon, the records shall be available at Consultant's address indicated for receipt of notices in this Agreement. D. Where City has reason to believe that such records or documents may be lost or discarded due to dissolution, disbandment or termination of Consultant's business, City may, by written request by any of the above-named officers, require that custody of the records be given to the City and that the records and documents be maintained in Petaluma City Hall. Access to such records and documents shall be granted to any party authorized by Consultant, Consultant's representatives, or Consultant's successor in interest. 34, Headings. The headings used in this Agreement are for convenience only and are not intended to affect the interpretation or construction of any provisions herein. 35. Survival. All obligations arising prior to the termination or expiration of this Agreement and all provisions of this Agreement allocating liability between City and Consultant shall survive the termination or expiration of this Agreement. 36. Entire Agreement. This Agreement, including the exhibits attached hereto and incorporated herein, constitutes the entire agreement between the Parties with respect to the Services, and supersedes all prior agreements or understandings, oral or written, between the Parties in this regard. OF SERVICES i. PROJECT DESCRIPTION The contract provides terms for rehabilitation of one 40' 1999 New Flyer transit bus. CONTRACTOR shall be responsible for transporting the vehicles from the City of Petaluma facility to the location where the work is to be performed, and for returning the vehicles to the CITY facility when all required work is completed. Any revisions to this Scope of set -vices will be issued and distributed as Addenda. ii. CONTRACTING AGENCY The City of Petaluma, Public Works & Utilities Department, Transit Division, will administer the contract. iii. DEFINITIONS 1. "CITY" refers to the City of Petaluma, a California Charter City and municipal corporation. 2. "Days" refers to working days of the City of Petaluma when used in context with The City's protest procedures and refers to working days of the Federal Government when used in context with FTA. 3. "File" or "submit" refer to the date of receipt by the City and/or FTA. 4. "Exhaustion of administrative remedies at the grantee level" means any action or inaction on the part of The City which is prejudicial to the position taken in a written protest filed with The City. It may include, but is not limited to: ■ A final Agency decision on the merits protest. ■ Agency acquiescence in and active support of continued and substantial contract performance despite the pendency of a protest. 5. "Local" as used herein, refers to the City of Petaluma, County of Sonoma, and the State of California. When used in conjunction with the phrase "laws and regulations" it is construed to mean only those laws or regulations associated with the provision of public mass transportation and the use of public funds. It is not construed to include the purchasing and/or protest procedures used by either of the aforementioned entities. 6. "Interested party" includes all Contractors on the contract or procurement. The term may also include a SUBCONTRACTOR or supplier at any tier who shows that he/she has a substantial economic interest in a provision of the contract or of the interpretation of such a provision. 7. Deleted 8. "Transit Manager" as used herein, refers to the Transit Division Manager of the City of Petaluma. 9. "Bus" refers to a single 1999 New Flyer Transit Bus. 7 20 Exhibit A-1 a 10. "Violation of Federal law or regulation" is defined as the infringement of any valid requirement imposed by Federal statute or regulation, which governs the letting of contracts pursuant to a grant agreement. However, any protests involving a local matter and/or determinations that are clearly within the discretionary powers of The City include, but are not necessarily limited to, determinations of responsiveness and responsibility, the revision of specifications to incorporate the evaluation of life- cycle costing (LCC) factors in connection with any given procurement and determinations regarding bonding requirements. In other words, the protestor must be able to demonstrate or establish a clear violation of the prohibition against unduly exclusionary and restrictive specifications, or a violation of the Buy America requirements. 11. "FTA" as used herein, refers to the United States Federal Transit Administration. 12. "CONTRACTOR" refers to the company who is awarded the contract for providing any or all of the products and services described in this scope of services and Professional Service Agreement. 13. Deleted 14. "CITY Operations and Maintenance Facility" and "CITY Maintenance and Operations Facility" refer to the City -Owned Public Transit Facility at 555 N. McDowell Blvd. This City facility houses activities of the Contractor and City Transit staff. 15. "PETALUMA TRANSIT", refers to the City's Fixed Route operations. 16. "Contract Year" refers to the year(s) within the contract term. In the case of this contract, the Contract Years shall be aligned with the City's Fiscal Year calendar, starting on July 1, and ending on June 30th For example, Contract Year #1 starts on July 1, 2018, and ends on June 30, 2019. 17. "Living Wage Ordinance or LWO" refers to the City's existing Living Wage Ordinance, which governs wages paid to non-union represented persons employed within Petaluma City Limits under a City contract. CONTRACTORS shall maintain compliance with the City's LWO for non -unionized employees throughout this contract. 18. "AVL/CAD or Automatic Vehicle Location System, or AVL CAD (computer assisted dispatching) refers to the City's Avail Technologies AVL/CAD system that supports and is integral to PETALLJMA TRANSIT or CITY fixed route services. 19. "SEON" refers to SEON bus surveillance hardware/software and all associated components. iv. LEGAL RESPONSIBILITIES This contract and any subsequent revisions must be submitted, filed, made, and executed in accordance with State of California and Federal laws relating to contracts of this nature, whether the same or expressly referred to herein or not. By executing this contract, CONTRACTOR certifies that they will comply with all Federal laws and requirements, including, but not limited to, Equal Employment Opportunity, Disadvantaged Business Enterprise, Labor Protection, and other laws and regulations applicable to contracts utilizing Federal funds. 21 Exhibit A- I a The CITY does not currently meet the Federal funding threshold requiring a DBE Program, and so there is no DBE Goal set for this contract. No Good Faith Effort is required; however, CONTRACTOR is required to adhere to the FTA Contract Provisions. V. AWARD OF CONTRACT CONTRACTOR agrees and so stipulates in executing this contract that: 1. CONTACTOR is an independent contractor, not an employee, agent, or officer of the CITY. 2. Contract shall be interpreted, construed, and given effect in all respects according to the laws of the State of California. 3. CONTRACTOR shall not assign contract, or any part thereof, or any moneys due, or to become due thereunder without the prior express written authorization and consent from City. 4. CONTRACTOR shall hold the CITY harmless from liability of any nature or kind, including cost and expenses for infringement or use of any copyrighted composition, secret process, patented or unpatented invention, article or appliance furnished, or used in connection with the contract. 5. CONTRACTOR warrants that no gratuities, in the form of gifts, entertainment, or otherwise, were offered or given by the CONTRACTOR to any officer, representative, elected official or employee of the CITY with a view toward securing the contract or securing favorable treatment with respect to any determination concerning the performance of the contract. For breach or violation of this warranty, the CITY shall have the right to terminate the contract, either in whole or in part. The rights and remedies of the CITY provided in this clause shall not be exclusive, and are in addition to any other rights and remedies provided by law or under the contract. A. TERMINATION OF CONTRACT See Professional Services Agreement for more information. vii. PRICING AND INVOICING In no event shall the amount of this Agreement exceed Three Hundred Two Thousand, One Hundred and Seventy Six Dollars ($302,176) per year (with a CITY option for two additional one-year extensions at the same rate). The breakdown of costs associated with this Agreement appears in the Professional Services Agreement (Exhibit A) incorporated by reference as though fully set forth herein. Compensation for Unforeseeable Work and Exterior Body Work shall be negotiated as a lump sum or, if the parties are unable to agree on an amount, on a force account basis with a maximum not -to -exceed amount, according to the provisions of this Scope of Services. No charges shall be incurred under this Agreement nor shall any payments become due to CONTRACTOR until reports, services, or both, required under this Agreement are received from CONTRACTOR and approved by the CITY as being in accordance with this Agreement. CITY may withhold payment to CONTRACTOR in any instance in which CONTRACTOR has failed or refused to satisfy any material obligation provided for under this Agreement. In no event shall the CITY be liable for interest or late charges for any late payments. The CITY will not make price adjustments to this Contract to protect CONTRACTOR from economic inflation. 22 Exhibit A-1 a viii. GUARANTEED MAXIMUM COSTS a. The CITY's obligation hereunder shall not at any time exceed the amount certified by the Controller for the purpose and period stated in such certification. b. Except as may be provided by laws governing emergency procedures, officers and employees of the CITY are not authorized to request, and the CITY is not required to reimburse the CONTRACTOR for, Commodities or Services beyond the agreed upon contract scope unless the changed scope is authorized by amendment and approved as required by law. C. Officers and employees of the CITY are not authorized to offer or promise, nor is the CITY required to honor, any offered or promised additional funding in excess of the maximum amount of funding for which the contract is certified without certification of the additional amount by the Controller. d. The Controller is not authorized to make payments on any contract for which funds have not been certified as available in the budget or by supplemental appropriation. a. PAYMENT: INVOICE FORMAT Invoices furnished by CONTRACTOR under this Agreement must be in a form acceptable to the CITY. All amounts paid by CITY to CONTRACTOR shall be subject to audit by CITY. Payment from the CITY to the CONTRACTOR shall be paid lump sum upon completion of the project and successful acceptance of the bus upon return to the CITY Transit Facility. b. PROTESTS A copy of the City of Petaluma's written protest procedures may be requested from the City. c. RIGHT TO REQUIRE PERFORMANCE The failure of the CITY at any time to require performance by the CONTRACTOR of any provisions hereof shall in no way affect the right of the CITY thereafter to enforce the same. Nor shall waiver by the CITY of any breach of any provision hereof be taken or held to be waiver of any succeeding breach of such provision or as a waiver of any provision itself. d. OMISSIONS The CONTRACTOR shall be responsible for providing all equipment which are necessary for the safe, reliable, efficient and well-managed operation of either or both fixed -route and paratransit systems for people with disabilities in compliance with the Americans with Disabilities Act, within the general parameters described in this contract, consistent with established industry practices, regardless of whether those services, equipment, and functions are specifically mentioned in this contract or not. e. ETHICS IN PUBLIC CONTRACTING The CONTACTOR certifies that it is not a party to any collusive action or any action that may be in violation of the Sherman Antitrust Act by executing this contract, the offeror certifies that the terms of this contract was made without fraud; that it has not offered or received any kickbacks or inducements from any other offeror in connection with the offer; and that it has not conferred on any public employee, public member, or public official having responsibility for this transaction, any payment, loan, subscription, advance, deposit of money, services, or anything of more than nominal value. The CONTRACTOR further certifies that no relationship exists between itself and the CITY or another person or organization that 10 23 Exhibit A-1 a interferes with fair competition or constitutes a conflict of interest with respect to a contract with the CITY. CONTRACTOR certifies that no relationship exists between the CONTRACTOR and any CITY employee, officer, official, or agent that is a conflict of interest with respect to a contract with the CITY. CONTRACTOR, in all solicitations or advertisements for employees, placed by, or on behalf of the CONTRACTOR, shall state that CONTRACTOR is an Equal Opportunity Employer. 11 24 Exhibit A-1 a 1 PROJECT OVERVIEW 1.1 SCOPE OF WORK These specifications detail the technical requirements for the rehabilitation of one (1) 1999 New Flyer Bus of The CITY of Petaluma/ Petaluma Transit ("The CITY"). The CONTRACTOR shall be responsible for all transportation costs, materials and labor unless specifically noted. The scope of work includes the following areas and systems of the Buses: • Body and Understructure Repair/Reinforcement • Paint Scheme • Door System • Interior/Flooring/Operator Seat/Lighting • Heating and Ventilating • Wheel Chair System • Electronic Equipment (destination signs, surveillance cameras) • Suspension System • Pneumatic System • Fuel System • Lines and Piping • Propulsion System • Cooling System • Electrical (batteries/alternator) The CITY's inspection team will perform a pre -departure inspection of the bus prior to being picked - up by the CONTRACTOR for rehabilitation. It shall be the responsibility of the CONTRACTOR to confirm/verify the Vehicle's condition against the pre -departure inspection report. Any damages incurred during transportation shall be the responsibility of the CONTRACTOR and shall be repaired at the CONTRACTOR's expense. Prior to delivery of the bus back to The CITY, the CONTRACTOR shall ensure that the engine oil, transmission oil, wheelchair lift fluid, power steering fluid, and engine coolant are topped -off to the correct amount. The CONTRACTOR shall use the same grade/rating of fluids that The CITY is currently using at the shop floor. 1.1.1 Definitions The following are definitions of special terms used in the Technical Specifications: ADA - The Americans with Disabilities Act of 1990 and its implementing regulations, including 49 CFR Part 38. Bus — The 1999 New Flyer bus to be repaired under this Agreement. The terms Bus, Coach and Vehicle are used interchangeably. Day — A calendar day. Defect(s) — Patent or latent malfunctions or failure in manufacture or design of any component or subsystem. Design Review — This is a series of meetings between The CITY and the CONTRACTOR to review any technical or contractual clarifications required to assure that the completed Vehicles will comply with The CITY specifications. These meetings will also allow The CITY and the CONTRACTOR to exchange existing documents and specification data to further clarify the designs. Field Service Repair Procedure (FSM — A repair procedure prepared by the CONTRACTOR when repairing a fleet defect at an off-site location. 12 25 Exhibit A-1 a Gross Load — 150 pounds for every designed passenger seating position, for the operator, and for each 1.5 square feet of free floor space. GVW ,Gross Vehicle Weight) — Curb Weight plus gross load. GVWR (Gross Vehicle Weight Rated) — The maximum total weight, as determined by the Vehicle manufacturer, at which the Vehicle can be safely and reliably operated for its intended purpose. The GVWR shall be greater than or equal to GVW. H&V (Heating and Ventilating) — The on -board system that provides the operator and passenger's temperature comfort within the Bus. Propulsion System — System that provides propulsion for the Vehicle in an amount proportional to what the driver commands. Related Defects) — Damages inflicted on any component or subsystem as a direct result of a Defect. Remove and Replace — This phrase as used in these Specifications requires the CONTRACTOR to clean, paint, lubricate and in general refurbish components that are required to be Removed and Replaced. Seated Load — 150 pounds for every designed passenger seating position and for the operator. Standee Line — A line marked across the Bus aisle in line with the front curbside modesty panel to designate the forward area, which passengers may not occupy when the Bus is moving. Unforeseeable Work — Latent conditions in the Bus that differ materially from the Scope of Work as identified in the Technical Provisions and that are generally recognized as inherent in work of the character provided for under this Contract. Wheelchair — Mobility aid belonging to any class of three or four-wheel devices, usable indoors, designed for and used by individuals with mobility impairments, whether operated manually or powered. Wheelchair ramps are to be rated at 1,000 capacity. Local regulations are defined as those below the state level. In the event of any conflict between the requirements of these specifications and any applicable legal requirement, the legal requirement shall prevail. 1.2 DIMENSIONS REQUIREMENTS The CONTRACTOR shall not alter the exterior dimensions without The CITY approval. 1.3 MATERIALS All materials used in construction of the Bus and all its parts shall conform in all respects to American Society of Testing Materials (ASTM), Society of Automotive Engineers (SAE), and industry recognized standards. All removed materials shall be disposed in compliance with the federal, state and local regulations. The CONTRACTOR shall return the removed and salvageable parts with a remaining value of more than $100 from the Vehicles at no additional cost. Unless notified further by The CITY in formal letter transmittal. 1.4 WORKMANSHIP The Vehicles shall be repaired with parts and components equivalent to OEM materials. Workmanship and construction shall be of the best grade and shall conform in all respects to the best practices in the industry. Welding procedures, welding materials, and qualifications of welding operators shall be in accordance with the standards of the ASTM and the AWS. The CONTRACTOR shall provide certifications from subsystem manufacturers that the CONTRACTOR is certified/authorized to perform such installations. 1.5 UNFORESEEABLE WORK Due to the nature of the work, it is extremely difficult to predict and budget the total amount of the replacement work for damage that may not be visible. It is the responsibility of the CONTRACTOR to inform The CITY of any work that it considers to be Unforeseeable Work. Unforeseeable Work shall be negotiated according to the provisions of Section 5 (Compensation) of the Agreement. The CONTRACTOR shall obtain approval from The CITY before proceeding with the repair of Unforeseeable Work on each Vehicle. Photo documentation is required prior to repairs being performed on all Unforeseeable Work; CONTRACTOR must have email attachment capability. 14 27 Exhibit A-1 a 2 BODY 2.1 BODY AND UNDERSTRUCTURE The understructure shall be carefully examined and inspected after it is pressure cleaned. The CONTRACTOR shall provide The CITY with an inspection procedure and report that shows the locations in the understructure where thickness measurements were measured and the method used to determine the thickness. Any broken welds, cracks shall be repaired confirming to the best practices known in the transit industry and using standards such as AWS and SAE. Any structural components having more than 25% of the material thickness eaten away by corrosion shall be properly reinforced. The CONTRACTOR shall document and present Magnaflux/Ultrasound test results and all thickness measurements and structural repairs to The CITY personnel prior to applying undercoating to the entire understructure. All structural repairs shall be quoted as Unforeseeable Work (Reference, Section 1.5 UNFORESEEABLE WORK). 2.1.1 Exterior Body Work The body of the Vehicle shall be thoroughly inspected for any damages. Rusted through holes shall be repaired by removing the rusted materials and replacing the lost metal by welding steel patches, made of materials that match the parent materials of the part being repaired a 11 functionally damaged, cracked or corroded panels shall be replaced with new parts. Filler strips on rub rails are to be replaced. Functionally damaged exterior mirror components to be replaced. Exterior bodywork is to be performed according to best industry standards and painted to Commercial specifications. The curbside and street side exterior mirrors are to be inspected for damage and function. All structural repairs shall be quoted as Unforeseeable Work (Reference, Section 1.5 UNFORESEEABLE WORK). Once mirror repairs are completed and the mirrors are made functional, the mirror housing are to be painted black. Any exterior body repair work and labor hours shall be documented and quoted as Exterior Body Work according to the provisions of Section 5 (Compensation) of the Agreement. The CONTRACTOR shall provide photo documentation and obtain approval from The CITY before proceeding with the repair of Exterior Body Work. Exterior Body Work shall be negotiated according to the provisions of Section 5 (Compensation). 2.1.2 Finish and Color The Bus exterior shall be painted per the Colors and Paint Specifications as stated in THE CITY EXTERIOR COLOR SCHEME and MATERIALS, COLORS, FINISHES sections. All exterior surfaces shall be smooth and free of visible fasteners, wrinkles and dents. Exterior surfaces shall be properly prepared as required by the paint system supplier prior to application of paint to assure a proper bond between the basic surface and successive coats of original paint for the service life of the Bus. Paint thickness measurements and pull tests will be performed according to the paint suppliers' procedures with equipment provided by the CONTRACTOR. Body filler materials may, be used for surface dressing but must not exceed the thickness recommended by the supplier and may not be used for repair of damaged or improperly fitted panels. The Vehicle body shall go through a three -stage paint process: Primer Coating, Base Coating (color), and Clear Coating (graffiti resistant). The base coating shall be finished with lead-free PPG Delta DUHS 3.5 VOC, Axalta's IMRON Elite EB Basecoat with 8821S2.1 Voc Clearcoat or approved equal. The primer coating and clear coating shall be in accordance with the paint supplier guidelines. All paint used shall be lead free. 2.1.3 Decals and Bus Numbering The CONTRACTOR shall supply and apply decals onto the Bus without altering the original Bus numbering scheme. All signage locations shall be in compliance with ADA requirements and shall be approved by The CITY. 15 28 Exhibit A-1 a All decals shall be 3M or approved equal and the materials shall be graffiti protective coated with a minimum of 2 mil thickness. A list of interior and exterior decals is provided for reference in the attachments and The CITY strongly recommends that the CONTRACTOR compare and validate the type and application of decals to ensure consistency with our existing fleet. Reference SECTIONS: DECAL (EXTERIOR NUMBERING), The CITY EXTERIOR COLOR SCHEME and MATERIALS, COLORS, FINISHES AND DECAL LIST. 2.1.4 Fender Skirts & Splash Aprons The CONTRACTOR shall Remove and Replace the fender flares and mud flaps for the BUS. 2.1.5 Service Compartments The gas struts in all service compartments shall be replaced. Any other repair/replacement work shall be documented and repaired as Unforeseeable Work (Reference, Section 1.5 UNFORESEEABLE WORK). All replaced parts shall be painted to match the color scheme. 2.1.6 Front and Rear Bumpers Front and rear bumpers are to be removed from the vehicle and inspected for damage. The CONTRACTOR shall repair the bumpers as Unforeseeable Work (Reference, Section 1.5 UNFORESEEABLE WORK). Bumpers shall be Romeo Rim High Energy Level Polymer or approved equal and bumpers shall wrap around the Bus per the original OEM specification. Front and rear bumpers are to be painted with bumper black paint and reinstalled with new hardware. 2.2 DOORS All exterior compartment doors such as the engine compartment rear door, radiator/CAC access door, filter access door, HVAC access door, electrical access doors, and battery access door to have the following components replaced: • Latches • Door rubber bumpers • Door hinges • Prop rods • Gas prop struts Entry and exit door motor base plates are to be remove from the entry and exit door compartments and rebuilt. To include rebuilt door motors and the replacement of defective door motor linkages, relays, switches and valves as required. 2.2.1 Front Door The CONTRACTOR shall rebuild the existing door motor driving mechanisms according to the procedures recommended by Vapor. The magnetic door valve, P/N 59320139-05 shall be Removed and Replaced with a new valve. The CONTRACTOR shall Remove and Replace with new track rollers, bushings, washers, pivots and bearings for upper & lower tracks. It is the CONTRACTOR's responsibility to verify that the door operations are in proper working condition. 2.2.2 Rear Door The CONTRACTOR shall install Vapor CLASS (Contact -Less Acoustic Sensing System) or approved equal for the exit door. The CLASS system shall recognize the presence of passengers in the exit area and comply with all ADA requirements. The CONTRACTOR shall verify that the sensitive edges integrate seamlessly with the Vapor CLASS system. With the installation of the CLASS system, the CONTRACTOR shall also remove the touch bars and the treadle switch mat. The CONTRACTOR shall remove the existing door motor mechanism and replace it with the Vapor 16 29 Exhibit A-1 a Activair Differential Engine or approved equal. The Activair Differential Engine shall also include the optional locking mechanism. The magnetic door valve, P/N 59320139-05, shall be Removed and Replaced with a new valve. The CONTRACTOR shall Remove and Replace with new track rollers, bushings, washers, pivots and bearings for upper & lower tracks. An audible and visual alarm shall be triggered when the exit doors are being opened by force while the Vehicle is in moving condition. The CONTRACTOR shall be responsible for any changes in the ladder logic program of the PLC (Programmable Logic Control). The CONTRACTOR shall demonstrate this feature during the First Article review. It's the CONTRACTOR's responsibility to verify that the doors operate according to specifications. 2.2.3 ROOF i. ESCAPE HATCHES AND VENTILATORS Front and rear roof escape hatches/ventilator are to be replaced with new units. ii. ROOF STRUCTURE AND SEALANT 1) Roof seams, cap seams and roof hatches are to be inspected and resealed as required. 2) Drip edges shall be inspected and repaired as necessary and loose or missing attaching hardware shall be replaced. 3) Front head sign window seal shall be replaced and tested for water leaks. 4) Rear roof area shall be sealed and tested for water leaks. 2.2.4 EXTERIOR WHEEL WELL FLARES Replace all rubber wheel well flares and hardware with new parts. 2.2.5 Rotary Master Door Switch The existing rotary master door switch is to be replaced with a new unit with similar door settings and functionality as the current unit. 2.2.6 UNDERCARRAGE All exterior body doors and skirt panels will be removed to expose all bus structure. The buses will be elevated and the entire bus under carriage will be will be carefully inspection. Any broken welds are to be repaired. If they are spot welds, the repair is to be made by bolting through with grade 8 bolts, per OEM specifications. Frame rails are to be inspected for cracks and rust. Cracks are to be repaired by notching the crack and welding on a plate. Structural components will be inspected with an ultrasonic thickness test equipment. Structural components where greater than 25 percent (25%) of the original material thickness is removed by corrosion reduces the structural integrity of the component the components are to be properly reinforced and/or replaced. All visible surface rust it is to be removed and the metal treated with a rust inhibitor to prevent further spreading of rust. Once the structural repairs are completed, new undercoating is to be applied to the entire understructure of the vehicle and the front and rear mud flaps are to be replaced as required. 17 30 Exhibit A-1 a 2.3 BIKE RACK The bike rack at the front bumper shall be straightened, repaired, repainted and lubricated. The CONTRACTOR shall budget a maximum of two labor hours for such work in its bid. The CONTRACTOR shall verify that the bike rack is fully functional before delivering the Bus back to The CITY. If the damage on the bike rack necessitates more than two labor hours of repair work, the repair work shall be documented and negotiated as Unforeseeable Work. (Reference, Section 1.5 UNFORESEEABLE WORK) 2.4 WINDOWS The New Flyer bus has frame cracks on the window posts due to the duty cycle and age of the Vehicles. CONTRACTOR shall develop a procedure to reinforce the window posts if needed. All repair documentations shall also be included in Section 9 VEHICLE RECORDS. The CONTRACTOR shall also Remove and Replace the outer window frame seals and the interior rubber seals on all the windows. All other windows replacement work due to graffiti and damages shall be documented and negotiated as Unforeseeable Work. (Reference, Section 1.5 UNFORESEEABLE WORK). 18 31 Exhibit A-1 a 3 INTERIOR All dash panel areas, from the operator console area to the defroster duct mounted openings, run -sign mounting area and the operator left-hand control panel, shall be refurbished and reinforced to improve the structural integrity. The driver's overhead compartment shall also be reinforced. The interior panels shall be cleaned and repainted with graffiti -resistant coating and the Bus shall be graffiti -free when delivered back to The CITY. The CONTRACTOR shall refurbish the operator left-hand control panel, front dash display panel and front dash control panel including installing new decal covers that describe the functionality of all switches and buttons. The interior side, light panels, and ceiling panels are to be inspected for damage. Damaged interior panels that cannot be repaired and require replacement shall be documented and the repairs shall be negotiated as Unforeseeable Work (Reference, SECTION 1.5 UNFORESEEABLE WORK). All graffiti is to be removed. Ceiling panels are to be cleaned and waxed. Interior light panels and side panels are to be prepped for paint and painted to match the existing colors of the panels. Interior panel trim is to be inspected and repaired or replace as required. 3.1 FLOOR COVERING Remove rubber flooring and flooring trim from all areas of the bus floor. The sub -floor ply -wood is to be removed and all floor support structure is to be inspected and repaired as required. Areas of the bus subfloor which are not adequately supported are to have floor support structure added. New 3/4" marine grade ply -wood sub -flooring is to be installed with appropriated fasteners and hardware. All mounting fasteners and ply -wood seams are to be sealed to prevent moisture leakage. Then flooring surface is to be leveled in preparation for the installation of the new rubber flooring. Once the new marine grade ply -wood is installed new RCA rubber flooring is to be installed. Ribbed RCA rubber flooring is to be installed on all walk ways, ADA areas, entrance and exit door areas and rear step treads. RCA Smooth flooring is to be installed under all passenger seats and in the driver's area. 2" standee lines are to be installed to comply with ADA requirements and rear steps are to have new step yellow step tread nosings. All required floor trim will either be reused and or replaced using new mounting hardware. The floor shall be covered with no less than 0.10" thick nonskid material, Altro Transflor Midnight D25- 421, or approved equal, that remains effective in all weather conditions and complies with all ADA requirements. The floor covering, as well as transition of flooring material to the center aisle and to the entrance/exit areas, shall be smooth and present no tripping hazards (Reference SECTION: MATERIALS, COLORS, FINISHES). The standee line, Altro Safety Yellow Speckled Material, or approved equal, shall be at least two inches wide and shall extend across the Bus aisle in line with the modesty panel behind the front door area. This line shall be the same yellow color as the edge of the entrance/exit areas. The Color shall be consistent throughout the floor covering. If the subfloor is damaged or rotten and required replacement, the Contract shall replace the damaged subfloor section with Coosa composite materials or approved equal. The replacement of the subfloor shall be documented and the repairs shall be negotiated as Unforeseeable Work (Reference, SECTION 1.5 UNFORESEEABLE WORK). The CONTRACTOR shall clean the floor as required to remove any odor or slippery coating prior to Bus delivery. 3.1.1 STEPS AND STAIRWELLS All step treads shall be covered with nonskid rubber material that shall remain effective in all weather conditions. The edge of the vestibule floor tread shall have a bright, contrasting yellow band, Altro Safety Yellow Speckled Material, or approved equal, no less than two inches wide on the full width of the opening. The color shall be permanently blended into the floor covering material. 19 9X Exhibit A-1 a Due to the frequency of maintenance in the stepwell area, CONTRACTOR shall use stainless screws at the lip of the last step instead of rivets. 3.1.2 DELETED 3.2.1 OPERATOR SEAT The Operator's Seat shall be Removed and Replaced with a USSC group 9100ALX or approved equal. The Operator's Seat upholstery shall be cloth and the color is black. The seat shall be supplied with seat belt and lap belt assemblies. The seat shall be easily removable from the Bus for service or repair. No headrest is required, however a provision for easy installation of a headrest in the future must be allowed for in the manufacturing of the seat back frame. The CONTRACTOR shall re -torque or add sound absorption materials to the modesty panels behind the Operator seat on all Vehicles. The intention is to mitigate the rattling noise between the panels and provide a better driving environment. The CONTRACTOR shall provide a proposal during the design review to The CITY. 3.2.2 PASSENGER SEATS The Passenger seats are to be removed from the bus and disassembled. Passenger seat frames and passenger seat shells are to be repaired as required, then repainted after safety inspection. Passenger seat inserts are to be recovered. Once the seat frames and shells are repaired and painted the passenger seats to be reinstalled in the bus with new hardware. The CONTRACTOR shall determine any replaced passenger seat frames and passenger seat shell colors in discussion with The CITY. The CITY shall provide passenger seat insert fabric and foam specifications to CONTRACTOR. 3.2.3 STANCHIONS The stanchions are to be inspected for damage. The replacement of the subfloor shall be documented and the repairs shall be negotiated as Unforeseeable Work (Reference, SECTION 1.5 UNFORESEEABLE WORK). Otherwise stanchions are to be removed cleaned and polished and reinstalled once the passenger seats are reinstalled. 3.2.4 SETEE PANELS The CONTRACTOR shall budget two settee seat end cap bottoms, two settee seat end cap backs and 10 seat inserts to be removed or replaced in each Vehicle. The CITY will provide technical information, part numbers and color choices during design reviews. Any other damaged/Defective parts in the interior shall be documented and the repairs shall be negotiated as Unforeseeable Work (Reference, SECTION 1.5 UNFORESEEABLE WORK). 3.2.5 STOP REQUEST The stop request yellow chime cords, switches are to be replaced with new units. To include replacement as required of any eyes and or brackets. ADA stop request palm switches are to be replaced with new. The stop request system will be function tested and if it is determined that repairs and or replacement are required to make stop request system functional the repairs or replacements will be photo documented, priced and submitted to the transit properties project management staff as extra -work for approval. 3.2.6 PUBLIC ADDRESS SYSTEM The public address system to include amplifier, interior speakers, exterior speaker microphone, speaker 33 Exhibit A-1 a selector switch and volume level control switch will be inspected and functioned tested. Damaged and missing components. Any damaged/Defective parts with the PA system shall be documented and the repairs shall be negotiated as Unforeseeable Work (Reference, Section 1.5 UNFORESEEABLE WORK). 3.3 LIGHTING 3.3.1 Exterior Light All exterior shall be Removed and Replaced with an LED -type, Truck Lite, Dialight or approved equal. Replace all exterior lights with new LED lights to include: • Front, side and rear marker lights • Side turn signal lights • Wheelchair ramp lights • Entry and exit door lights • Front turn signal lights • Rear turn signal lights • Rear brake lights • Rear back-up lights • Rear license plate light Replace the front headlight sealed hi and low beams with new LED high and low beam headlights. All head light bezels are to be replace as required and new headlight adjustment and mounting hardware are to be installed. 3.3.2 Interior Light Lens All interior light lens shall be Removed and Replaced with Hadley or approved equal. The interior light lens shall be graffiti protective coated. A portion of the light lens cover that protrudes into the operator area shall be painted black to minimize any glaring effect. Entry and exit door lights are to be replaced with new LED lights. Driver's area and fare box light is to be replaced with new LED lights. Rear step lights are to be replaced with new LED lights. 3.3.3 ENGINE COMPARTMENT LIGHTS Replace all engine compartment lights with high temperature LED lights. 3.4 HEATING & VENTILATION The CONTRACTOR shall Remove and Replace the water circulating pump assembly on the bus. The CONTRACTOR shall verify that the heating & ventilation system has the latest EPROM programmed chip, in the control module. The CONTRACTOR shall also verify that each Bus has the latest brushless blower motors, in the rooftop. The CONTRACTOR shall provide three blower motors for the bus. Any unused blower motors shall be delivered to The CITY as spare parts. It is the CONTRACTOR's responsibility to document any repair/replacement of the EPROM and extra blower motors as Unforeseeable Work. All other component repairs/replacements not mentioned in this subsection shall be documented and negotiated as Unforeseeable Work (Reference, Section 1.5 UNFORESEEABLE WORK). The heating & ventilation system on the Bus shall be in proper working condition at the time of delivery to The CITY. 21 34 Exhibit A-1 a CONTRACTOR shall replace hoses/pipes to match OEM specifications including the heater hoses in the ThermoKing unit above the street -side roof and the heater hoses above the transmission and air discharge line. 3.4.1 CHARGE AIR COOLING A. The charge air cooling system, also referred to as after -coolers or inter -coolers, shall provide maximum air intake temperature reduction with minimal pressure loss. The charge air radiator shall be sized and positioned to meet engine manufacturer's requirements. The charge air radiator shall not be stacked ahead or behind the engine radiator and shall be positioned as close to the engine as possible unless integrated with the radiator. Air ducting and fittings shall be protected against heat sources, and shall be configured to minimize restrictions and maintain sealing integrity. B. The charge air cooler and radiator, if integrated, shall be of durable corrosion -resistant construction. Radiators with copper/brass construction shall be fitted with bolted -on removable tanks. Brazed aluminum radiators shall have welded cast tanks able to withstand a minimum operating temperature of 2000 C during its normal duty cycle. Automotive crimped -on tanks are more susceptible to leaks and early failure, and shall not be used. The radiator shall be designed so a mechanic can gain access to a substantial portion of the side facing the engine for the purpose of cleaning the radiator in five minutes or less. C. Radiators shall have a fm density of 10 fins per inch or less and shall not have louvered/slit designs. These are more susceptible to clogging and deteriorating cooling performance over time and shall not be used. Radiators shall utilize a bar and plate design so they are robust and can be cleaned with high pressure spray wash. D. The charge air-cooling radiator and coolant radiator shall be designed to withstand thermal fatigue and vibration associated with the installed configuration. • New air filters are to be installed in evaporator unit. • Condenser and blower motors are to be rebuilt. • Air conditioning compressor is to be rebuilt. With new cultch. • Control valves and relays are to be replaced as required. • New air dryer to be installed • New HVAC high and low psi hoses are to be replaced. As well as any other HVAC hose. Copper tubing is to be cleaned, inspected and repaired or replaced as required. • Insulation on A/C tubing is to be replaced. • New HVAC compressor drive belts and idlerhensioner pulley are to be replaced. 3.5 WHEELCHAIR PLATFORM LIFT The Lift -U wheelchair ramp system is to be completely rebuilt to OEM specifications to include the following: • New ramp hinges • New bearings and bushings • New switches and relays • New hydraulic pump and hydraulic lines • Replace ramp assembly if damaged. • Prep and apply new black Rhino Guard type surface to the underside of the ramps. • Replace wheelchair lift assembly floor trim as required. 22 35 Exhibit A -la • Replace top of flip ramp RCA ribbed flooring with new. • Replace wheelchair lift door side yellow step nosing. Since the wheelchair lift assembly will be completely removed, the CONTRACTOR shall remove and replace the filter element with a new unit. 3.6 SUN SHADES The CONTRACTOR shall Remove and Replace the pull-down roll -curtain sunscreens over the operator's windshield and the operator's side window. The CONTRACTOR shall install a scissor -type pull down shade with the mesh screen (perforated) at the upper segment and solid vinyl at the lower segment when the shade is pulled down. The mounting area of the sun shades, which is adjacent to the goose neck microphone, is known to be deficient; the CONTRACTOR shall reinforce the mounting area prior to installing the new sun shades. 23 36 Exhibit A-1 a 4 FURNISHINGS The CONTRACTOR shall revise existing wiring diagrams, clearly showing the interfacing Bus schematic wiring diagrams for the Destination Signs and Video Surveillance Camera. The CITY will provide existing documentation during the design reviews. 4.1 DESTINATION SIGNS CONTRACTOR shall Remove and Replace the existing flip -dot destination signs with all LED, USB programmable sign system by Luminator or approved equal. The system shall conform to all applicable ADA requirements. The Master Run Switch shall control power to the sign system. The signs shall operate in all positions of this switch except off. Sign lighting shall operate in the night run and park positions. The sign system shall be capable of retaining preset message codes and last message(s) display information indefinitely. The sign system shall extract and process message writing data from its memory according to the codes it receives from the OCU, or other controlling device. The CONTRACTOR shall be responsible to ensure that the existing electrical supply system of the flip -dot destination signs is capable of supplying the electrical requirements of the LED signs. The CONTRACTOR shall also replace the front head sign glass seal and ensure that it is water tight. 4.1.1 Display Replace all signs with new displays of the same size and a similar number of rows/columns or greater. Signs to be replaced include: ffont sign, curb side sign, rear route number sign. 4.1.2 Emergency Message Display The sign system shall display emergency messages when the silent alarm switch (existing) is activated. The• emergency message shall be displayed only on the front sign, while signs inside the Vehicle, including the Operator's Console, remain unchanged. The CITY will provide the message content during the design reviews. The emergency message shall be canceled by entering a new destination code, or by removing the emergency signal. 4.1.3 Destination Signs Programming The. CONTRACTOR shall provide all LED sign. image programming to The CITY and also incorporate it into the existing The CITY destination sign image files. The CITY will provide existing files during the design reviews. 4.1.4 Front Destination Sign Compartment The CONTRACTOR shall Remove and Replace the front destination sign glass seal and ensure it is watertight. The driver's overhead compartment area panel, housing the front destination sign, shall be reinforced. 4.2 VIDEO SURVEILLANCE CAMERA SYSTEM The Contractor shall ensure that the existing onboard SEON video camera on the bus interior and exterior is fully functional upon delivery of the bus. This includes removal, reinstallation and rewiring of the system if the CONTRACTOR deems this necessary; Reference ATTACHMENT: EXTERIOR CAMERA SPECIFICATION for camera mounting locations. Camera housings shall also match the PETALi_IMA TRANSIT color scheme, reference ATTACHMENT: PETALUMA TRANSIT EXTERIOR COLOR SCHEME. For all exterior mounted cameras, the Contractor shall seal the mounting hardware properly to avoid water intrusion. Note: The bus will be equipped with the Drive Cam system. It is the responsibility of the Contractor to 24 37 Exhibit A-1 a complete the rehabilitation without damaging the Drive Cam system and provide for the removal, reinstallation and rewiring of the system if the CONTRACTOR deems this necessary. 4.3 MOBILE RADIO The Bus is equipped with a mobile radio system and THE CITY radio shop shall remove the system hardware before the CONTRACTOR picks up the Vehicle from THE CITY garage. The CITY will leave the radio system cables on the Vehicle. The radio system cables shall be fully functional when the CONTRACTOR delivers the Buses back to The CITY. 4.4 FARE COLLECTION The Bus is equipped with a Diamond cash farebox and The CITY fare box. The CONTRACTOR shall reinstall the farebox as received in similar mounting position and functionality. CONTRACTOR shall do a mechanical an aesthetic overhaul of the farebox. The location of the farebox mounting reinforcing plate shall remain at its current existing location. 25 38 Exhibit A-1 a 5 CHASSIS 5.1 SUSPENSION AND AXLES The Bus requires a proper re -alignment as part of the Vehicle record requirements in Section 9 VEHICLE RECORDS. 5.1.1 AXLES The CONTRACTOR shall Remove and Replace bearings, bushings, bearing seals, leveling valves, control valves, Icing pins, radius rods bushings and upper/lower trunnion bushings on the axles. All axles (control arms, housings, stabilizers, etc.) on each Bus shall be thoroughly examined and inspected for cracks and damage. If the damage/wear is beyond the OEM tolerance, the damaged component shall be replaced. The axle replacement work shall be documented and negotiated as Unforeseeable Work under Section 1.5 UNFORESEEABLE WORK. All axles that have been replaced shall have a minimum load rating sufficient for the Bus to be loaded to GV WR. 5.1.2 WHEEL SPINDALS AND KING PIN HOUSING ASSEMBLY King pins and bearings are to be replaced. Kingpin housing bushings are to be replaced. New wheel bearing seals are to be installed, wheel bearings are to be replaced as needed. 5.1.3 FRONT AXLE Front axle is to be inspected for cracks or other damage. If cracked, damaged will be photo documented, priced and submitted to MATA project management staff as extra -work for approval. 5.1.4 AIR BAGS & SHOCK ABSORBERS All active member of the suspension system (air bellows and shock absorbers) shall be replaced with Firestone air bellows, Monroe shock absorbers, or approved equal. The CONTRACTOR shall verify that the suspension kneels evenly on both sides in compliance with the OEM standards, when kneeling is activated. 5.1.5 TORQUE RODS Torque rods are to be removed and inspected for cracks or damage, then treated to prevent rust. If functionally damaged, they are replaced. All torque rod bushings are to be replaced. 5.2 STEERING 5.2.1 Power Steering Pump, Gear Box and Linkage The CONTRACTOR shall Remove and Replace the power steering pump and the transfer box. The power steering gearbox shall be rebuilt per OEM manual. The CONTRACTOR shall verify that the turning radius meets the OEM specification. 5.2.2 Steering Column and Steering Wheel The steering shaft U -Joints, bearings & bushings shall be Removed and Replaced according to OEM specifications. In addition, the Contractor shall verify the functionality of the horn button, condition of the horn contact, steering column, steering wheel will be replaced with new, and connections to the steering gear. Any other replacement work shall be documented and negotiated as Unforeseeable 26 39 Exhibit A-1 a Work, under Section 1.5 UNFORESEEABLE WORK. 5.2.3 Steering Efforts The CONTRACTOR shall develop a QA procedure/process to ensure that the bus has a consistent turning effort with OEM vehicle specs. 5.3 BRAKES 5.3.1 AIR BRAKES The front and rear brakes are to be rebuilt as follows: • Replace "S" cam bushings with new. • Replace brake cam rollers and seals • Replace slack adjusters with new. • Replace air chambers with new. • Brake linings are to be replaced with new. • Bralce drums are to be new. The new drums will be turned to assure true and the new lining will be arched to match the drum. • Replace all flexible brake airline and fittings with new. 5.3.2 SERVICE BRAKE TREADLE AND VALVES • Brake treadle dual valve is to be replaced. • Brake interlock valve cluster is to be rebuilt. • Relay valve is to be replaced. 5.3.3 AIR LINES, VALVES AND TANKS All air system air tanks will be drained, removed, inspected for damage and replaced as required. Air tanks are to be rebuilt as follows: • Air tanks are to be cleaned, pressure tested and repainted to prevent rust. • Replace all single and double check valves • Replace pressure regulator valves • Replace air protection valves and safety valves • Replace drain valves • Replace all defective air hoses, fitting, and related hardware. If control valves are deemed to be Defective, the repair work shall be documented and negotiated as Unforeseeable Work. Reference Section 1.5 UNFORESEEABLE WORK. The brake airlines shall be pressure tested and repaired or replaced if found Defective. The air tanks shall be pressured test and repaired and or replaced where necessary. This work shall be documented and negotiated as Unforeseeable Work under Section 1.5 UNFORESEEABLE WORK and Section 5.4.2 Air Lines and Fittings. 5.3.4 Brake Components The CONTRACTOR is not required to perform brake re -line or brake components replacement work for the Vehicle. If any brake components are Defective during the Vehicle inspection at the CONTRACTOR site, the CONTRACTOR shall document the condition and the work shall be negotiated as Unforeseeable Work. Reference Section 1.5 UNFORESEEABLE WORK. 5.4 AIR SYSTEM The air system shall provide air to the braking system, door system and other pneumatic accessories with reserve capacity. The CONTRACTOR shall ensure that all pipes and hoses are not rubbing/chaffing other components. The CONTRACTOR shall perform a pneumatic system leak after final installation. 5.4.1 Air Compressor The CONTRACTOR shall remove the existing air compressor and replace it with a new air compressor. The CONTRACTOR shall also Remove and Replace the air intake filter. The air intake and air discharge plumbing shall be modified when the new air compressor is installed. The existing air supply to the compressor is being connected from the engine block after the turbo discharge port; 28 41 Exhibit A-1 a the CONTRACTOR shall re -pipe the supply air to connect before the turbo and after the air cleaner. The air compressor discharge line needs to be rerouted differently so that certain components underneath the Vehicle can be accessed easily. 5.4.2 Air Lines and Fittings All air lines and fittings shall be cleaned, inspected and examined for any damages or leaks. All damage work shall be documented and negotiated as Unforeseeable Work (Reference, Section 1.5 UNFORESEEABLE WORK). Any repair work shall follow the following practices. Air lines, except necessary flexible lines, shall conform to the installation and material requirements of SAE Standard J1149 for copper tubing with standard brass flared or ball -sleeve fittings, or SAE Standard J844 for nylon tubing. The routing shall preclude the nylon tubing from being subjected to temperatures over 200°F. Air lines shall be cleaned and blown out before installation and shall be installed to minimize air leaks. All air lines shall be sloped toward a reservoir and routed to prevent water traps. Nylon tubing shall be installed in accordance with the following standard color -coding: GREEN Primary brakes and supply RED Secondary brakes BROWN Parking brake YELLOW Compressor governor signal BLACK Accessories All air lines shall have supports and clamps replaced with OEM parts and shall be positioned in compliance with the OEM installation. Nylon lines may be grouped and shall be continuously supported at two -foot intervals or less, and prevented from any movement, flexing, tension strain, and vibration. Copper lines shall be supported by looms at intervals of no more than five feet to prevent movement, flexing, tension strain, and vibration. Copper lines shall be prevented from touching one another or any component in the Bus. To the extent practicable and before installation, the copper lines shall be pre- formed on a fixture that prevents tube flattening or excessive local strain. Copper lines shall be bent only once at any point, including pre- bending and installation, to avoid fatigue of the tubing. Flexible hoses shall be as short as practicable and individually supported. They shall not touch one another or any part of the Bus except for the supporting grommets. Flexible lines shall be supported at two -foot intervals or less. Grommets of bulkhead fittings shall protect the air lines at all points where they pass through under structure components. The compressor discharge line between the air compressor and the bulkhead shall be flexible convoluted copper or stainless steel line, or may be flexible Teflon hose with a braided stainless steel jacket. The line between the bulkhead and the air dryer shall be rigid copper. These lines shall have a minimum inside diameter of one inch. End fittings shall be standard SAE or JIC brass or steel flanged, reusable, swivel -type fittings. 5.4.3 Air Tanks Air tanks shall be cleaned with solvent and drained while left in place on the chassis. Air tanks shall be pressure tested and replaced where necessary. Any repair/replacement work shall be documented and negotiated as Unforeseeable Work. (Reference, Section 1.5 UNFORESEEABLE WORK) 5.4.4 Air Dryer The air dryer shall be Removed and Replaced with the Graham White "SludgeBraker" twin -tower Air Dryer or approved equal. The CONTRACTOR shall carefully size and match the capacity of the air dryer to meet the air compressor output. 29 42 Exhibit A -la 5.5 FUEL TANK The fuel tanks are to be pressure washed and carefully inspected and if found to be damaged or leaking a new tank is to be negotiates as Unforeseeable Work (Reference, SECTION 1.5 UNFORSEEABLE WORK). If the existing tank is in reusable condition a new filler neck gasket and cap are to be installed, and existing fuel tank strap padding is to be removed and replaced with new. T h e new fuel tank shall be constructed of stainless steel with visible manufacturing tags (listing model number and manufacturing date). The CONTRACTOR shall also Remove and Replace all fuel filters. A new fuel filler neck assembly is to be installed. 5.6 LINES & PIPING All flexible (soft) or non-metal fluid lines and securement clamps shall be Removed and Replaced for the entire Vehicle from undercarriage to rooftop. Flexible (soft) or non-metal fluid lines include hydraulic, fuel, air, air conditioning and coolant. Reference Section 5.4.2 Air Lines and Fittings, 5.6.1 Fluid Lines, 5.6.2 Hydraulic Lines and 5.6.3 Piping & Hose for installation guidelines and specifications. All hard (rigid) metal piping and tubing such as exhaust pipes, air intake pipes, coolant and fuel piping shall be thoroughly inspected for damages or leaks. Leaks that can be corrected by torqueing the leaking fitting shall be addressed by the CONTRACTOR as part of the scope of work. All damaged, rusted, corroded or badly dented hard rigid piping shall be documented and the repair/replacement work shall be negotiated as Unforeseeable Work unless specified otherwise by The CITY, reference Section 3.4 HEATING & VENTILATION. Reference Section 5.4.2 Air Lines and Fittings, 5.6.1 Fluid Lines, 5.6.2 Hydraulic Lines and 5.6.3 Piping & Hose for installation guidelines and specifications. To ensure proper mounting, the CONTRACTOR shall furnish and install clamps and support as deemed necessary. Also reference Section 3.4 HEATING & VENTILATION, and Section 6. 1.1 Engine for additional areas. 5.6.1 Fluid Lines All flexible fuel and oil lines within the engine compartment shall be Removed and Replaced by the CONTRACTOR. All fuel and oil lines shall be rigidly and independently supported with properly insulated clamps and standoff. All routing, clamping and standoffs shall be installed in such a way as to eliminate any chaffing or rubbing. All fuel and oil lines shall be routed or shielded so that failure of a line will not allow fuel or oil to spray or drain onto any component operable above the flash point of the fluid. The existing check valve for the fuel suction line shall be replaced. The new check valve shall be installed and tested to ensure that it is an aid in restarting after fuel filter changes. Flexible lines shall be Teflon hoses with braided stainless steel jackets, except in applications where premium hoses are required, and shall have standard SAE or JIC brass or steel reusable swivel end fittings. High-pressure hydraulic lines shall be Aeroquip FC395, Aeroquip FC300, or approved equal. 5.6.2 Hydraulic Lines The hydraulic system is to be drained and completely flushed and cleaned. The hydraulic motor and associated circuitry are to be removed, and a new hydraulic pump is to be supplied which is properly sized to meet the demands of the steering system. The hydraulic reservoir filter element is to be replaced. The hydraulic lines in engine compartment are to be replaced with new stainless steel brained Teflon lined hoses rated for the application. The inline power steering fluid line filter is to be replaced. Hydraulic lines shall be individually and rigidly supported to prevent chafing damage, fatigue failures, and tension strain on the lines and fittings. The flexible hydraulic lines in the engine compartment shall be Aeroquip 2807 except where the radii of the lines exceed the performance of the Aeroquip 2807 line. In those instances, Aeroquip FC 350 with replaceable ends will be permitted. Lines of the same size and with the same fittings as those on other piping systems of the Bus, but interchangeable, shall be tagged or marked for use on the hydraulic systems only. It shall not be possible to connect the input lines to the output lines. The underbody stainless steel lines shall be inspected for proper mounting; they should be rigidly mounted and routed separately from all other lines per the original OEM configuration. Any broken or loose mounting, as well as any damaged or worn stainless steel lines shall be documented and such work shall be 30 43 Exhibit A-1 a negotiated as Unforeseeable Work (Reference, Section 1.5 UNFORESEEABLE WORK). All replacement lines shall be installed in consistent with the existing OEM routing and mounting. 5.6.3 Piping & Hose All flexible (soft) hoses, in the engine compartment, such as all cooling system hoses, heater hoses, transmission cooler hoses, air intake hoses including hump hoses and metal reinforced hoses for the CAC hoses shall be replaced. Hoses shall be Aero quip 2807 or FC300 or approved equal. All lines shall be silicone and routed and clamped to prevent vibration, chafing and abrasion. The cooling system hoses shall be premium silicone -rubber type and shall be secured with heavy-duty constant torque clamps. Hoses with an outside diameter of one (1) inch or more shall be secured with heavy-duty constant torque clamps such as Breeze, or approved equal. The exhaust blanket set shall be also Removed and Replaced. Stainless steel piping in the cooling system, exhaust system and aluminized steel piping used in the air intake charger system shall be thoroughly inspected for damages, corrosion or rust. All replacement works shall be documented and quoted as unforeseeable work (Reference, SECTION 1.5 UNFORESEEABLE WORK). 5.7 Wheels The contractor shall provide a cost for refurbishing all six bus aluminum wheels. Work shall include: All wheels will be inspected for deformities and cracks, with emphasis on the lugholes. Polishing to OEM standards. Defective wheels in need of replacement shall be documented and negotiated as Unforeseeable Work. (Reference, SECTION 1.5 UNFORESEEABLE WORK) 31 MA Exhibit A-1 a 6 PROPULSION SYSTEM 6.1 PROPULSION SYSTEM COMPONENTS 6.1.1 Engine The engine and related components are to be replaced with 2009 Cummins ISL Recon engine. Recon Cummins ISL engine, shall be certified according to CARB emission guidelines for 2007, and shall be fully equipped with all emissions components required under the CARB Executive Order conferring certification. The CONTRACTOR shall work with engine, transmission, and cooling system OEMs and design an engine, transmission, and cooling system that are compatible with installation and use in a 1999 New Flyer Bus. The successful CONTRACTOR will have the entire repower package IQA'd by their local Cummins Factory authorized dealer. The system must pass the Cummins IQA for cooling performance, air intake and exhaust performance and all test results must be submitted with the CONTRACTOR's final submittal package. The engine compartment, including cooling system and venting, shall be professionally redesigned and modified, to accommodate the installation and operation of the new drive train system in all weather conditions encountered in the California Northern San Francisco Bay region, including sustained operation in ambient temperature conditions of up to 110 degrees Fahrenheit. CONTRACTOR shall submit professional diagrams showing all recommended modifications to The CITY staff for review and approval. No engine compartment modification work shall take place without prior written approval. However, this contract shall not relieve the CONTRACTOR from its responsibility to provide repowered buses that fully comply with these specifications. Required Documentation: 1. Engine serial numbers 2. Transmission serial numbers 3. Original Equipment Manufacturer (OEM) part numbers for replacement parts 4. New product documentation for the power plant 5. Two new product service and repair manuals for each component 6. Wiring schematics 7. CARB certification for engine The CONTRACTOR should also provide electronics diagnostic equipment needed to ensure proper engine operations. The engine package, when combined with all other elements of the Rehabilitation project, must (a) meet Buy America requirements; (b) meet or exceed the standards set forth in CARB Executive Order A-021- 0450 for the specified engine, and (c) provide a five year — 300,000 mile warranty. 6.1.2 Cleaire and Exhaust Systems The CONTRACTOR shall remove the one DPF (Diesel Particular Filter) and the two NRC (NOx Reduction Catalyst) and return them as cores back to The CITY after deep cleaning. The CONTRACTOR shall furnish and install one new DPF and two new NRC's on each Vehicle. The CONTRACTOR shall inspect the Cleaire System, if CONTRACTOR believes that any repairs are warranted, the condition shall be documented and the repair work shall be negotiated as Unforeseeable Work (Reference, Section 1.5 UNFORESEEABLE WORK). Exhaust and Emissions System is to be installed as specified in the CARB executive order certifying the engine for use under California Air Resources Board Heavy Duty Transit Bus certification requirements. CONTRACTOR will supply a new DPF emissions unit matching the criteria used by Cummins in certifying the emissions of the engine supplied. CONTRACTOR will be responsible for all configuration necessary to be in full compliance with California Air Resources Board Heavy Duty Transit Bus certification 32 45 Exhibit A-1 a requirements. Entire exhaust system is to be replaced with new, to include: • New P -trap exhaust after treatment • New piping and tailpipe • New exhaust clamps, mounts and mounting hardware. • New exhaust blankets and all needed exhaust heat shields/insulation. 6.1.3 Engine Compartment All gauges in the engine compartment shall be replaced and functional at the time of Bus delivery. The gauges include transmission oil, engine oil, air and coolant. 6.1.4 Transmission CONTRACTOR shall procure and install an Allison B40OR transmission, rebuilt to Allison rebuild specifications. The CONTRACTOR will be responsible for proper mechanical and electronic interface of the new diesel engine to the Allison transmission. The CONTRACTOR will verify that the Allison Transmission has the correct torque convertor for the new engine and that the ECU is properly programmed as needed for new engine. The transmission fluid cooler is to be new. Refilled with 100% Transyn fluid. The CITY requires the CONTRACTOR to supply the latest component upgrades and transmission case housing upgrade per Allison Service Bulletins. 6.1.S Differential Carrier The CONTRACTOR shall Remove and Replace the differential carrier per the OEM specification and differential ratio. 6.1.6 Drive Shaft The drive shaft assembly shall be Removed and Replaced with new parts. 6.1.7 THROTTLE CONTROL SYSTEM The accelerator treadle is to be replaced with a new unit and matched to the new engine. 6.2 COOLING SYSTEM CONTRACTOR shall Remove and Replace the supporting bushings, radiator and CAC assembly with the radiator. CONTRACTOR shall refer to Section 5.6 LINES & PIPING for all flexible (soft) lines replacement requirements. 6.3 COOLING SYSTEM / RADIATOR/CAC AND SURGE TANK CONTRACTOR shall remove existing radiator and hydraulic cooling coil, and shall replace them with a new EMP mini -hybrid electric cooling system, including new optimized radiator and CAC, and a Power 450 amp alternator. The system shall utilize a water-based, extended life antifreeze pressure type cooling system that does not permit boiling or coolant loss at any time during regular operation of the system. The cooling systems shall be of sufficient size to maintain all engine and transmission fluids and engine intake air at safe, continuous operating temperatures during the most severe operations possible and in accordance with engine and 33 Exhibit A-1 a transmission manufacturers' cooling system requirements. The cooling system fan controls should independently sense the temperatures of the operating fluids and intake air and if either is above safe operating conditions the cooling fans should be engaged. The fan control system shall be designed with a fail-safe mode of "fan on". The cooling system in new conditions shall have an ambient capacity with vehicle at max. GVW of at least 115 degrees Fahrenheit at Peak Power, and 120 degrees Fahrenheit at Peak Torque using a 50-50 mix of ethylene glycol/water at sea level operation. Vehicle might require the following recirculation control features; vented curbside door, vented rear door and /or radiator skirt. EMP electric fan cooling system is required. Electric fans shall be brushless, variable speed, reversible and have a corrosion resistant metal shroud with finger guards. The fans should provide electronic feedback control and have diagnostics capability through the standard SAE J1939 diagnostics port. The cooling system shall consist of multiple electric DC brushless pusher type variable speed fans with electronic feedback controls. Electric fan motor speeds shall have a minimum operating range of 0-5500 rpm with capability of manual or automatic reverse operation in order to assist in debris removal. The cooling system shall be equipped with a master controller with the following capabilities; automatically reduce fan speed when the vehicle stops to minimize noise at the curbside, communicate on the J1939 CAN data link with system diagnostic retorting via DMI messaging, review and download data via a laptop with service tool software, capable of software and calibration up -dates, receive commands from the engine or transmission ECM, report fault codes by lighting an engine compartment LED flashing light, sense engine compartment temperature and activate fans if maximum temperature is exceeded, collect and store cooling system and vehicle performance histogram data. If fans lose communication with the engine or sensors they shall go into a default speed mode to avoid vehicle shutdown. This communication shall use the industry standard RP 1210 compliant datalink adapters connected via the standard 9 -pin diagnostic connector found in the engine compartment and interior of the bus. Independent diagnostic detection shall be capable of identifying specifically which fan, measured input parameter, or datalink input parameter is experiencing a fault condition. Report both active and previously active fault codes with the number of detections/occurrences, time of the first and most recent fault detection, and cumulative time the fault was active. Where electric fans are used for cooling there shall be ample field experience. As a minimum, 50 electric fan based cooling systems shall be in transit revenue generating operation for at least 2 years. 1) Shut off valves shall allow filter replacement without coolant loss. Valves shall permit complete shut off lines for the heating and defroster units, and water booster pumps. The water boost pump shall be a long life brushless design. 2) All low points in the water based cooling system shall be equipped with drain cocks. 3) Ai vent valves shall be fitted at high points in the cooling system unless it can be demonstrated that the system is self -purging. 4) A sight glass to determine satisfactory engine coolant level shall be provided and shall be accessible by opening one of the engine compartment's access doors. A spring-loaded, push button type valve to safely release pressure or vacuum in the cooling system shall be provided with both it and the water filler no more than 60 inches above the ground and both shall be accessible through the same access door. 34 47 Exhibit A-1 a 5) A new cooling system pressure gauge with an operating range of 0-30 psi shall be installed to monitor static and operating pressures. 6) The cooling system shall be equipped with a properly sized water filter with a spin on element and an automatic system for releasing supplemental coolant additives as needed to replenish and maintain protection properties. 7) The coolant radiators shall consist of brazed construction. 8) Radiator piping shall meet the requirements as noted above. No heat producing components or climate control system components shall be mounted between the engine cooling air intake aperture and the radiator. 9) The cooling fans shall be temperature controlled, allowing the engine to reach operating temperature quickly. The temperature -controlled fans shall not be driven when the coolant temperature falls below the minimum level recommended by the engine manufacturer. Electric fans should provide independent control of the engine coolant and charge -air temperatures. 10) Charge Air Cooling: a) The charge air cooling system, also referred to as after -coolers or inter -coolers, shall provide maximum air intake temperature reduction with minimal pressure loss. The charge air radiator shall be sized and positioned to meet engine manufacturer's requirements. The charge air radiator shall not be stacked ahead or behind the engine radiator and shall be positioned as close to the engine as possible unless integrated with the radiator. Air ducting and fittings shall be protected against heat sources, and shall be configured to minimize restrictions and maintain sealing integrity. b) The charge air cooler and radiator, if integrated, shall be of durable corrosion -resistant construction. Radiators with copper/brass construction shall be fitted with bolted -on removable tanks. Brazed aluminum radiators shall have welded cast tanks able to withstand a minimum operating temperature of 2000 C during its normal duty cycle. Automotive crimped -on tanks are more susceptible to leaks and early failure, and shall not be used. The radiator shall be designed so a mechanic can gain access to a substantial portion of the side facing the engine for the purpose of cleaning the radiator in five minutes or less. c) Radiators shall have a fm density of 10 fms per inch or less and shall not have louvered/slit designs. These are more susceptible to clogging and deteriorating cooling performance over time and shall not be used. Radiators shall utilize a bar and plate design so they are robust and can be cleaned with high pressure spray wash. d) The charge air-cooling radiator and coolant radiator shall be designed to withstand thermal fatigue and vibration associated with the installed configuration. 35 M Exhibit A-1 a 6.4 BELTS AND TENSIONERS CONTRACTOR shall be responsible for replacing and selecting the belt(s) required to drive all accessories such as A/C compressor, 24 -volt generator, hydraulic pumps etc. When locating components that are belt driven CONTRACTOR shall ensure they are properly tensioned and aligned. In addition, belt tensioners shall be used when necessary following belt manufacturer recommended practices on idler placement. The belt guard shall be modified to fit the new engine configuration. 6.5 STARTER The starter motor is to be new as supplied by the engine manufacturer. Both the positive and negative cables including battery cables, starter cables and alternator cables are to be new. 36 49 Exhibit A-1 a 7 ELECTRICAL 7.1 BATTERIES Batteries shall be replaced with DEKA 8A8D Absorbed Glass Mat (AGM), MagnaPower 8A8D AGM or approved equal. Cables shall not lie on top of the batteries and shall be sheathed and wrapped to prevent corrosion. 7.1.1 BATTERY COMPARTMENT The CONTRACTOR shall clean and repaint the entire battery compartment. New sliders/tracks, battery trays and compartment pans shall be installed. Any other repairs shall be documented and negotiated as Unforeseeable Work (Reference, Section 1.5 UNFORESEEABLE WORK). 7.2 ALTERNATOR The Delco 50DN alternator is to be replaced with a 450 amp air-cooled alternator unit supplied with the EMP electric cooling fan system described in section "N" of these specifications. 7.3 TURN SIGNAL ALARM The CONTRACTOR shall remove the existing turn signal alarm and replace it with Mallory Sonalert SC628JR and the baffle SCVC. The CONTRACTOR shall use the Mallory Sonalert "L" style mounting bracket (P/N ACCO 1) and mount the alarm with baffle at the same location as it was removed. The CONTRACTOR shall test and verify that the turn signal alarm is enabled for right turn only. 37 50 Exhibit A-1 a MATERIALS AND OVERALL WORK QUALITY 8.1 MATERIALS All materials used in the construction of the Bus and all of its parts shall be in accordance with the stated specification or description unless written approval for substitution is obtained from THE CITY. All materials shall comply with the standards established by ASTM, SAE, or similar association standards. Materials used shall be equivalent in manufacture, design, and construction on each Bus and shall have a manufacturer label affixed to the part. Whenever under the Contract Documents it is provided that the CONTRACTOR shall furnish materials or manufactured components or shall do work for which no detailed specifications are set forth, the work performed shall be in accordance with the best standards of manufacture. Foreign matter such as shavings, chips, etc., shall be completely removed from all parts of the Bus whether hidden or exposed. I. All lumber shall be thoroughly kiln dried, free from knots and shall be of clear, straight grain, dressed on all sides. II. All painted aluminum sheets shall be thoroughly cleaned and coated on the inside and outside with zinc- chromate protective paint prior to assembly in Bus. III. All joints shall be protected by application of a zinc -chromate metallic compound at assembly. IV. In the event plywood is used for the flooring, the sub floor material shall be no less than 3/4 inch thick, 7 ply, marine grade with no voids. The floor shall be waterproof, non -hygroscopic, resistant to wet dry rot, resistant to mold growth and impervious to insects. V. All bolts, nuts, washers and exposed linkage shall be stainless steel or zinc plated (where applicable) to prevent corrosion. CONTRACTOR shall submit certification that all bolts on the Buses are in compliance with SAE Standard J429. 8.1.1 Hazardous Materials It shall be the design objective to eliminate from the Buses all materials that are or may become hazardous to passengers, operators, or maintenance personnel. Of particular concern are materials that produce toxic smoke or gases when heated, possibly due to an accidental fire when bodywork using welding equipment or cutting torches are used. No parts on the Bus shall contain asbestos or PCBs. The CONTRACTOR shall provide, for CITY approval, the material safety data sheets (MSDS) of any non -OEM materials or fluids that will be used in the construction, operation or maintenance of the Vehicle. The CITY has the option to reject the use of any hazardous materials proposed for use on the Vehicles during Design Reviews. 8.2 OVERALL WORK QUALITY Overall work quality shall be of the best grade and shall conform in all respects to the best practice in the industry such as ISO 9001. The fit and finish of the exterior and interior components shall be to the best of the industry standards of the automotive trade. Unless otherwise specified, all materials and equipment shall be new. Mechanical, electrical and electronic equipment and components shall be the products of manufacturers regularly engaged in the fabrication of such equipment and components for use in transit vehicles. The work shall be executed in conformity with the best -accepted industry standard practice of the trade so as to contribute to maximum efficiency if operation, accessibility, pleasing appearance and minimum cost of maintenance. 8.2.1 Welding Welding procedures, welding materials, and qualifications of welding personnel shall be in accordance with the current standards of the ASTM and AWS. Where metal is welded to metal, the contact surfaces shall 38 51 Exhibit A-1 a be free of scale, grease, and paint and prepared according to AWS procedures. 8.2.2 Mechanical Fastening No protruding screws, mounting bolts, or similar items shall be permitted in the interior or the exterior of the Bus. Fasteners not exposed to passengers on the inside of the Bus shall be stainless steel or zinc -plated steel. Zinc plating shall conform to the latest revision of ASTM B633, TYPE II, SC3 or SC4. All fasteners used in the Vehicle body exterior, even if not exposed to passengers, shall be of stainless steel except where mechanical requirements impose graded steel fasteners, or to minimize galvanic corrosion. These fasteners shall be zinc -plated with treatments to prevent hydrogen embrittlement if required. Where non - anodized metal is riveted or bolted to metal, contact surfaces shall be thoroughly cleaned and properly primed. 8.2.2.1. Rivets Rivets shall completely fill the holes. No blind rivets shall be used. All rivets shall be of the solid center type. External rivet heads shall be concentric with the body of the rivets and free from rings, pits, burrs and fins. Surfaces exposed to passengers, operator, or maintenance personnel shall be smooth and free of burrs, fins, sharp edges, and dangerous protrusions. 8.2.2.2. Screws On the Bus interior, all screws exposed to passengers shall be stainless steel with a flat or oval head. Exposed screws shall be of an approved tamper -proof type with the exception of the glazing mounting screws. Self - tapping screws shall not be used in areas requiring dismantling for servicing. At least 1-1/2 screw threads shall be visible beyond all nuts. 8.2.2.3. Bolts All bolts or rods passing through wood or exposed to the elements shall be an approved grade stainless steel or, with The CITY's pre -approval, zinc -plated. All nuts and bolts exposed to passengers shall be an approved grade stainless steel unless otherwise specified. The design strengths for Grade 2 bolts and Class A nuts shall be used in sizing the mounting and attachment bolts for under floor mounted equipment, support structures, or brackets. However, all structural or load -carrying bolts shall be domestic manufacture, grade 5 or better. Bolts or screws used for structural connections shall have full-size bodies in areas subjected to bearing and/or shear loads. For bolted joints subject to steady vibration, UNC bolts with appropriate locking arrangement shall be used. Nuts shall be a regular height, nylon insert, and self- locking type. Bolts smaller than 1/4 inch shall not project more than 1-1/2 threads plus 1/4 inch. Bolts 1/4 inch or larger shall not project more than eight threads. All hardware is to be installed and torqued per ANSI guidelines. 8.2.3 Finishing Special care shall be taken with the outside sheathing; roof, roof bonnets, and interior finish so that all kinks and buckles are removed before assembly to present a true and smooth finish. This shall be accomplished without excessive grinding, which may weaken the structure material. All painted surfaces shall have a true and smooth surface that will not show sanding or grinding marks after painting. Where wood is placed against wood, both surfaces shall be coated with an approved sealing compound. All steel and aluminum body parts that are to be painted shall be thoroughly cleaned and treated before priming with a primer compatible with the paint system. 8.2.4 Electrical All electrical connections shall be of the locking type. All electrical wiring harnesses shall be clamped, tie - wrapped and supported at regular intervals in compliance with the OEM installation. When wires, cables, hoses or tubes go through walls or panels, the bulkhead holes shall have protective grommets/molding and the wires, cables, hoses or tubes shall be clamped on both sides of the bulkhead hole. A 1/4 -inch minimum clearance to the protective grommet/molding is required. 8.3 PROOF OF COMPLIANCE WITH CONTRACT In order that The CITY may determine whether the CONTRACTOR has complied with the requirements of the Contract Documents not readily determinable through inspection and test of equipment, components or materials used in the work, the CONTRACTOR shall, at any time when requested, submit to The CITY 39 52 Exhibit A-1 a properly authenticated test results, design documents or other satisfactory proof as to its compliance with such requirements. 9 VEHICLE RECORDS The CONTRACTOR shall provide a Vehicle record book to be included for the bus upon its arrival at The CITY. The Vehicle record book is to include the following information as to new equipment/systems: 1) Sub -component description 2) Sub -component serial numbers 3) Test records 4) Inspection records 5) Shipping and Acceptance dates. Each book shall be indelibly marked with the serial number of the bus it accompanies. 40 53 Exhibit A- I a 10 WARRANTY 10.1 WARRANTY REQUIREMENTS Warranties in this document are in addition to any statutory remedies or warranties imposed on the CONTRACTOR. Consistent with this requirement, the CONTRACTOR shall warrant and guarantee to The CITY each Bus and specific subsystems and components according to the following provisions: The CONTRACTOR shall ensure that the warranty requirements of this Contract are enforceable through and against the CONTRACTOR's suppliers, vendors, and sub -contractors. Any inconsistency or difference between the warranties extended to The CITY by the CONTRACTOR and those extended to the CONTRACTORby its suppliers, vendors, and sub -contractors, shall be at the risk and expense of the CONTRACTOR. Such inconsistency or difference will not excuse the CONTRACTOR's full compliance with its obligations under the Contract Documents. Upon request of The CITY, the CONTRACTOR shall promptly provide complete copies of written warranties or guarantees and of documentation of any other arrangement relating to such warranties or guarantees extended by the CONTRACTOR's suppliers, sub -suppliers, vendors, and sub -contractors covering parts, components, and systems utilized in the Bus. If any vendor/supplier to the CONTRACTOR offers a warranty on a component that is longer or more comprehensive than the requirement in Section 10.2 COMPLETE BUS, the CONTRACTOR shall provide this information to The CITY in their bid documents and pass it through to The CITY at no additional cost to The CITY. The CONTRACTOR shall ensure that such suppliers, sub -suppliers, vendors, and sub -contractors satisfactorily perform warranty -related work. 10.2 COMPLETE BUS CONTRACTOR warrants and guarantees that the work performed and new equipment installed by the CONTRACTOR shall be free from Defects and Related Defects for one year or 50,000 miles, whichever comes first, beginning on the date of the Acceptance of each Bus. 10.2.1 VOIDING OF WARRANT The warranty shall not apply to any part or component of the Bus that has failed as a direct result of misuse, negligence, or accident, or that has been repaired or altered in any way so as to affect adversely its performance or reliability, except insofar as such repairs were in accordance with the CONTRACTOR's maintenance manuals and the workmanship was in accordance with recognized standards of the industry. The warranty on any part or component of the Bus shall also be void if The CITY fails to conduct normal inspections and scheduled preventive maintenance procedures on the same part or component substantially as recommended in the CONTRACTOR's maintenance manuals, and such failure by The CITY is the sole cause of the part or component failure. 10.2.2 CONTRACTOR's Representative The CONTRACTOR's service personnel shall be available during the Acceptance and commissioning of the bus to assist The CITY in the solution of engineering or design problems that are within the scope of the Technical Specifications and that may arise. This service personnel will also be available to The CITY on request during the Bus warranty period. Maintenance or repair instructions or suggestions from these representatives affecting warranty shall be in writing and directed to The CITY. The CONTRACTOR's Representative shall have authority to accept and approve warranty claims and make timely decisions affecting the repair of Defects. The CITY will work with the CONTRACTOR's representatives as much as possible to minimize the costs and time involved in conducting warranty repairs; however, due to space constraints and labor agreements, The CITY cannot guarantee that any CONTRACTOR work will be performed on The CITY property. 41 54 Exhibit A -1a 10.3 DETECTION OF DEFECTS If The CITY finds Defects within the warranty period defined in Section 10.2 COMPLETE BUS, it shall notify the CONTRACTOR's representative in writing. Within five Working Days after receipt of notification, the CONTRACTOR's representative shall either agree that the Defect is in fact covered by warranty, or reserve judgment until the sub- system or component is inspected by the CONTRACTOR's representative or is removed and examined at The CITY property or at the CONTRACTOR's plant. At that time the status of warranty coverage on the sub -system or component shall be mutually resolved between The CITY and the CONTRACTOR. Work necessary to commence the inspection or repairs, under the provisions of Section 10.5 REPAIR PROCEDURES shall proceed immediately after receipt of notification by the CONTRACTOR. If within 10 Working Days of notification to CONTRACTOR, The CITY and CONTRACTOR are unable to agree whether a Defect is covered by warranty provisions, The CITY reserves the right to commence repairs and seek reimbursement through Section 10.5 REPAIR PROCEDURES. 10.4 FLEET DEFECTS A Fleet Defect is defined as cumulative failures of any kind in the same new systems or components in the same or similar application where such items are covered by the warranty and such failures occur within the warranty period. The CITY shall have final approval of corrections or changes under these conditions, which may include requesting Failure Analysis Report (see Section 10.5.6) for the failed system. 10.4.1 CORRECTION OF FLEET DEFECTS The CONTRACTOR shall provide a corrective action plan within 10 Days of receipt of notification of a Fleet Defect under the procedures specified in this subsection. Unless The CITY grants an extension, the CONTRACTOR shall provide The CITY with a retrofit work plan, a Field Service Repair Procedure and schedule, to be reviewed and approved by The CITY. The schedule shall specify how and when all Buses with Defects shall be corrected. Any proposed changes to an approved Fleet Defect work plan or program must be submitted to The CITY for review and approval. If CONTRACTOR does not provide a plan for correction within 10 Days (or as extended by The CITY); or a specific, declared Fleet Defect is not fully corrected within the time specified in the agreed upon schedule; or the remainder of the Buses are not corrected in accordance with the CONTRACTOR's work plan; then The CITY will assess liquidated damages in the amount of $500/Bus per calendar Day. The warranty on parts, components or sub -systems replaced as a result of a Fleet Defect shall be assigned a new warranty period equal to the original manufacturers or contract part warranty, whichever is longer, effective the replacement date. Any extended warranties shall commence at the conclusion of the new warranty period. 10.4.2 FLEET DEFECT REPAIRS When The CITY requires the CONTRACTOR to perform warranty -covered repairs under the Fleet Defect corrections, the CONTRACTOR's representative must begin work necessary to effect repairs in a proper and timely manner, within five (5) Working Days after the approval of the retrofit plan/schedule. Whenever the CONTRACTOR makes warranty repairs, new parts, subcomponents and subsystems shall be used, unless the repair of original parts is authorized in writing by The CITY. The CITY shall make the Bus available to complete repairs timely with the CONTRACTOR's repair schedule. The CONTRACTOR shall provide, at its own expense, all spare parts, labor, tools and space required to complete repairs. The CONTRACTOR shall reimburse The CITY for all expenses incurred, including labor for driving Buses, or towing charges for Buses transported, between The CITY's facilities and CONTRACTOR's service center or the facilities of its sub -contractors or suppliers. 10.4.3 CONTRACTOR -SUPPLIED PARTS The CONTRACTOR shall furnish parts for all warranty work performed by the CONTRACTOR. 42 55 Exhibit A-1 a 10.4.4 VOIDING OF WARRANTY PROVISIONS The Fleet Defect provisions shall not apply to Bus Defects solely caused by non-compliance with the CONTRACTOR's recommended preventive maintenance practices and procedures or caused solely by abuse of the equipment. 10.5 REPAIR PROCEDURES The CONTRACTOR shall reimburse The CITY for labor, parts and administrative costs for warranty claims performed by The CITY personnel or by any CONTRACTOR(s) hired by The CITY to perform warranty work, CONTRACTOR shall reimburse The CITY for warranty claims within 30 Days after each warranty claim has been submitted by The CITY. If The CITY does not receive payment within 30 Days, The CITY will deduct the amount of the claim, which includes labor, parts, administrative overhead and towing costs, from payments due to CONTRACTOR or will deduct the amount of the claim from the Retention. 10.5.1 PARTS USED The CITY shall use new parts, subcomponents and subsystems that CONTRACTOR shall provide specifically for these repairs. All parts shall be stamped or permanently marked with the OEM part number, and serial number if applicable. Warranties on parts used shall begin once the Vehicle has been repaired. The warranty on parts, components or sub -systems replaced as a result of a standard warranty repair shall be assigned a new warranty period equal to the original manufacturers or contract part warranty, whichever is longer, effective the replacement date. Any extended warranties shall commence at the conclusion of the new warranty period. The CITY shall use parts or components available from its own stock only on an emergency basis. Monthly reports, or reports at intervals mutually agreed upon, of all repairs covered by warranty will be submitted by The CITY to the CONTRACTOR for reimbursement or replacement of parts or components. The CONTRACTOR shall provide forms for these reports. 10.5.2 DEFECTIVE PARTS RETURN The CONTRACTOR may request that Defective parts or components covered by warranty be returned to the CONTRACTOR. The CONTRACTOR is responsible for all costs associated with material return. Material will be returned in accordance with the CONTRACTOR's instructions. CONTRACTOR shall provide such instructions to The CITY at the beginning of the project. The CONTRACTOR's representative shall meet with a The CITY representative on as required basis to determine which parts need to be returned to the manufacturer for evaluation, or which parts may be discarded. 10.5.3 REIMBURSEMENT FOR LABOR The CONTRACTOR shall reimburse The CITY for all warranty labor incurred by The CITY. The amount shall be determined by multiplying the number of man-hours required to correct the Defect by the current top mechanic's hourly overtime wage rate. The wage rate, and therefore, the warranty labor rate, is subject to adjustment each year. As of June 28, 2018, the warranty labor rate shall be based on the mechanic's wage rate of $140.40/hour, which includes labor, fringe benefits, and overhead. In the event The CITY deems it necessary to contract out for warranty repairs, the CONTRACTOR shall reimburse The CITY for the actual cost of the repair, including charges for any warrantable parts, consequential parts or damages, labor, and towing or transportation. A 15% handling fee will be included on all outside invoices for warranty related services submitted to the CONTRACTOR. 10.5.4 REIMBURSEMENT FOR PARTS; TOWING In the event The CITY uses its own parts for warranty repairs, the CONTRACTOR shall reimburse The CITY for those parts, including all Defective parts, components, and consequential parts supporting the warranty repair. The reimbursement shall be at the invoice cost of the parts or components at the time of repair and shall include applicable taxes plus a 15% handling fee. The warranty will include the cost of towing the Bus or a Bus change if either was necessary because of the failure of a warranted part. Towing costs consist of The CITY's established contracted tow truck charge 43 56 Exhibit A-1 a including applicable taxes, any parts utilized in the transfer of the Bus, any The CITY labor expended, plus a 15% handling fee. The cost of a Bus change will consist of the actual time spent at the established warranty labor rate. CONTRACTOR shall reimburse The CITY for warranty claims within 30 Days after each warranty claim has been approved by the CONTRACTOR. If The CITY does not receive payment 30 Days, The CITY may deduct the amount of the claim from payments due to CONTRACTOR. 10.5.5 WARRANTY AFTER REPLACMENT OR REPAIRS The warranty on parts, components or sub -systems replaced as a result of a standard warranty repair shall be assigned a new warranty period equal to the original manufacturer's or contract part warranty, whichever is longer, effective the replacement date. Any extended warranties shall commence at the conclusion of the new warranty period. 10.5.6 FAILURE ANALYSIS At The CITY's request, the CONTRACTOR, at its cost, shall conduct a failure analysis of a failed part involved in a Fleet Defect or that is safety-related or a major component that could affect fleet operation that has been removed from Buses under the terms of the warranty. The analysis shall commence with the approved corrective action plan and be documented and compiled into a report. Failure Analysis Reports shall be delivered to The CITY within 60 Days of the receipt of failed parts. 44 57 Exhibit A-1 a 11 QUALITY ASSURANCE In order to closely monitor the First Article and production progress, The CITY requires having Quality Assurance meetings with the CONTRACTOR on a regular basis. During the conference call, the CONTRACTOR shall prepare to discuss project schedule, production issues, material issues and other items associated with the Project. If the CONTRACTOR's site is located further than a 50 -mile radius of THE CITY, the CONTRACTOR shall accommodate all the travel expenses, including lodging, for THE CITY Inspection Team and Project Team. The CONTRACTOR shall budget a total of six trips of on-site inspections for the entire project, with three The CITY personnel on each trip. 11.1 COMPLIANCE DEMONSTRATION Upon written request of THE CITY, the CONTRACTOR shall demonstrate compliance with any requirement of these specifications. Other demonstrations shall be requested after delivery, should THE CITY suspects that the production Bus is not in conformance to these specifications. The demonstration shall consist of formal tests conducted the bus and witnessed by THE CITY authorized personnel. In lieu of conducting tests of a destructive nature, the demonstration requirement may be satisfied by a comprehensive analysis of sufficient scope and quality to show specification compliance. The burden of demonstrating compliance rests on THE CONTRACTOR but is subject to approval by The CITY. 11.2 PRE DELIVERY TESTS The CONTRACTOR shall conduct acceptance testing at its plant on the Bus before delivery to THE CITY. The pre -delivery test shall include visual and measured inspections, as well as testing of the total Bus operation. The test shall be conducted and documented in accordance with written test procedures to ensure that the completed Buses have attained the desired quality and have met the requirements of these Technical Specifications. 11.3 POST -DELIVERY TESTS The CITY shall conduct post -delivery tests, which shall include, but not be limited to, visual inspection, functional testing of all systems that were replaced or rehabilitated, and a road test on the Bus. I f t h e b u s f a i 1 s to pass the post -delivery tests it will not be accepted. The CITY will record details of all Defects on the appropriate inspection forms which shall be submitted to the CONTRACTOR for immediate corrective action. The bus shall be delivered with the Vehicle traveler document, (Reference, Section 9 VEHICLE RECORDS), at the time of delivery. 45 58 Exhibit A-1 a 11.4 SERVICEABILITY TEST Prior to Acceptance, and at The CITY's discretion, The CITY may operate the bus for a minimum of 50 miles. Any Defects will be recorded on the appropriate test form which shall be submitted to the CONTRACTOR for immediate corrective action. 11.5 FIRST ARTICLE BUS The CONTRACTOR shall the bus which shall undergo a detailed inspection by The CITY personnel or representatives. The purpose of this inspection is to ensure that the Bus has been built to approved engineering standards and that all contract work has been incorporated into the First Article. Exhibit A-1 a 13: OPTIONS 13.1 FIRE SUPPRESSION The bus is not currently equipped with a fire suppression system. The vendor shall provide a cost for installation of a fire suppression system into'the bus. The system shall comply with all NFPA, SAE, NEC, DOT regulations and meeting the f6llowing specifications. 13.1.1 Fire Safety The system installed shall be designed and manufactured in accordance with all applicable fire safety and smoke emissions regulations. These provisions shall include the use of fire retardant/ low -smoke materials, fire detection systems, firewalls, and facilitation of passenger evacuation. All materials used in the construction of the passenger compartment of the bus shall be in accordance with the Recommended Fire Safety Practices defined in FMVSS 302, dated October 20, 1993. A minimum 51b. 2A 10 BC rating fire extinguisher shall be furnished and mounted in each vehicle in the drivers' area. 13.1.2 Materials Materials entirely enclosed from the passenger compartment need not comply, unless otherwise specified. In addition, smaller components and items, such as seat grab rails, switch knobs and small light lenses, and shall be exempt from this requirement. 13.1.3 Fire Suppression Systems The bus shall have a fire suppression system installed per manufacture's recommendation. . 13.1.4 1 Fire Sensing and Suppression Systems (FSS) A fire sensing and suppression system shall be provided to monitor the engine compartment and the (optional) auxiliary area (s) where a significant fire hazard exists. Upon detection, the system will alert the operator with visual and audible signals and initiate automatic engine shutdown, fuel shut-off, and extinguisher discharge sequences. The vehicle shall be equipped with an Amerex ABC dry chemical pre-engineered fire suppression system designed for vehicle applications, or approved equal. The system shall be approved and listed for use at -65 degrees F to 150 degrees F. The automatic actuation system shall provide 24 hour fire detection of the engine compartment. The system shall have the following features: A minimum 25 pound capacity agent cylinder of the stored pressure type shall be furnished; be constructed of a welded steel and must conform to DOT specifications and be rated for 12 year minimum hydrostatic retest. The cylinder shall be outfitted with a gauge that can be visually inspected for pressure condition and a forged brass valve assembly. System cylinder shall have a minimum service pressure of 350 psi and be DOT rated. Nozzles and distribution shall be installed in accordance with the installation manual. An inspection door will be provided by the OEM on the bus body allowing for the visual site inspection of the agent cylinder gauge. Three (3) temperature sensitive weather-proof miniature thermostats, constructed of stainless steel material, shall be located in the engine compartment. Detectors shall be approved for use 52 65 Exhibit A-1 a as heat actuated fire detectors. The detectors shall be normally open and shall be capable of carrying sufficient amperage for the purposes of firing the electric actuator. The electric control head shall also be activated manually by depressing an electric switch (button w/pull pin, labeled "fire") mounted in the driver's dash area. A control panel shall be provided to electrically supervise the automatic fire suppression system following wiring circuits: POWER, HEAT DETECTION, and SYSTEM ACTUATION. The monitor shall provide a display indicating NORMAL, FIRE or FAULT conditions, and the panel will shut the engine down within 15 seconds or less of detecting a fire. An engine shutdown reset button on panel will be included. A minimum of four (4) brass nozzles shall be located in the engine compartment and one (1) brass nozzle located in the catalytic converter compartment/ area fitted with dust caps that, upon actuation, are displaced to allow full ABC chemical flow. The bus OEM (CONTRACTOR) shall provide a written sign off (from the suppression manufacture) that all installation requirements have been met on the buses. 13.1.5 Fire Detection Fire detectors can sense radiant or heat energy from a fire. Heat energy is detected thermally by immersion in hot air, such as in close proximity to a fire. Radiant energy is detected optically at some distance from the fire. Thermal and optical fire detectors shall be installed. 13.1.6 Thermal Fire Detection Thermal fire detectors shall be spot (one-dimensional detection) or linear (two-dimensional detection) designed for use in engine compartments. Thermal fire detectors must be in close proximity to the fire in order to detect. Their mounting locations must be chosen per the installation instructions, certified by the manufacture, and typically mounted so that airflow will act to move a fire in the protected area toward them. The thermal detector shall respond to being immersed in a fire in less than thirty seconds. The thermal detection system in the engine compartment will be comprised of at least two spot detectors or one linear detector of suitable length. 13.1.7 Optical Fire Detection Optical fire detectors shall sense infrared radiation emitted from a fire (three-dimensional detection) and be designed for use in engine compartments. Optical fire detectors must be able to view a fire in order to detect and must be mounted per the installation instructions. The optical detector shall have at least a 90 degree conical field-of-view. The optical detector shall have a response time of less than one half of one second to a fire. The optical detection system in the engine compartment will be comprised of at least two each infrared optical fire detectors. Both Thermal and Optical Fire Detection shall be used. 13.1.5 System Status and Trouble Indication The fire sensing and suppression shall provide an active visual indication of the system status. An immediate visual Trouble indication will be provided if a fault occurs in any portion of the FSS Circuit. An indicator Test function shall be provided at the panel. 13.1.9 Engine Shutdown with Operator Override After a fire is detected, the FSS shall cause the fuel flow to cease, and the engine to shut down. An operator override feature shall be provided. The air conditioning blower motors should shut off 53 Exhibit A-1 a during the engine shut down. 13.1.10 Automatic Engine Shutdown with Delay An automatic delay between the fire alarm and engine shutdown shall not exceed 15 seconds. 13.1.1 Manual Override A manual override shall be provided, which when constantly depressed, will allow the driver to delay the engine shutdown, but not the FSS System Activation and alarm system. 13.1.11 Extinguisher Discharge The system shall provide a means for manually discharging the fire extinguisher with the control located in the driver's area. The installation shall be certified by the manufacture of the suppression system. 13.1.12 Operator Over -Ride of Automatic Engine Shut -Down and Extinguisher Discharge When the system is configured so that the Engine Shut -down and Extinguisher Discharge occur after a pre-set delay following the Fire Alarm, the FSS shall offer provision for the operator to over -ride the automatic action of the system. The over -ride will prevent the engine shut -down from occurring. The over -ride delay shall require active input from the operator. 13.1.13 Battery Back-up The FSS shall have provision to operate with a back-up power source, other than the vehicle battery. The back-up power source shall be capable of automatically actuating the FSS for a period of 24 hours in the event of loss of the vehicle electrical power source. The back-up battery shall be self -charging when the vehicle electrical power is restored. 13.1.14 System Reset After a fire alarm and complete system sequence, the FSS shall have provision to be reset after the system is reconfigured per the instructions provided by the manufacture. 13.1.15 Deleted 13.1.16 Detection System A. The detection system shall be of a Linear Thermal tube hydro -mechanical design. B. The detector cylinder shall be USDOT certified. C. The detector fluid shall be environmentally friendly. D. The detector tube shall be constructed from an inert material. This material shall be resistant to oils, fuels, and chemicals, normally found in a garage environment, and W light. E. The detector tube shall be routed in such a manner that it will cover all risk zones. F. The detector tube shall be protected by a stainless steel coil throughout the entire detection area G. The working temperature of the system shall be between -35°C to 65°C (-3 PF to 150°F). H. The system pressure shall be monitored visually through the use of a pressure gauge located on the detector cylinder. I. The system provide a signal for integration into the vehicle system controls to provide the following shut down at time of detection: J. HVAC System 54 67 Exhibit A-1 a K. Engine cooling fan L. Initiate an engine shut down process (Extended operating time under fire conditions, beyond 15 seconds, is not recommended) M. Control center and fire department notification via radio communication system (if so equipped) 13.1.17 Display and/or Control Panel A control panel should be provided for all detection and/or suppression systems. The control panel should provide, at a minimum, electrical supervision of system power and detection; The system pressure shall also be monitored electrically with a normally closed low pressure switch. The system shall contain an audible alarm, warning light and alarm/indicator light test switch. The electric pressure switch located on the detector cylinder shall control the alarm system. It is recommended that a separate manual means of activation of the suppression system be provided regardless of availability of system power. 13.1.18 Piston Accumulator System The piston accumulator system shall utilize a water-based system. The system combats all 3 fire components heat, oxygen & fuel. The fluid is environmentally friendly suppressing fluid that can be washed off with water. Dry chemical shall not be allowed. The system must be able to activate automatically without electricity. The piston accumulator must be able to operate in the vehicle regardless of its orientation (when vehicle is on its side or roof as a result of an accident). The piston accumulator shall be equipped with pressure gauge to allow monitoring of the system pressure. The piston accumulator shall be protected by an over pressure relief valve. The piston accumulator shall be a high-pressure piston accumulator constructed from anodized aluminum AA 6061 T6 alloy. The accumulator shall be USDOT approved. The fluid shall have an operating temperature range of -31°F to 150°F (-35°C to 65°C). The system when activated shall release the entire contents of piston accumulator. The time required to release the fluid should take at least 50 seconds. The gaseous propellant must remain in the accumulator after system discharge. The fluid and gas in the system must be able to be serviced without removing the piston accumulator from the vehicle. 13.1.19 Distribution System The distribution system shall utilize nozzles for high-pressure water mist. The nozzle shall deliver water droplets between 50-105µm. (micrometer). The nozzles shall be protected with a cover to prevent dirt and other foreign matter from entering the nozzle. The nozzles must be easily replaceable. 55 68 Exhibit A-1 a The nozzle must contain a mesh filter located in the inlet of the nozzle. The nozzle must be constructed from either brass, or stainless steel. All steel piping must be 8mm stainless steel. All flexible hoses must be rated at 2755psi (190bar) minimum, and be rated to withstand 12927 (700°C) for a minimum of 5 minutes at 1450psi (100bar). 13.1.20 System Options: The detection system can be of a Linear Thermal wire design. The detection system can be of a Fixed Temp Thermal Sensors. The detection system can be a combination of a Linear Thermal wire design and a Fixed Temp Thermal Sensors. System can be activated either electrically or manually. Pressure switch can be provided on the piston accumulator to monitor pressure and indicate pressure loss. Second pressure switch on the detector cylinder to indicate complete loss of cylinder pressure. Fluids designed for Attic operation down to (-60°) -51°C 13.1.21 ABC Dry Chemical Vehicle Fire system Per the CONTRACTOR's discretion, the vehicle shall be equipped with the Firetrace ABC dry chemical vehicle automatic fire suppression system or approved equal. This specification is for the provision of an automatic vehicle fire suppression system using ABC dry chemical (mono -ammonium phosphate) and includes all components required for a complete system. This covers a fire protection system of the local application and total flooding type ABC dry chemical. The system is to be a fixed installation where the equipment is designed and installed to provide fire suppression systems for transit buses. Design, fabrication and installation of system and its components shall be in compliance with the requirements of this specification, the owner and all applicable local and national codes. Design of this system shall be for the suppression of Class A, B and C fires, as defined by NFPA 17. 13.1.22 System Activation The fire suppression system shall utilize linear pneumatic detection tubing to detect flame or 56 •• Exhibit A-1 a heat and provide system activation. Once the tubing is ruptured, the ABC Dry Chemical will be discharged through strategically placed discharge nozzles. The fire suppression system shall NOT utilize electronic or electrical devices wherein the shutdown of vehicle power or engines will render the system inoperative. Separate battery packs or power systems are NOT acceptable. Use of the vehicle power systems shall only be for activation of audible sounder units or LED lamps used for notification of the driver of an activation of the fire suppression system. The system design shall include an approved electrical secondary means of activation by Authorized personnel. This activation switch shall be located on the notification panel and shall feature a safety pull pin for the purpose of providing a dual action manual release of the fire suppressing system. The purpose of the pull pin is to prevent accidental release of the system. (Optional based on electrical means of activation with toggle switch manual release). The design of the fire suppression system shall be self-contained requiring no power and offering uninterrupted service 24/7, even while vehicle is parked. It is imperative that hoses be installed in strict accordance with the manufacturer's installation instructions, in each case they must be installed so as to permit full flow. 13.1.23 Size Requirements The amount of ABC dry chemical required is 20 lbs. This amount of dry chemical agent shall be stored inside one UL299/DOT non spec cylinder, mounted with an industry -standard heavy-duty vehicle bracket. 13.1.24 System Alarms The system shall be designed and manufactured as a "fail-safe" design. No electric or electronic supervision of circuitry is required. The system shall be arranged to send an audible and visual alarm to the driver of the vehicle. Location of the notification panel shall be at the owner's discretion. At a minimum, the notification panel shall include: (Optional) 1) Red indicator lamp or LED labeled "Fire" 2) Green indicator lamp or LED labeled "Power" 3) Yellow indicator lamp or LED labeled "Service" 4) Toggle switch with tamper -proof cover for system by-pass (for use when engines automatically shut down). When in by-pass mode, the audible device shall continuously sound until switch is returned to its normal position (Optional) 5) 12 vdc sounder emitting a 110 dB piercing warning tone 6) Toggle switch with safety pull -pin for system activation by manual means 7) Pneumatic manual release with a plunger and safety pull pin. 13.1.25 System Warranty Provide one-year standard manufacturer's warranty that covers the repair or replacement of any faulty components. 57 70 Exhibit A -la WARRANTY STATEMENT MID-LIFE REHABILITATION OF A 1999 NEW FLYER BUS CONTRACTOR warrants to The CITY that all materials and equipment furnished will be of the highest quality and new unless otherwise specified by The CITY, free from faults and defects and in conformance with the contract specifications. All work not conforming to these standards shall be considered defective. If required by The CITY, the successful CONTRACTOR shall furnish satisfactory evidence as to the kind and quality of materials and equipment. CONTRACTOR shall provide a written statement of warranty detailing the engine warranty and transmission warranty, terms and conditions. In no event shall a warranty term of less duration than five (5) years or 300,000 miles be considered. In addition, CONTRACTOR shall list warranty coverage and terms for the overall project, and for any and all components installed as part of the project scope. 58 71
