RECOMMENDATION
It is recommended that City Council adopt the attached Resolution Authorizing the Purchase of
Three Replacement Paratransit Vehicles and Authorizing the City Manager to Execute all
Necessary Documentation to Complete the Purchase.
BACKGROUND
In order to maintain a reliable transit fleet, the City regularly replaces transit buses upon reaching
the end of their operational lifespan. Three Petaluma Paratransit vehicles have reached the end of
their operational lifespan, are considered obsolete and are in need of replacement. This action
would replace these three vehicles with new units to continue the operational capacity of
Petaluma Paratransit.
The purchase of these vehicles supports the transit vehicle replacement policy whereby Federal
Transit Administration (FTA) transit funds are allocated to the Metropolitan Transportation
Commission (MTC) and then programmed for Petaluma as part of their regional Transit Capital
Priorities program.
On June 5, 2017, the City Council adopted a resolution authorizing the filing of an application
for FTA Section 5307 funding for the purchase of one paratransit vehicle in the amount of
$60,000. The purchase amount was revised by City Council resolution to $75,000 on
11/18/2018.
December 18, 2017, the City Council adopted a resolution authorizing the filing of an application
for FTA Section 5307 funding for the purchase of two additional transit vehicles in the amount
of $180,000.
The grants for the purchase of these three new paratransit vehicles have been approved by the
FTA and funds were made available for the current fiscal year. The funding allows the City to
purchase these vehicles, with Federal funds making up 75% of the vehicle cost and the 25%
match coming from Transit TDA funds.
Per guidance from and inquiries by the Petaluma Transit Advisory Committee, staff performed
additional research on the availability of battery electric paratransit buses.
Staff was able to find three different vehicle options on the market that would potentially meet
the operational needs or Petaluma Paratransit including: the Motiv Electric shuttle bus, Lightning
Electric Shuttle and Zenith Electric Shuttle Bus. Of these, the first two options best met the
requirements of Petaluma Paratransit for its vehicle replacement without significant compromise
regarding vehicle size and carrying capacity. Additional research was conducted regarding these
two vehicle options.
The vehicles were found to be available in the sizes similar to Petaluma Paratransit vehicles.
However, less body options were found to be available. Battery size for the vehicles is advertised
as 106 kWh for the Motiv Electric Champion vehicle and 129 kWh for the Lightning Electric
Shuttle bus. Based upon staff research driving range for the vehicles was estimated to be 53 and
65 miles respectively. By comparison, Petaluma Paratransit vehicles currently experience 85
miles of travel per day up to 110 miles. Using electric sedans were considered for purchase but
do not meet the needs of most Petaluma Paratransit riders based upon feedback received from
riders and would provide less flexibility of the available bus fleet by not being able to serve non-
ambulatory passengers.
Petaluma Transit currently has only level 1 charging capability at the Petaluma Transit Facility.
Without having any current option for in -route inductive charging of high capacity plug in
charging at the transit facility, this would pose operational constraints on Paratransit operations
with a potential need to return to the yard for mid-day charging and vehicle change out. The
Lightning Electric vehicle, representing the electric bus with the longest operational range,
would also take 16.75 hours to charge with a level 2 charger.
The two electric vehicles researched were found to cost approximately $131,250 more than the
equivalent gasoline powered vehicle or approximately $227,850 per vehicle (compared to
$96,151 for the comparable gasoline powered vehicle). As part of cost considerations, staff
looked into the California Hybrid and Zero -Emission Truck and Bus Voucher Incentive Project
(HVIP) to help potentially offset the higher cost of the electric buses. The electric buses available
through this program would provide a $50,000 discount on the vehicle purchase price. However,
the HVIP program is currently waitlisted with a backlog of $210 million in funding requests
statewide. By comparison, this program has distributed $21 million in funding this year and
anticipates having an additional $66 million to distribute through the end of the year. A stateside
HVIP budget of $132 million is being proposed for the upcoming year but will take several
months before a budget is recommended and approved.
Of the available options on the market for Battery Electric Paratransit vehicles staff, wasn't able
to find any transit agencies within the bay area that are currently operating any similar vehicles
for usage in Paratransit service to speak to their reliability. This would be an operational concern

as ensuring vehicle reliability is vital to maintaining Petaluma Paratransit service standards and
keeping operational costs minimized.
In addition, Petaluma Transit does not currently have a strong understanding of the electric
infrastructure capabilities of the Petaluma Transit operational facility (555 N. McDowell Blvd)
to be able to accommodate charging of electric vehicles. This is anticipated to change in FY20 as
Petaluma is currently partnering with Sonoma Clean Power, Santa Rosa City Bus, Sonoma
County Transit, and Mendocino Transit Authority to conduct a Fleet and Facility Electrification
Study. This study will provide a better understanding of the current facility infrastructure
capabilities and the need for any upgrades in order to accommodate the charging of electric
buses. Responses to the request for proposals for this study have been received and staff
anticipates the contract being awarded in Q2 2019.
Most notably, any vehicle purchased with FTA funding (including the 5307 funds used to
replace Petaluma Paratransit vehicles) must undergo rigorous "Altoona" testing in order to be
eligible for purchase with 5307 funding; the funding source covering the cost of replacing the
Petaluma paratransit vehicles. Per FTA guidance "All vehicles must complete Altoona testing
prior to receiving FTA funds." No FTA funding eligible electric paratransit vehicles were found
to be available on the market nor imminent for approval via Altoona testing as of April 2019,
Purchasing an electric paratransit bus that hasn't undergone Altoona testing and isn't eligible for
FTA 5307 funding would require using other funding sources such as the City General Fund or
Petaluma Transit operating funds such as TDA/STA to cover the purchase of the vehicle. In
addition, any federal funding that Petaluma would have received toward purchase of the vehicle
would not be eligible to backfill or offset the other funding sources. This means that, in addition
to losing out on $192,000 in FTA 5307 funding towards the purchase of the vehicles, other
funding sources such as TDA/STA funding would have to backfill this amount resulting in a
total difference of $384,000 of funding that the City would be covering (not including the
additional costs of purchasing an electric vs gasoline bus). The additional funding to cover this
purchase would most likely come out of the Petaluma Transit operational fund and would require
cuts in existing service levels or routes - either fewer trips throughout the day or reducing
nighttime or weekend lifeline services to existing riders.
Delaying purchase of the replacement paratransit vehicles isn't recommended at this time, as it
would result in delayed receipt of any paratransit vehicles ordered: potentially delay future
vehicle replacement cycles, potentially reduce reliability of the Petaluma Paratransit fleet,
decrease safety and readiness of the Paratransit fleet, and increase vehicle maintenance costs.
After this analysis and comparison available paratransit vehicle options (gasoline and electric),
staff recommends purchase of three gasoline Glaval paratransit buses. The existing vehicles are
intended to be sold at surplus.
DISCUSSION
The purchase of three Class B (less than 10,000 lbs.), gasoline -powered, Glaval paratransit
replacement buses is proposed. The vehicles would be manufactured and delivered within the

next 6 months and replace three retired paratransit buses, allowing the City to maintain an active
fleet of ten paratransit buses. Glaval vehicles were selected by representing the best value
combination of: pricing, durability and build quality, available specifications, compatibility with
the existing Petaluma Paratransit fleet, and delivery time. The vehicles are also expected to
provide a smoother, quieter ride than outgoing vehicles and improved fuel efficiency. Other
energy propulsion systems were considered for the vehicles but are not currently considered
viable due to several factors: a limited market for fully electric paratransit vehicles eligible for
FTA funding, incompatibility with other Petaluma Paratransit vehicles, and a lack of fueling
facilities in close proximity to the Transit Facility for Compressed Natural Gas or Hydrogen Fuel
Cell technology.
These replacement paratransit buses would be procured in compliance with Petaluma Municipal
Code (PMC) Section 4.04.100, by utilizing an FTA -approved, competitively bid, method of
cooperative purchasing by joining onto another agency's publicly bid process. This would
exempt the City from independently bidding for the buses while allowing the benefits of
economies of scale to achieve lower pricing in a larger, purchasing consortium process. The use
of joint procurements and procurement consortiums to obtain better pricing and lessen transit
agency staff burden is strongly encouraged by the MTC. This same method was used for the
purchases of Petaluma Paratransit vehicles approved by City Council in 2010, 2011, 2014, and
2016. These vehicles are being purchased using the FTA -approved California Association for
Coordinated Transportation/Morongo Basin Transit Authority (CaIACT/MBTA) Vehicle
Purchasing Cooperative with an option assigned by CaIACT as shown in Attachment 3.
The aforementioned PMC section requires documentation as to the advantage of using
cooperative purchasing. Therefore, a second quotation was received for purchasing the same type
of vehicles separately from the cooperative procurement. The pricing for the same vehicles
outside of the cooperative purchase would cost the City an additional $17,036, plus staff hours
necessary to conduct a procurement with formal bidding.
As shown in Attachment 2, the CalAct Cooperative purchase consortium price for each of the
three Type B buses will cost $96,151.85, $81,116.16, and $80,215.81, respectively, for a total of
$257,483.82. The cost differential amongst the different vehicles is reflective of different feature
specifications among the lower cost vehicles and a different model type and chassis for the more
expensive vehicle.
The Transit Advisory Committee considered this item at their March and April 2019 meetings
and recommended via majority that City Council adopt the resolution approving the purchase of
three replacement buses. Upon procurement, all three vehicles will require application of the
Petaluma Paratransit graphics package at an added cost of approximately $1,000 each.
FINANCIAL IMPACTS
The combined total cost to purchase the three vehicles, is expected to be approximately
$257,483.82 plus up to $3,600 for exterior graphics, which are procured separately from local
vendors. The purchase of the vehicles will be partially funded by FTA Section 5307 funds of
$192,700 (75%), and Transportation Development Act funds of $64,783 (25%). Once
a
surplussed, the retired buses will be sold at auction and are not expected to yield more than
$5,000. All funds are included in the FY 18/19 Operating Budget for Petaluma Transit.

RESOLUTION AUTHORIZING THE PURCHASE OF THREE REPLACEMENT
PARATRANSIT VEHICLES AND AUTHORIZING THE CITY MANAGER TO
EXECUTE ALL NECESSARY DOCUMENTATION TO COMPLETE THE PURCHASE
WHEREAS, the City of Petaluma seeks to replace three existing paratransit vehicles that
have reached the end of their operational lifespan with new units, in order to maintain fleet
reliability; and
WHEREAS, pursuant to Fixing America's Surface Transportation Act, eligible project
sponsors wishing to receive a Federal Transit Administration (FTA) Section 5307 grant for a
project shall submit an application with the Metropolitan Transportation Planning Organization
(MPO), for review and inclusion in the MPO's Transportation Improvement Program; and
WHEREAS, the City of Petaluma submitted an application and subsequently has been
awarded Section 5307 funding for purchasing paratransit vehicles in the amount of $192,700 in
FTA funds, and $64,783 in Transportation Development Act funds to MTC and the FTA in June
and December 2017; and
WHEREAS, an option to purchase three paratransit vehicles through a procurement
consortium was used, led by the California Association for Coordinated Transportation and
Morongo Basin Transit Authority, known as the "Cooperative," where A -Z Bus Sales of
Sacramento, CA was a successful bidder; and
WHEREAS, the Petaluma Municipal Code section 4.04. 100 provides that purchases
made through a cooperative purchasing program with the state, county or other public agencies
are exempt from provisions of Chapter 4.04 of the Petaluma Municipal Code which requires the
City to conduct its own competitive bid process for certain purchases and documentation as to
the advantage of the cooperative purchases will be retained; and
WHEREAS, after reviewing the quotes from A -Z Bus Sales, staff recommends that the
Council authorize the purchase of three paratransit buses from A -Z Bus Sales under the terms of
the CalACT MBTA Cooperative.
NOW, THEREFORE, BE IT RESOLVED, that the City Council of the City of
Petaluma hereby authorizes the City Manager to accept the Assignment to Purchase Agreement
from CaIACT-MBTA and approve the purchase of three paratransit buses to A -Z Bus Sales in an
amount not to exceed $257,483.82 and authorizes the City Manager to execute all documents
necessary to complete the purchase.

Assignment to Purchase Agreement
The CALACT-MBTA Purchasing Cooperative, "Assignor", hereby assigns to Petaluma, City
of - Petaluma Transit, "Assignee", 3 options to purchase Transit Vehicles ("Vehicles") from
the Joint Procurement Cooperative at a price and under the terms and conditions contained in
Assignor's Contract No 15-03 with the Contractors awarded to on the Procurement. Only
those vehicles and optional features may, be purchased using the Solicitation and the purchase
may only be from a Seller listed on the Schedule. Specifically, the Assignment shall have the
right to purchase:

Total # of Vehicles: 3
Such ability to purchase commenced, per terms of Contract, on 2/13/2019, and may be
exercised at any time on or before 4/28/2019. Pricing for this assignment is valid for Purchase
Orders until 4/28/2019, the expiration date of the base period of the contract. Assignee must
communicate any changes in the order in particular cancellation to the Cooperative as soon as
With respect to the Vehicles assigned hereunder and this Assignment, Assignee agrees to
perform all covenants, conditions and obligations required of Assignor under said Contract
and agrees to defend, indemnify and hold Assignor harmless from any liability or obligation
under said Contract. Assignee further agrees to hold Assignor harmless from any deficiency
or defect in the legality or enforcement of the terms of said Contract or option to purchase
thereunder. Assignee agrees and understands that Assignor is not acting as a broker or agent
in this transaction and is not representing Seller or Assignee, but rather is acting as a principal
in assigning its interest in the above -referenced assignment to purchase the Vehicles under the
Contract to Assignee.
Please be advised that assignment of said vehicles does not constitute a recommendation or
endorsement of this product by the Cooperative. The Assignee is responsible for its choice of
vehicle product and options selected. Assignee is responsible for vehicle inspection,
acceptance and enforcement of any contract provisions. Assignee agrees that any inspections
necessary for delivery and acceptance of the vehicles are to be accomplished by their own
qualified staff, firms on the CALACT Vehicle Inspectors list or other independent inspector
pre -approved in writing and in advance by the CALACT Cooperative. While PreAward
verifications of Buy America, FMVSS and Purchaser's Requirements have been
accomplished, Assignee is responsible for Post Award due diligence in this regard.

Purchasing agencies arc responsible for and are to exercise due diligence in evaluating the
suitability of these vehicles for their operating environment and arc responsible for
determining their eligibility for funding. In particular, the Cooperative urges you to review the
Altoona test report for the vehicle you are purchasing.
Supporting documents for your records will be sent to your attention. Please retain these for
any reviews or audits your agency will be subject to. Additional copies may be downloaded
from our secure website, please contact CALACT staff for access to this.
Assignee hereby unconditionally releases and covenants not to sue Assignor upon any claims,
liabilities, damages, obligations or judgments whatsoever, in law or in equity, whether known
or unknown, or claimed, which they or either of them have or claim to have or which they or
either of them may have or claim to have in the future against Assignor, with respect to the
Vehicles or any rights whatsoever assigned hereunder.
