RESOLUTION APPROVING REQUEST FOR PROPOSALS FOR ANALYSIS OF
WASTEWATER DOCUMENTS AND RECOMMENDATIONS FOR LOCAL UTILITY
COMMISSION AND AUTHORIZING ISSUANCE THEREOF
1 WHEREAS, the City Council desires to undertake a third party rate payer consultant evaluation
2 of the Draft Wastewater Service Agreement which it has prepared as part of the Request for Proposals
3 package for its new wastewater facility; and

5 WHEREAS, the City Council desires recommendations with regard'to creation of a Petaluma
6 Utility Commission;

8 NOW, THEREFORE, BE IT RESOLVED that the attached Exhibit A, Request for Proposals,
9 City of Petaluma Rate Payer Consultant, as amended by the City Council is approved and authorized for
10 issuance.

REQUEST`FORPROPOSALS CITY OF PETALUMA RATE PAYER CONSULTANT
• The City ofPetaluma is seeking proposals from qualified professionals/teams to perform an analysis ofits Draft
Wastewater Privatization^Service Agreement (copy attached} from ,the viewpoint;of the sewer utility customers.
The Wastewater _Priuatization Service Agreement was developed. by a' citizens' committee, City staff and
consulting team, 'evaluated by the City Council and issued _as a draft` document attached to a Request for
Proposals forprivatization of a new wastewater treatment facility to serve the City of Petaluma. The main body
of'tlie Request for Proposals is also enclosed. The City Council has determined that it would like an
independent, third party evaluation of the terms and conditions of the Draft Wastewater Privatization. Service
Agreement with regard to provisionof wastewater services to.its utility customers in the. most economical way
possible. The analysisto be undertaken would focus pimarily'on"the terms and conditions.in the contract that
would be'reflected in the service fee and "on the apptbach'to compensation for long-term services.
Secondly; the City Council is requesting guidance from the consultant as to the nature, structure and function of
a local Utility Commission. The City Council wishes to see such a commission created to provide a higher
level'ofpublic involvement with the City's long. range wastewater management program, arbitratorof disputes
and complaints regarding utilifyservice and perhaps other utility functions in the future..
WORK PRODUCTS/TASKS
The City wishes a narrative report on each.topic. The. service agreement report should outline findings and
observations and suggest alternatives for additions and/or'modifications to the' Wastewater Privatization Service
.Agreement. The utility commission report should make recommendations forstructure, function, membership;
staffing, budget, and relationship to City Gouncih utility customers; Gity staff and/or other agencies. The`reports
should also address other matters which the consultants deem approptiate. Ten (10) final copies and one
camera-ready final copy of each report mustbesubmitted..
REFERENCES/RELATIVE EXPERIENCE 1,
Your proposal should include}a minimum. of three professional references and identify three studies/reports ofa
similar nature prepared by the proposer. Prior work for any of the: firms party to the two competing proposals or
the City's consulting team (see attached) mustbe disclosed and the date and nature of the work revealed. This
information will be considered during the selection process.
TIMELINE
It is anticipated that the proposals which. are received will be reviewed and evaluated by the City Council and
City staffin July with the work scope°finalized;and contract executed`bythe first of August. Completion of the
reports would be anticipated by approximately October 1, 1997.
FEE
The submittal should indicate -not to exceed fee. for each work product with a breakdown of tasks by work
product, by person;;byhours. Billing rates mustbe listed. for each person who will be involved.
MEETINGS
The successful proposer should anticipate two meetings with the::full City Council The first, to gather insights
and uggestions from the Council and the second, to report outon the finished analyses. Individual,telephone
conferences with each Councilmember --may be substituted for the -first meeting at the discretion of the
consultant.. Staff'members will be available on an as needed' basis.for telephone or personal conferences at the
discretion of the consultant:
