RESOLUTION AUTHORIZING THE CITY MANAGER TO APPROVE
AN AMENDMENT TO THE CITY'S AGREEMENT WITH
NORTH BAY ANIMAL SERVICES
WHEREAS, the City conducted competitive solicitation for animal services providers in
2018; and
WHEREAS, North Bay Animal Services (NBAS) was the successful bidder in that
solicitation and entered into an agreement with the City to provide said services, which was
approved by the City Council on June 18, 2018; and,
WHEREAS, the agreement term ends on July 31, 2020 with two 1 -year extensions
available, for a maximum term date of July 31, 2022; and
WHEREAS, the City is interested in securing a longer-term agreement with NBAS and
ensuring that high quality animal services are available and sustainable, while maintaining
predictability for the City's General Fund;
WHEREAS, renewal of the services agreement with NBAS is categorically exempt from
the California Environmental Quality Act ("CEQA") in accordance with Section 15301 of the
CEQA Guidelines as an action providing for the operation, maintenance, and leasing of existing
City animal care structures, facilities, and mechanical equipment involving no expansion of use
beyond that currently existing.
NOW, THEREFORE, BE IT RESOLVED by the City Council of the City of Petaluma
as follows:
1. The above recitals are hereby declared to be true and correct and incorporated into
this resolution as findings of the City Council.
2. Renewal of the services agreement with NBAS is categorically exempt from CEQA
in accordance with Section 15301 of the CEQA Guidelines as an action providing for
the operation, maintenance, and leasing of existing City animal care structures,
facilities, and mechanical equipment involving no expansion of use beyond that
currently existing.

3. The City Manager is hereby authorized to approve an amendment to the agreement
with NBAS that reflects the following two deal points:
a. Extend the term of the agreement (Section 2) to July 31, 2026 and add a 3 -year
extension option (Section 2a), which could extend the agreement to a maximum
tern of July 31, 2029; and
b. Delete Section 10c of the agreement and replace with language clarifying that all
charges collected by NBAS for Services may be retained by NBAS as revenue.
Under the power and authority conferred upon this Council by the Charter of said City.
