9 ORDINANCE AUTHORIZING THE CITY MANAGER TO APPROVE EASEMENT GRANT DEEDS TO
10 PACIFIC GAS AND ELECTRIC COMPANY AND PACIFIC BELL TELEPHONE COMPANY FOR THE
11 PURPOSES OF INSTALLING, OPERATING AND MAINTAINING OVERHEAD AND UNDERGROUND
12 UTILITIES OVER AND ACROSS PORTIONS OF CITY OF PETALUMA-OWNED PROPERTY IDENTIFIED
13 AS APNS 006-136-028 AND 006-163-051 FOR THE NORTH RIVER APARTMENTS PROJECT
14 IN ACCORDANCE WITH SECTION 46 OF THE PETALUMA CHARTER

17 WHEREAS, the North River Apartments project ("Project') located at 368 and 402 Petaluma
18 Boulevard in the City of Petaluma on parcels identified as Assessor's Parcel Numbers 006-163-055
19 and 006-163-041 (the "Property") consists of two apartment buildings including 184 dwellings,
20 approximately 4,677 square feet of commercial space, 4,981 square feet of tenant amenity area,
21 1,953 square feet of leasing office, and associated on- and off-site improvements, Public
22 Improvements (defined below), and a Class I multi- use path along the Petaluma River and
23 connecting to the Pedestrian Bridge: and
24
25 WHEREAS, on January 23, 2018, the City of Petaluma Planning Commission, at a duly -noticed
26 public hearing, by Resolution No. 2018-02, certified the Mitigated Negative Declaration ("MND") and
27 adopted the Mitigation Monitoring and Reporting Plan ("MMRP") for the Project; and by Resolution
28 No. 2018- 03, approved the Site Plan and Architectural Review for the Project, with associated
29 warrants and exceptions; and
30
31 WHEREAS, Resolution No. 2018-03 required developer to construct certain public
32 improvements ("Public Improvements") both within the Property, and off-site; and
33
34 WHEREAS, City staff have been working to assist North River Apartments in proceeding as
35 soon as possible with the Public Improvements work required to relocate the sanitary sewer into Oak
36 and Water Streets, followed by work on the Project building pads and completion of the Oak and
37 Water Streets improvements themselves; and
38
39 WHEREAS, Section 46 of the City's charter requires that certain actions, including
40 conveyance of real property valued at more than $3,000, be taken by ordinance; and

2 WHEREAS, the easement grants that the City Council would authorize pursuant to this
3 ordinance address the need to remove a power pole on the Project site and to remove the existing
4 overhead power lines on Oak Street and to underground electrical lines within and along Oak and
5 Water Streets as required by the Project conditions; and
6
7 WHEREAS, the easements to be granted on City -owned land allow for the connection of
8 electrical lines/supply from the new power pole to the existing power pole across the Petaluma
9 River, and the underground component of the easements on the City -owned property allows for the
10 underground connection between the new power pole and the new underground electrical utilities
11 planned for the extension of Water Street right-of-way, as well as placement of communications
12 lines in the same utility trench and easement; and
13
14 WHEREAS, in accordance with the California Environmental Quality Act (CEQA), the Planning
15 Commission adopted Resolution 2018-02 approving a Final Mitigated Negative Declaration (FMND)
16 and Mitigation Monitoring and Reporting Program considering the Project, including an analysis of
17 the extension of Water Street North from the North River Apartments project's southern boundary to
18 Washington Street, and the physical improvements related to the North River Apartments project,
19 including Oak and Water Street and related improvements, were previously studied and addressed
20 in the North River Apartments FMND;
21
22 NOW, THEREFORE, be it ordained by the Council of the City of Petaluma as follows:
23
24 1. The above recitals are hereby declared to be true and correct and are incorporated
25 into this ordinance as findings of the City Council.

27 2. The Final Mitigated Negative Declaration (FMND) and Mitigation Monitoring and
28 Reporting Program (MMRPP) adopted by the Petaluma Planning Commission by
29 Resolution 2018-02 in accordance with the California Environmental Quality Act (CEQA),
30 considered the Project, including an analysis of the extension of Water Street North from
31 the Project's southern boundary to Washington Street, and the physical improvements
32 related to the Project, including Oak and Water Street and related improvements, were
33 previously studied and addressed in the Project FMND.

35 3. The grant of easements attached to and hereby made a part of this ordinance as Exhibit
36 1 is hereby approved.

38 4. The City Manager is hereby authorized and directed to sign the easement grant deed,
39 attached as Exhibit 1.

41 5. The City Council hereby declares that every section, paragraph, sentence, clause, and
42 phrase of this ordinance is severable. If any section, paragraph, sentence, clause or
43 phrase of this ordinance is for any reason found to be invalid or unconstitutional, such

invalidity, or unconstitutionality shall not affect the validity or constitutionality of the
remaining sections, paragraphs, sentences, clauses, or phrases.
6. This ordinance shall be in full force and effective 30 days after its adoption and shall be
published and/or posted in the manner required by the City's charter.

hereinafter called Grantor, hereby grants to PACIFIC GAS AND ELECTRIC COMPANY, a
California corporation, PACIFIC BELL TELEPHONE COMPANY, a California Corporation, doing
business as AT&T CALIFORNIA ("AT&T") hereinafter collectively called Grantee, the right from time
to time to excavate for, construct, reconstruct, install, replace (of initial or any other size), remove,
maintain, inspect and use facilities of the type hereinafter specified, together with a right of way therefor,
within the easement area as hereinafter set forth, and also ingress thereto and egress therefrom, over and
across the lands of Grantor situated in the City of Petaluma, County of Sonoma, State of California,
described as follows:

The two parcels of land one described in the deed from George P. McNear and Camm and Hedges
Company to City of Petaluma, dated April 13, 1907 and recorded in Book 235 of Deeds at page
364, Sonoma County Records, and the other described in the deed from Water Street Properties,
LLC to City of Petaluma dated March 17, 2020 and recorded as Document Number 2020028748,
Sonoma County Records.
The facilities and easement area are described as follows:
Such poles, aerial wires, cables, electrical conductors with associated crossarms, braces,
transformers, anchors, guy wires and cables, fixtures and appurtenances, as Grantee deems
necessary for the distribution of electric energy and communication purposes, located within the
parcel of land described in Exhibit "A" and shown upon Exhibit `B" attached hereto and made a
part hereof:
Such underground conduits, pipes, manholes, service boxes, wires, cables, and electrical
conductors; aboveground marker posts, risers, and service pedestals; underground and
aboveground switches, 'fuses, terminals, and transformers with associated concrete pads; and
fixtures and appurtenances necessary to any and all thereof, as Grantee deems necessary for the

distribution of electric energy and communication purposes, located within the parcel of land
described in Exhibit "C" and shown upon Exhibit "D" attached hereto and made a part hereof.
Grantor further grants to Grantee the right, from time to time, to trim or to cut down, without Grantee
paying compensation, any and all trees and brush now or hereafter within said easement area, and shall
have the further right, from time to time, to trim and cut down trees and brush along each side of said
easement area which now or hereafter in the opinion of Grantee may interfere with or be a hazard to the
facilities installed hereunder, or as Grantee deems necessary to comply with applicable state or federal
regulations.
Grantor also grants to Grantee the right to use such portion of said lands contiguous to said easement
area as may be reasonably necessary in connection with the excavation, construction, reconstruction,
replacement, removal, maintenance and inspection of said facilities.
Grantor hereby covenants and agrees not to place or construct, nor allow a third party to place or
construct, any building or other structure, or store flammable substances, or drill or operate any well, or
construct any reservoir or other obstruction within said easement area, or diminish or substantially add
to the ground level within said easement area, or construct any fences that will interfere with the
maintenance and operation of said facilities.
Grantor acknowledges that they have read the "Grant of Easement -Disclosure Statement", Exhibit `B"
attached hereto and made a part hereof.
This document may be executed in multiple counterparts, each of which shall be deemed an original, but
all of which, together, shall constitute one and the same instrument.

The provisions hereof shall inure to the benefit of and bind the successors and assigns of the respective
parties hereto, and all covenants shall apply to and run with the land.

GRANT OF EASEMENT DISCLOSURE STATEMENT
This Disclosure Statement will assist you in evaluating the request for granting an easement to Pacific Gas and Electric
Company (PG&E) to accommodate a utility service extension to PG&E's applicant. Please read this disclosure
carefully before signing the Grant of Easement,
® You are under no obligation or threat of condemnation by PG&E to grant this easement.
® The granting of this easement is an accommodation to PG&E's applicant requesting the extension of
PG&E utility facilities to the applicant's property or project. Because this easement is an accommodation for
a service extension to a single customer or group of customers, PG&E is not authorized to purchase any such
easement.
® By granting this easement to PG&E, the easement area may be used to serve additional customers in the
area. Installation of any proposed facilities outside of this easement area will require an additional easement.
® Removal and/or pruning of trees or other vegetation on your property maybe necessary -for the installation
of PG&E facilities. You have the option of having PG&E's contractors perform this work on your property,
if available, or granting permission to PG&E's applicant or the applicant's contractor to perform this work.
Additionally, in order to comply with California fire laws and safety orders, PG&E or its contractors will
periodically perform vegetation maintenance activities on your property as provided for in this grant of
easement in order to maintain proper clearances from energized electric lines or other facilities.
® The description of the easement location where PG&E utility facilities are to be installed across your
property must be satisfactory to you.
® The California Public Utilities Commission has authorized PG&E's applicant to perform the installation
of certain utility facilities for utility service. In addition to granting this easement to PG&E, your consent may
be requested by the applicant, or applicant's contractor, to work on your property. Upon completion of the
applicant's installation, the utility facilities will be inspected by PG&E. When the facility installation is
determined to be acceptable the facilities will be conveyed to PG&E by its applicant.
By signing the Grant of Easement, you are acknowledging that you have read this disclosure and understand that you
are voluntarily granting the easement to PG&E. Please return the signed and notarized Grant of Easement with this
Disclosure Statement attached to PG&E. The duplicate copy of the Grant of Easement and this Disclosure Statement
is for your records.
