16 The Planning Commission held public hearings on the. Draft Subsequent Environmental Impact
17 Report (DSEIR) for the proposed development of Parcels B and C of the Petaluma Village
18 Marketplace on January 14,, January 28 and February 3 of this year. The Final Subsequent
19 Environmental Impact .Report (FSEIR) was presented to the Commission on April 22 at which
20 time the Commission voted to recommend that the City Council certify the FSEIR. This decision
21 was upheld on May 27, 2003 when the Commission voted. against reconsideration of the
2 recommendation. The Commission considered project details at the May 27, June 10 and July
3 22, 2003 meetings. At the meeting of July 22, the Planning Commission expressed a great deal
24 of frustration regarding the .Chelsea Group's lack of response to Commission and citizen
25 comments relating to the site plan. The .Commission requested that I meet with Chelsea Group
26 representatives to negotiate a.project that `l support and recomrriend for approval.

28 After lengthy negotiations over the last several weeks the applicants have modified the project
29 to address concerns expressed, during the public hearings. The "revisions I have requested, and to
30 which Chelsea has agreed,. are reflected below and 'on the attached revised site plan. The final
31 site plan and architectural details will be subject to Site Plan and .Architecture Review
32 Committee (SPARC) approval. The following project details have been agreed upon.

34 Parcel B

36 a. Maximum total retail square footage is limited to 163;00:0 square feet to be divided into a
37 minimum of two buildings. The maximum square footage of any one building or tenant is
38 130,000 square feet. ,Any department store or discount department store type use, which
39 is a single tenant and exceeds .65,000 square feet, is excluded.

41 b. Individual retail uses or stores within each building are not subject to any minimum or
42 maximum square footage, except as' otherwise. noted ,in "a ", above.

c. The site plan opens up a view corridor between the buildings from Highway 101 to the
Petaluma River. Village Drive is rerouted to pass throuszh this view corridor. On the

1 Highway 101 side of the view corridor, Village. Drive turns to the left and runs parallel to
2 Highway 101. Village Drive crosses over the Capri Creek. culvert near 'Highway 101 and
3 connects with the road behind the existing Outlet Center.

5 d. Chelsea will build and maintain an extension of the existing Riverwalk from Parcel A to
6 the southern limits of its ownership. The Riverwalk on Parcel B will ,run along the
7 Petaluma River,, then run along the north side of Deer Creek, cross over Deer Creek close
8 to Highway 101 and extend to the southern point of Parcel B.

10 e. Chelsea will make an irrevocable 'offer of dedication to the City of a conservation
11 easement over the triangular portion of Parcel.B south of Deer Creek. 'Chelsea -will locate
12 a 0.47 -acre wetland mitigation area in this triangular portion and will relocate' cert ain fill
13 material to Parcel C.

15 f.' The parking ratio maximum on Parcel B is 5 spaces for every 1,000 square feet of retail.
16 However, to reduce the overall hardscape,, all spaces over a 4:1,000 ratio will be compact
17 in size.

19 g. The parking surface is set back a minimum of 1:00 feet from the top of the Petaluma
20 River bank and 150 feet where feasible. Minimum setback from the top of bank of Capri
21 Creek is 35 feet and from the top of bank of'Deer Creek is 50 feet.

23 Parcel C

25 a. Maximum retail square footage is 81,000 square .feet to, be divided between two separate
26 buildings: fiiture major of 30,000 square feet and a 45,000 square foot'buil_ding which
27 maybe developed has a theater, subject to the provision of the Downtown Theater District
28 Ordinance, or alternatively, as retail uses, including restaurants. At. Chelsea's option, fill
29 material from . the Parcel B triangle south of Deer Creek may be used to elevate the
30 building pads /parking area on'Parcel C.

32 b. Any retail use affiliated with Wal -Mart Stores, Inc. is prohibited.

34 c. Chelsea will'bi.ild.and maintain an extension ofthe existing. Riverwalk from Parcel A to
35 Parcel C along the Petaluma River to the northern limit of its ownership.

37 d. The setback from the top of bank of the Petaluma River is a minimum of °100 feet, and
38 150 feet wherever feasible.

40 e. The ;design of Parcel C will allow for the' future construction of a collector road
41 connecting Parcels C and A as per'the General Plan.'The road would run along the rear of
42 Parcel C "buildings parallel to Highway 101.

11 RECOMMENDATION:

3 In my judgment as City Manager, the agreed upon modifications to the Petaluma Village
4 Marketplace PCD provide the basis_ for _a positive recommendation to the City Council Again
5 the site plan included with this memo is conceptual. The actual development will be based on the
6 Petaluma Village Marketplace Planned Community District General Development Plan, which
7 will be modified to be consistent with the points stated above and any further changes that may
8 be directed by the City Council. This process is similar to the Kohl's project, also based on a
9 conceptual plan, which was forwarded to the City Council by the Planning Commission in
10 September with a recommendation for approval.

12 Recommended conditions of approval for the Petaluma Village Marketplace PCD modification
13 are included as Attachment. A. The Petaluma Village Marketplace PCD Modification has been
14 tentatively scheduled for City Council public hearing on December 1; therefore, I encourage the
15 Planning Commission to vote: on the,proposal as recommended at the October 28 meeting, where
16 I will be present to answer any questions you may have.
