Construction Managers hired prior to bid are known for resolving potentia :claim issues by reviewing documents from a contractor's viewpoint. City Management conducted a rigorous selection process designed to identify the best- qualified firm and recommends The Covello Group: The Covello Group is recommended because the firm has extensive experience with construction management service on water recycling: facility projects of similar magnitude and complexity as the City's new Water Recycling Facility: The. Furthermore, the firm has committed to provide a qualified construction management team with over 40 years of combined experience. Street; 8 9 WHEREAS, to meet the community's needs and changing regulatory requirements, 10 various upgrades and additions to the wastewater treatment plan_ t were conducted through 11 the 1960s; 12 13 WHEREAS, in 1972, the oxidation ponds were constructed at 4400 Lakeville Highway 14 to provide additional treatment capacity; 15 16 WHEREAS-, in 1988, with influent flows exceeding 75 %0, of the permitted capacity of the 17 wastewater treatment facility,, and necessary upgrades to the facility, to increase treatment 18 capacity,and continue to meet the needs of the community were determined to be too 19 costly the City determined to replace the existing wastewater treatment facility; 20 21 WHEREAS, in 1991 the City executed a Memorandum of Understanding with 22 Envirotech Operating Services. (EOS) to design, build, construct, own and operate (20 23 years) a new wastewater treatment facility (Resolution No. 91 -107); 24 25 WHEREAS, on July 31' 1991, EOS submitted an application to the California Public 26 Utilities Commission (CPUC) - seeking an exemption from CPUC regulation under the 27 California Local Government Privatization Act of 1985; 28 29 WHEREAS on October 21, 1991, Administrative Law Judge Ramsey determined that 30 the MOU did not meet the °requirements of the Public Utilities Code and ordered that "the 31 application is denied, without prejudice, to refiling after amendment'; 32 33 WHEREAS ',;;n February, .1992 "EOS and the City mutually agreed to rescind the MOU; 34 35 WIEIEREAS, `on June 20; 1`994, following a report prepared by Ernst and Young; the City 36 Council. adopted Resolution No.. 94 -156, which directed that the Service Agreement 37 Approach ( privatization) be °utilized for procurement of anew wastewater treatment 38 facility;, 39 40 WHEREAS; on June 17,,'199,6; the City Council' adopted Resolution No. 96 -163, which 41 certified the Final EIR documents, Resolution No. 96 -164 which approved theproject, 42 and Resolution No:'96 =165, which approved and authorized issuance of the Request For 43 Proposal; 44 Page 1 of 7 S \water resources .& conservation \wastewater \9012 \city council\June 7, 2004 \resolution certifying construction manager.doc 1 WHEREAS, on,July 17, 1996; the RFP was issued to f ve pre = qualified vendor teams; 2 3 WHEREAS, in January 1997, the City received proposals from Montgomery United 4 Water (MUW) and US Filter /EOS 5 6 WHEREAS, the Citizens' Wastewater Advisory'Committee considered the proposals on 7 May '28, 1997, June 3, 1997, June 4, 1997, July 2, 1 997, October 20, 1997;'October 30, 8 1997 November 4, 1997, November 18, 1997, and on December 3, 1997; 9 10 WHERAS, the City Council considered the proposals on July 7, 1997, September 8, 11 19 - 97, ;September 15, 1.997, September',22, 1997, ,S'eptember 29, 1997, October. 6, 1997, - 12 December 3 1997; and December 8, 1997;,. 13 14 WHEREAS, on January 5 the City Council adopted Resolution No. 98 -11, which 15 selected MUW for contract negotiations; 16 17 WHEREAS, negotiations with MUW on technical,, legal and agreement issues egan on T8 January 27 ; `1998 and proceeded through spring _1999;; 19 20 WHEREAS, on September 21, 1998, the City Council, recognizing the need for 2 -1 'development of a public alternative to the proposed privatization project, approved. 22 preparation,of the wasfewater°treatment facility master plan; 23 24 WHEREAS, on September 21, 1999, the City Council adopted Resolution No. 99 -1.88, 25 which terminated the privatization process and established City ownership of the,new 26 wastewater treatment facility. Reasons cited for this determination included, among. 27 others:' .......... 28 29 9 Risk of Change Required Over 3.0 -Fear Contract. Term., Changes in the. 30 City's `needs may occur during the 30 -year life of the contract. The City, is at a 31 disadvantage by being able to negotiate with only one party for changes in the 32 facility's capacity: 33 ® Requirement of Fair Market value Purchase. In order -.for MUW to retain 34 tax ownership, the City's ;option to purchase the_facility'at the end of the contract 35 term would have to be at fair market value. The price of the, facility could not be 36 fixed in the contract, but would. depend on the value of'the facility at the time of 37 the exercise of the option, thereby putting the City and ratepayers at risk of.having 38 to pay for part of the plant twice. 39 > Lack of City Approval of Design. In order for MUW to retain tax 40 ownership, Section 4.8.1 of the agreemenilimited the City's participation in the 41 design process. 42 p Third Party' Services. (new wastewater 12 treatment facility); 13 14 WHEREAS, the City Council adopted Resolution No. 2000 -66 on April 3, 2000, which 15 authorized the City Manager to ,execute a professional services agreement with Carollo 16 Engineers for engineering services in support of Phase 1. — Project Report of the Water 17 Recycling Facility Project; 18 19 WHEREAS,, five alternatives for the new water recycling facility were presented at a 20 Public Forum at the Community Center on June 1.4, 2000; 21 22 WHEREAS, the City Council heard. a discussion on the criteria .for evaluating the 23 alternatives on September 5, 2060; 24 25 WHEREAS, the results.of the analysis. and comparison of the: alternatives were presented 26 at a Public Forum at'the Community Center on November 8, 2000 27 28 WHEREAS the- City Council considered and discussed the Draft Water Recycling 29 Facility Project Report (Carollo Engineers, November 2000) on. EIR and Response. To Comments (July 2002), which responded to con ments 20 received on the Draft EIR: The Final EIR did °not identify any new significant_ impacts 2:1 that. had not been. previously evaluated in the Draft.EIR. 22 23 WHEREAS, the City Council ,held' a noticed public hearing on August 5, 2002, to 24 consider the Final EIR; 25 26 WHEREAS, that after due consideration, the, Petaluma City Council adopted. Resolution 27 2002-135 certifying the Final Environmental: Impact Report for the Water Recycling 28 Facility and River Access Improvements Project and made the following findings on 29 August 5 2002. 30 31 1. The. final .Environmental Impact Report has been completed in compliance with 32 the California Environmental Quality Act (CEQA) and the State CEQA 33 Guidelines. 34 2. The documents referenced below constitute the Final Environmental Impact. 35 Report and were presented and considered along with both written. and oral 36 comments received during the public review period on the project and 37 environmental documents: 38 a. Water Recycling Facility and River. Access Improvements Draft 39 Environmental Impact Report, in two volumes (April 2002). 40 b. 'Water Recycling Facility and; River Access Improvements Final 41 Environmental Impact Report and.Response To Comments (July' 2002). 42 3. The City Council, as the decision making body of the City.of Petaluma, 43 independently reviewed, analyzed and considered the information in the Final EIR 44 and found that the contents of the Final 'EIR reflect the independent judgment of 45 the City of Petaluma Page 4 of '7 S: \water resources:& conservation\ Wastewater \9012 \city'council\June 7, 2004\resolution certifying construction manager.doc. 1 4. The Final EIR was published, made available and circulated for review and 2 comment. 4 WHEREAS, the project certified in the.Final FIR included locating a portion of the 5 treatment plant at 4400 Lakeville Highway, the current, site of the City's oxidation ponds 6 (APN 0680 -010 -025, 032 and 024), with polishing treatment wetlands located at 4100 7 Lakeville Highway (APN 068 -010 -026, and 017- 170 -002); and 9 WHEREAS, the City completed approximately 50% design of the facility in November 10 2002; and 11 12 WHEREAS, through the value engineering effort conducted in December 2002, it 13 became apparent the alternative of locating the water recycling facility at 4100 Lakeville 14 Highway and preserving °the oxidation pond site for its current function warranted further 15 evaluation; and 16 17 WHEREAS, to construct the water recycling facility at the .oxidation pond site would 18 require the removal, drying and disposal of sludge from the aerated lagoon and oxidation 19 pond no. 1, construction of apipeline to deliver influent to oxidation pond no. 2, the 20 construction of aerators in oxidation pond nos. 2 and-3 to maintain and improve treatment 21 capacity, and require the placement of approximately 250,000 cubic yards of imported fill 22 in the oxidation pond no. l; and 23 24 WHEREAS, a feasibility study determined that locating the water recycling facility at 25 4100 Lakeville Highway was feasible and yields many benefits; and, 26 27 WHEREAS, the City Council adopted resolution No. 2003 -196 on August 18, 2003, 28 which authorized the City Manager'to execute an amendment to the professional services 29 agreement with Carollo Engineers for engineering services in support of locating the new 30 treatment plant at 4100 Lakeville Highway; and 31 32 WHEREAS, the City Council authorized acquisition of approximately 26.1.33 acres of 33 land in the 4000 block of Lakeville Highway for construction of the Water Recycling 34 Facility and development of the Petaluma Marsh Acquisition, Enhancement and Access 35 Project on September 8, 2003 through Ordinance No. 2161 N.C.S. for the purchase of 36 real property described as Sonoma County Assessor's parcel nos. 068 -010 -026 and 017- 37 010 -002; and 38 39 WHEREAS, the City purchased Parcel nos. 068 - 010 -026 and 0 17-010-002 in February 40 2004; and 41 42 WHEREAS, an Addendum to the Water Recycling Facility and River Access 43 Improvements EIR was prepared to evaluate potential changes to the environmental 44 affects of the Project due to the proposed Project revisions; and Page 5 of 7 SAwater resources & conservation \Wastewater \9012 \city councilUune 7, 2004 \resolution certifying construction manager.doc 1 2 WHEREAS, the EIR Addendum concludes that the determinations of the Final EIR 3 remain valid for the revised Project in that none of the Project modifications will have 4 new significant impacts or substantially increase the severity of previously identified 5 significant effects, or otherwise meet the requirements of CEQA Guidelines Section 6 15162 which outlines the standards by which subsequent EIRs are required; and 7 8 WHEREAS, the EIR Addendum was published on April 15, 2004 and, was available for 9 public review at the City of Petaluma City Hall, Petaluma Library, Petaluma Community 10 Center, Petaluma Senior Center, and the Santa Rosa Junior College, Petaluma. campus; 11 and 12 13 WHEREAS, the City Council is scheduled to consider the EIR Addendum on June 7, 14 2004; and 15 16 WHEREAS,. the Design Engineer is near 90% completion of the plans and specifications 17 for the Water Recycling Facility. Located at 4100 Lakeville Highway; and 18 19 WHEREAS, the utilization of Construction Manager's for design review can minimize 20 claim potential; and' 21 22 WHEREAS, the City conducted a rigorous selection process to identify the best qualified 23 construction management firm; 24 25 WHEREAS, The Covello Group is recommended for the following reasons: 26 27 1. The firm has extensive experience with construction management service on 28 water recycling facility projects of similar magnitude and complexity as the 29 City's new Water Recycling Facility. 30 2. BACKGROUND Project Overview Petaluma's. Water Recycling Facility is being developed under the followingprogram: • Phase 1 — Project Report, • Phase 2, — Project. Development • Phase 3 — Construction and Start-up Phase one concluded on December 11, 2000 with the City Council's acceptance of the Project: Report: The City began work on Phase 2 Project Development m January2001 . and completed approximately 50% design in. November 2002. The City completed a Value Engineering Study in December 2002. Based on results of the VE S"tudy; the,'.City commenced the Parcel A Feasibility Studyin January of 2003. On.August 18, 2003 City Council zd'opted- a resolution for engineering services in support of.locating the new Water Recycling Facility at 4100 Lakeville Highway (Parcel A). The design: of the' new Water Recycling Facility will be. at 90% on May 30 2004 and the construction management team is essential to commence biddability and constructabili'ty reviews. Selection of Construction Manager City Management,.conducted a rigorous selection process designed' to: identify the best - -. qualified firm -for the transition (biddability and constructabilityreviews). from,Phase 2 to Phase Iand management of Phase 3 Construction and Start-up. The projectteam included, Michael. J. Ban, P. E. and Margaret P: Orr, P.E. To provide, abroad range of experiences and perspectives, we expanded. the project team after the prescreening interview phase to include Talyon Sortor, POE.- (Senior Engineer, Fairfield Suisun Sewer District),, and Gordon Culp, P.E. (Principal', Smith Culp). The City began pre-screening nine (9) possible construction management firms in December 2003. After discussions with each potential construction management firm, and'reference checks to various projects in the Bay Area, three firms were selected to receive the Request for Proposal (RFP). The City issued an RFP for Construction Management Servi ices.'on March 29 2004 to: HDR;Engineering, Dodson' Engineers, and The Covello Group. In response we received proposals on April- 30 '2004 from: • The Covello Group ® HDREngineering (teamed with Dodson Engineers) Our Approach to assessing the proposers focused on three areas: 1. Proposal 0 PA 2' Reference Check_ s 3. Interview Proposal Both proposals were of a very high quality. We structured the RFP to facilitate review and comparison ofthe proposals, including a description of the type of information to be submitted how the proposals were to be organized, and a imit of 21 pages, excluding appendices. Both pr oposalsimetthe'requirements of the RFP. Each team included Construction Managers experienced in overseeing the construction of wastewater treatment plants, as. requested by the City. Reference, Checks The City's RFP specifically requested information on projects similar to the water recycling facility project completed by the proposed. personnel, including client name, phone number, address dates when service was provided, and description of work. We were able to complete twenty - one reference checks. The clients we reached regarded the firms very-well. The Construction Manager for each of the proposers had at least one client who was very effusive with their praise of the Construction Manager and went out of their way to.convey-how pleased they were with the Construction Manager's capabilities. Interviews The project team conducted interviews at the Petaluma Community Center on May 10, 2004. The interviews opened a 1,5- minute presentation by the team, followed by a 45- minute dialogue session. The project team carefullyprepared questions posed by the project team during'the dialogu& portion of the interview in advance. We mixed proposer specific questions with question&we posed to each of the proposers. Our questions addressed construction ;management of wastewater `plants a situation involving conflict resolution, quality assurance /quality control, safety, and public relations. Evaluation At the conclusion of the interviews, the project team discussed the. relative merits of the proposers, and then rated them. The proj ect team evaluated the proposals based on the following criteria: personnel, assigned to° the, project, inspection team capability, team cohesion, management 'Systems, reference checks back -up within the'proposed team, proposal, presentation, answers given during dialogue portion of the interview, cost and cost /hour. Recommendation The project team unanimously recommends that the City Council select The Covello Group forthe Construction Management Services. The project team's review determined it that The. Design -Consultant Response' Covello requests that the Design Consultant provide written response to Covello's comments prior to the next B &C review phase and prior to projectbidding for the 100 % B &C reviews. e. Sequence & Constraints: Covello will review and provide comments on the construction sequencing, constraints, shutdowns and milestones initially developed by the Design Consultant. f. Front -End , Specifications: Covello will review the front -end specifications, i.e. the Bid Documents, General Conditions and Special Conditions: The administration practices will be reviewed. This review will not be a full comprehensive "review of these front- end .documents but will concentrate on areas where past experience has shown the greatest problems often occur ;and to enhance the administration practices. 2. Team Meetings: Covello will attend and participate in the project team meetings from June 2004 through October 2004. The budget for these meetings is based on eight (8) hours per month for Bruce Presser and two (2j hours per month for Ken Sinclair. 3. Opinion of Probable Construction Cost: Covello will prepare an Opinion of the Probable Construction Cost from a construction standpoint. In providing opinions of probable construction cost, the City understands that Covello has no control :over costs or the price of labor, equipment or materials, or over the Contractor's method_of pricing; and that the opinions of probable construction costs provided herein are to be, made on the basis of Covello'& qualifications and experience: Covello makes no warranty, expressed or implied, as to thel accuracy of such opinions as compared to bid or actual costs. ® 90% Design Package: The Opinion of Probable Construction Cost will be ,prepared based on the 90 %. design package incorporating; the substantial comments from the 90% B &C review. Forecast Schedule: Covello will prepare a forecast schedule, of the project based on the 90 % design documents. Industry Information: Covello will periodically advise_ -the City of construction related issues that Covello becomes aware of that could have an effect on the bids or construction of the project. B. TASK 2 — BID PHASE 1. Prebid Meeting- Covello will attend and facilitate the Prebid meeting. Covello will collect but not review the certified payroll from the contractor. 10. Scheduling a. Covello will review and work with the Contractor- in their development of the initial baseline schedule. Covello will provide written comments to the .Contractor on the baseline schedule.. b. Covello will review. and work with the Contractor in their review and preparation of the monthly updates. Covello will provide written comments to the Contractor on the monthly update schedule. Covello will utilize their construction ' knowledge and the schedule provided by the Contractor to intervene on the City's'behalf if the project schedule becomes a concern. Covello will document to the Contractor and City any issues noted in. the monthly'update schedules that may affect the on -time and in- budget delivery of the project. For example, delay in transition from structural work to mechanical work. Review will include key elements such as logic, sequencing, constraints, shutdown requirements, early completion milestones, impact of field changes and schedule completeness. 11. EIR Conformance: Covello will coordinate and schedule the work of the Design Consultant and their environmental consultant for conformance with the EIR. a. Hold a kick=off environmental mitigations requirements meeting with the Design Consultant and environmental consultant, and agree on construction management inspection and .management:actions, and role of design engineer and environmental consultant related to.environmental mitigation process. b. Construction Manager's inspectors will monitor the construction contractor to see that they are,_on, a daily basis, complying with the environmental mitigation requirements in the contract. c. The Environmental Consultant will prepare the.b.ase spreadsheet defining the environmental mitigation items to.be monitored during construction. The Construction Manager Will. maintain the spreadsheet of the environmental mitigations, and review the status at least monthly with the design engineer and environmental consultant. Safety Covello will comply with appropriate regulatory, project and City regulations regarding necessary safety equipment or procedures used during performance of Covello's work and shall take necessary precautions for safe operation of Covell'o.'S work, and the protection of Covello's personnel from injury and damage from such work. Neither the professional activities 'of Covello, nor the presence of Covello's employees or sub - consultants at the construction/project site, shall relieve the Contractor and any other entity of :their obligations, duties and responsibilities including, but not limited to, construction means, methods, sequence, techniques or procedures necessary for performing, superintending, or coordinating their work in accordance with the contract documents, City regulations, and any health or safety precautions required by any regulatory agencies.
