Rosa Station Phased- Closing Property. "Meyers Nave.. represents the City of Petaluma in a broad range of
advice including advice, analysis and negotiations concerning a proposed agreement betweenAhe City and
SMART involving a new industrial "lead rail line, passenger rail service, .upgrade of switches and
retrofitting signals at certain intersections in the. City. At' this time, the representation of SMART on the
Santa Rosa Station matter and the`representation of the City of Petaluma on the. new rail industrial lead line
matter are completely. unrelated.
Attached is a copy of `a letter sent by Nave Riback Silver &.Wilson regarding this potential conflict
of 'interest.

06 have been asked to represent Sonoma Marin Area: Rail Transit` in connection, with the environmental
condition of the Santa Rosa Station Phased Closing Property under the Aprif 1996 Agreement between
Union Pacific Railroad. and tile` Northwestern Pacific Railroad Authority - (NWPRA): Leah Goldberg
represented the Northwestem - Pacific Railroad.Authority ( "NWPRA ") .on this: same matter'-prior to joining
Meyers Nave. NWPRA has ,since; transferred all of'its assets and. contracts to SMART pursuant to recent
legislation.
We currently represent the City of Petaluma as City Attomey and serve as General Counsel: for the
Petaluma Community Development Commission. Rich Rudnansky serv as the appointed City Attorney
for the City -.antl as the Community Development Commission General Counsel. Meyers Nave's
representation of Petaluma includes a broad range. of advice' and gation .matters, including advice,
analysis and: negotiations ; conceimin4 a proposed agreement. between the City°of Petaluma and SMART,
invoiving -anew industrial lead rail line, passenger rail service, upgrade of switches and °retrofitting signals
at certain .intersections jn the Gity Petaluma.
We 'are, `writing Io request the informed written' consent ,of SMART and the City of Petaluma 'to our
representation of SMART on the, Santa Rosa Station matted whle we, represent City of Petaluma
concerning the new rail industrial lead line matter in Petaluma, which as far as we know,are matters
completely unrelated to each other.:
