Resolution No. 2021-117 N.C.S.
of the City of Petaluma, California
RESOLUTION APPROVING THE MEMBERSHIP OF THE CITY OF PETALUMA TO PUBLIC
RISK INNOVATION, SOLUTIONS, AND MANAGEMENT (PRISM)
WHEREAS, Article 1, Chapter 5, Division 7, Title 1 of the California Government Code (Section 6500 et
seq.) permits two or more public agencies by agreement to exercise jointly powers common to the contracting
parties; and
WHEREAS, the City of Petaluma desires to join together with the members of the Public Risk Innovation,
Solutions, and Management (PRISM) for the purpose of jointly funding and/or establishing excess and other
insurance programs as determined; and
WHEREAS, PRISM has determined that it is necessary for each member of PRISM to delegate to a
person[s] or position[s] authority to act on the member’s behalf in matters relating to the member and PRISM;
and
WHEREAS, this action is exempt from the requirements of the California Environmental Quality Act
(CEQA) in accordance with CEQA Guidelines Section 15378(b)(5), in that joining a risk sharing pool does not
meet CEQA's definition of a “project,” because the action constitutes organizational or administrative activities
of governments that will not result in direct or indirect physical changes in the environment, and relatedly, the
proposed action is exempt under the common-sense exemption, CEQA Guidelines Section 15061(b)(3), because
it can be seen with certainty that there is no possibility that the proposed action could have a significant impact
on the environment.
NOW THEREFORE, BE IT RESOLVED by the City Council of the City of Petaluma does hereby:
1. Declares that the above recitals are true and correct and are incorporated into this resolution as findings of
the City Council.
2. Finds that this action is exempt from the requirements of the California Environmental Quality Act (CEQA)
in accordance with CEQA Guidelines Section 15378(b)(5), in that joining a risk sharing pool does not meet
CEQA's definition of a “project,” because the action constitutes organizational or administrative activities of
governments that will not result in direct or indirect physical changes in the environment, and relatedly, the
proposed action is exempt under the common-sense exemption, CEQA Guidelines Section 15061(b)(3),
because it can be seen with certainty that there is no possibility that the proposed action could have a
significant impact on the environment.
3. Approves becoming a member of the Public Risk Innovation, Solutions, and Management.
4. Authorizes execution of the Public Risk Innovation, Solutions. And Management Joint Powers Agreement.
5. Authorizes the City Manager or their designee to act in all matters relating to the membership in PRISM
except as to actions that must be approved by the City Council.

REFERENCE: I hereby certify the foregoing Resolution was introduced and adopted by the
Council of the City of Petaluma at a Regular meeting on the 12th day of July 2021,
