2 RESOLUTION APPROVING THE ESTABLISHMENT OF A NONPROFIT
3 ORGANIZATION TO DEVELOP AND OVERSEE PUBLIC, EDUCATIONAL, AND
4 GOVERNMENTAL ACCESS CHANNELS, EQUIPMENT, FACILITIES, AND RESOURCES

7 WHEREAS, on June 1, 1992, the City Council established a Community Cable Advisory
8 Committee; and

10 WHEREAS, that Committee was directed to examine a number of matters, including but
11 not limited to, examining the establishment of a nonprofit organization to develop and oversee
12 public access and providing input into the cable franchise renewal process; and
13
14 WHEREAS, the City retained a consulting .firm, The Buske Group, to assist the City and
15 Cable Advisory Committee with a variety of tasks related to the franchise renewal process; and
16
17 WHEREAS, a community input process has been and continues to be in place to solicit
-18 input from the community specific to cable communications services, the franchise renewal
19 process, and public, educational, and governmental uses of the cable communications system;
20 and
21
22 WHEREAS, the Cable Advisory Committee and the consultant recommend that a
23 nonprofit corporation be established to develop and oversee the public, educational, and
24 government access channels, equipment, facilities, and resources which may become available to
25 the community as the result of the franchise renewal process;
26
27 NOW, THEREFORE, BE IT RESOLVED as follows:

29 1. The City Council of the City of Petaluma hereby acknowledges and concurs with the
30 recommendations of the Cable Advisory Committee and consultant;

1 2. The City staff and the consultant are authorized and directed to establish a Board of
2 Conveners. The Board of Conveners will have responsibility for establishing such a
3 nonprofit access management organization (incorporation) and identifying the initial
4 incorporators of the access organization;

6 3. The Board of Conveners shall have as members one representative from each of the
7 following: the public JuniorlSenior High School District; the public Elementary School
8 Districts; non-profit organizations; hospitals/health care institutions; local government;
9 local business; the Community Cable Advisory Committee; and independent/commuriity
7 0 video producers;

12 4. The Board of Conveners shall be dissolved upon the incorporation of the nonprofit entity
13 or in six months of the date of the completion of a new cable franchise agreement with
14 the City of Petaluma, whichever is sooner.
