of the City of Petaluma, California
RESOLUTION AUTHORIZING AWARD OF CONTRACTOR FOR THE PETALUMA MUNICIPAL
AIRPORT AIRCRAFT PARKING APRON REHABILITATION PROJECT TO GHILOTTI
CONSTRUCTION COMPANY,INC.
WHEREAS,the City of Petaluma Municipal Airport located at 601 Sky Ranch Dr. serves as the only
public airport for Petaluma, including sales of fuel and general aviation operations and hangar rentals; and
WHEREAS, City staff has prepared construction bid documents and advertised for construction for the
Petaluma Municipal Airport Aircraft Parking Apron Rehabilitation Project ("project"); and
WHEREAS, in accordance with the City of Petaluma Charter and Municipal Code, California Public
Contract Code Section 20162, and other applicable law, City staff solicited bids for the project; and
WHEREAS,the project was bid on February 10, 2022, and six (6)bids were received and opened on
March 17, 2022, in accordance with applicable law; and
WHEREAS,the lowest responsible base bid for the project was submitted by Ghilotti Construction
Company, Inc., from Santa Rosa, CA for $1,654,076; and
WHEREAS,the bid submitted by Ghilotti Construction Company, Inc. was found by staff to be fair and
reasonable; and satisfies the bidding requirements for the project; and
WHEREAS, staff has verified that Ghilotti Construction Company, Inc. possesses a valid California
Contractor's License, Class A(General Engineering Contractor), number 644515 that qualifies the Contractor
to perform the project; and
WHEREAS, the City has received no protests concerning the Ghilotti Construction Company, Inc.
proposal, and the time to protest the proposal has lapsed; and
WHEREAS, on April 1, 2022, the City's consultant will be applying for a Federal Aviation
Administration (FAA) grant to fund the project with a 90 percent FAA to 10 percent City match split. For a
total requested grant funding amount of$1,917,010; and
WHEREAS, the grant is expected to be awarded to the City of Petaluma within a few months from the
application submission date as the project underwent a grant pre-application process and was approved to
proceed for bidding; and
WHEREAS, the proposed grant award action is exempt from the requirements of the California
Environmental Quality Act(CEQA) in accordance with CEQA Guidelines Section 15378, in that applying for a
grant does not meet CEQA's definition of a"project,"because the action does not have the potential for
resulting in either a direct physical change in the environment or a reasonably foreseeable indirect physical
change in the environment, and because the action does not commit the City to a definite course of action
(See City of Irvine v. County of Orange (2013) 221 Cal 4th 846, 865 County's decision to apply for state
funding for potential jail expansion was not project approval); and

WHEREAS, the project is categorically exempt pursuant to the California Environmental Quality Act
("CEQA")pursuant to Article 19, Sections 15301 and 15302 of Title 14 of the California Code of Regulations
("CEQA Guidelines") because the project consists of routine maintenance, repair or reconstruction of existing
pavement and aircraft tie-downs at the Petaluma Municipal Airport. All improvements will occur on the
Petaluma Municipal Airport property within areas that have been previously disturbed. In addition, there is no
expansion of use beyond what currently exists and there are no cumulative impacts, unusual circumstances, or
other factors that would make the exemptions inapplicable pursuant to CEQA Guidelines section 15300.2; and
WHEREAS,the FY 21/22 Capital Improvement Program(CIP) budget is sufficient to complete the
project as bid if awarded the full FAA grant funding.
NOW, THEREFORE,BE IT RESOLVED that the City Council of the City of Petaluma hereby:
1. Declares that the above recitals are to be true and correct and are incorporated into this resolution as
findings of the City Council.
2. Finds the proposed grant award action is exempt from the requirements of the California Environmental
Quality Act(CEQA)pursuant to CEQA Guidelines Sections 15303 (New Construction Exemption) and
15304 (Minor Alterations to Land Exemption).
3. Finds this project is categorically exempt pursuant to the California Environmental Quality Act
("CEQA")pursuant to Article 19, Sections 15301 and 15302 of Title 14 of the California Code of
Regulations ("CEQA Guidelines"), because the project consists of routine maintenance, repair or
reconstruction of existing pavement and aircraft tie-downs at the Petaluma Municipal Airport. All
improvements will occur on the Petaluma Municipal Airport property within areas that have been
previously disturbed. In addition, there is no expansion of use beyond what currently exists and there are
no cumulative impacts, unusual circumstances, or other factors that would make the exemptions
inapplicable pursuant to CEQA Guidelines section 15300.2.
4. Approves the project budget for the Petaluma Municipal Airport Aircraft Parking Apron Rehabilitation
Project.
5. In accordance with the City of Petaluma Charter and Municipal Code, California Public Contract Code
Section 20162, and other applicable laws waive any and all non-conformance in the bid of Ghilotti
Construction Company, Inc. for the Petaluma Municipal Airport Aircraft Parking Apron Rehabilitation
Project, project No. C61502110 finds that Ghilotti Construction Company, Inc., is the lowest responsible
bidder with a bid of$1,654,076.
6. Awards the contract for the Petaluma Municipal Airport Aircraft Parking Apron Rehabilitation Project,
project No. C61502110, to Ghilotti Construction Company, Inc., in the amount of$1,654,076, the
amount of the lowest responsive bid, conditioned on Ghilotti Construction Company, Inc.'s timely
executing of the project contract and submitting all required documents, including but not limited to,
executed bonds, certificates of insurance, and endorsements, in accordance with the project bid
documents.
7. Authorizes and directs the City Manager to execute the project contract on behalf of the City of
Petaluma contingent on the FAA's project grant award and upon timely submission by Ghilotti
Construction Company, Inc., of the signed project contract and all other required documents, including
but not limited to, executed bonds, certificates of insurance, and endorsements, in accordance with the
project bid documents.
8. Authorizes the city manager or her designee to execute all documents necessary to accept the FAA
project grant in the amount of$1,917,010, for the aircraft parking apron pavement reconstruction and
repair.
