RESOLUTION OF THE CITY COUNCIL OF THE CITY OF PETALUMA AUTHORIZING AWARD
OF CONTRACTOR FOR THE PETALUMA MUNICIPAL AIRPORT AIRCRAFT PARKING APRON
REHABILITATION PROJECT TO GHILOTTI CONSTRUCTION COMPANY,INC.
WHEREAS,the City of Petaluma Municipal Airport, located at 601 Sky Ranch Dr., serves as the only public
airport for Petaluma, including sales of fuel and general aviation operations, and hangar rentals; and
WHEREAS, City staff has prepared construction bid documents and advertised for construction for the
Petaluma Municipal Airport Aircraft Parking Apron Rehabilitation Project ("project"); and
WHEREAS, in accordance with the City of Petaluma Charter and Municipal Code, California Public
Contract Code Section 20162, and other applicable law, City staff solicited bids for the project; and
WHEREAS,the project was bid on February 10, 2022, and six(6)bids were received and opened on March
17, 2022, in accordance with applicable law; and
WHEREAS, the lowest responsible base bid for the project was submitted by Ghilotti Construction
Company, Inc., from Santa Rosa, CA, for$1,654,076; and
WHEREAS, the bid submitted by Ghilotti Construction Company, Inc. was found by staff to be fair and
reasonable and satisfies the bidding requirements for the project; and
WHEREAS, staff has verified that Ghilotti Construction Company, Inc. possesses a valid California
Contractor's License, Class A(General Engineering Contractor),number 644515,that qualifies the Contractor to
perform the project; and
WHEREAS,the City has received no protests concerning the Ghilotti Construction Company, Inc. proposal,
and the time to protest the proposal has lapsed; and
WHEREAS, on April 1, 2022,the City's consultant will apply for a Federal Aviation Administration(FAA)
grant to fund the project with a 90 percent FAA to 10 percent City match split. For a total requested grant funding
amount of$1,917,010; and
WHEREAS, the grant is expected to be awarded to the City of Petaluma within a few months from the
application submission date as the project underwent a grant pre-application process and was approved to proceed
for bidding; and
WHEREAS,the final contract amount, as amended, including all change orders, overruns, and underruns, is
$34,949.00 and is within the approved Project budget; and
WHEREAS, Environmental review was completed on May 2, 2022, when the City Council adopted
Resolution No. 2020-069 N.C.S., Authorizing Award of Contract for the Petaluma Municipal Airport Aircraft
Parking Apron Rehabilitation Project to Ghilotti Construction Company, Inc; and

WHEREAS,at the May 2,2022,meeting City Council found that the project is categorically exempt pursuant
to the California Environmental Quality Act("CEQA")pursuant to Article 19, Sections 15301 and 15302 of Title
14 of the California Code of Regulations ("CEQA Guidelines") because the project consists of routine
maintenance, repair or reconstruction of existing pavement and aircraft tie-downs at the Petaluma Municipal
Airport; All improvements will occur on the Petaluma Municipal Airport property within areas that have been
previously disturbed. In addition, there is no expansion of use beyond what currently exists, and there are no
cumulative impacts, unusual circumstances, or other factors that would make the exemptions inapplicable
pursuant to CEQA Guidelines section 15300.2; and
WHEREAS, accepting the completion of the Project does not constitute a Project pursuant to CEQA
Guidelines Section 15378 because the action does not have the potential to result in either a direct physical change
in the environment or a reasonably foreseeable indirect physical change in the environment; and
WHEREAS, the FY 21/22 Capital Improvement Program (CIP) budget is sufficient to complete the project
as a bid if awarded the total FAA grant funding.
NOW, THEREFORE,BE IT RESOLVED that the City Council of the City of Petaluma hereby:
1. Declares that the above recitals are to be true and correct and are incorporated into this resolution as
findings of the City Council.
2. Finds that environmental review was completed on May 2, 2022, when the City Council adopted
Resolution No. 2020-069 N.C.S., Authorizing Award of Contract for the Petaluma Municipal Airport
Aircraft Parking Apron Rehabilitation Project to Ghilotti Construction Company, Inc. During the
awarding of the contract, City Council found that this project was categorically exempt pursuant to the
California Environmental Quality Act ("CEQA") pursuant to Article 19, Sections 15301 and 15302 of
Title 14 of the California Code of Regulations ("CEQA Guidelines") because the project consists of
routine maintenance repair or reconstruction of existing pavement and aircraft tie-downs at the Airport.
All improvements occurred on the airport property within areas that have been previously disturbed. In
addition, there is no expansion of use beyond what currently exists, and there are no cumulative impacts,
unusual circumstances, or other factors that would make the exemptions inapplicable pursuant to CEQA
Guidelines section 15300.2. Further, accepting the completion of the Project does not constitute a Project
pursuant to CEQA Guidelines Section 15378 because the action does not have the potential to result in
either a direct physical change in the environment or a reasonably foreseeable indirect physical change in
the environment.
3. Accepts as complete the contract titled Petaluma Municipal Airport Aircraft Parking Apron Rehabilitation,
Project No. C61502110, with the final contract amount of $1,453,868.82, subject to the Contractor's
continuing warranty and other obligations pursuant to the contract.
4. Authorizes and directs the City Clerk to file a Notice of Completion concerning the Project with the
Sonoma County Clerk's office within ten(10) days of the date of this Resolution.
5. Authorizes and directs Staff to release all undisputed retention not subject to pending change orders within
sixty (60) days of the date of this Resolution and in accordance with the terms of the Project contract,
California Public Contract Code Section 7107, and applicable law.
