Box 2156 Petaluma, California 94952 Dear Ed : Thank you for your letter of February 27 , 1973, in- dicating that our understanding is the same with respect to the payment of my -fees in the event that a sale of the Tahoe property may ultimately be consummated. With respect to acting as associate counsel in any suit that may be filed against. the City of Petaluma chal- lenging its growth limitation policies , before agreeing to act in that capacity I would like to have copies of all ordinances , resolutions and other documents of the City pertaining to such growth limitation policies . If Bernstein of Oakland is going to represent the plaintiff in any such action, it undoubtedly will be the Associated Home Builders . At one time Al, Lewis had asked if I would be interested in representing the City of Livermore in its case involving the initiative ordinance which was later declared invalid by the court and I advised him that I would not because I did not believe that there was any legal basis for the initiative ordinance they had adopted in the city of Livermore. However, from our brief discussion regarding the Petaluma situation, it is my understanding that it may be entirely different and I might very well be interested in handling the case. The basis upon which I would be willing to represent the City is as follows : A retainer in the sum of $1, 500 . 00 and all services rendered in the matter at the rate of $60. 00 per hour in addition to the aforesaid retainer, and reimburse- ment for all out-of-pocket expenses .
