C,ONFERENCE.WITH LEGAL COUNCIL INITIATION OF LITIGATION, pursuant to
subdivision (c) of Government Code 54956.9 (i) potential case.
There was no reportable action.
It was on the agenda but the mayor switched the items-around without
telling
anyone so
no one in the audience knew what yeas going on.

Last weeks Press Democrat's=article titled "New City Council members •
• sworn •
in" said water officials opposed the-November proposal when the.
Council voted 5-2 to require the SCWA to leave Petaluma surplus.water
in
the Russian Riverinstead of allowing it:to be sold:to',otherusers. It
then •
states, "The'council reversed itself'after reviewing a memo in closed
session
from,the water agency. The:memo was withheldfrom the public."
I attended the January 2, 2001, City.Council meeting. Councilmember
Torliatt
said they had received a memo from their attorney regarding the surplus
costumes. During public comment I asked if the memo from the city
attorney •
wasprivileged and was,told yes. The city attorney said a confidential
memo
could not be given to the public nor content`discussed. City;

Stouder:said "UNDER THREAT OF LITIGATION THE ISSUE BEING THE PUBLIC'S
HEALTH
SAFETY WELFARE'" I asked,if'the council would be voting on the MOU and
the
Mayor responded most likely: I read from a SCWA surplus customer list

Jensen provided the council in August. Mahn Municipal Water District
is on
this list. I asked "How will it:effect the rate payers and the city if
we
take over the;surplus water customers from>the:water agency?'

Council Member Healy has inquired about the following:
b. Minutes of October 16, he noted that at¢his request, Council agreed to recast their vote to give City management
direction,to bring the item back as a discussion'item for development of a moratorium.
21 Minutes of November 20 - he questioned whether Council Member Maguire's motion included all three liaison
assignments, i.e.Sonoma:County Water Agency Technical Advisory Committee, Sonoma County Mayors' and
Councilmembers'Water Task Force, and North Bay,Watershed Association
3. Minutes of December 11, 2000; he pointed out a copying error as page 10 ended mid-sentence.
In connection with his,questions, I have listened,to;the tapes of October 16 and November 20 and reviewed the minutes of
December 11 that went out in the packet andifound the following:
1'. October 16 -:the vote was retaken and therefore on page22, lines 8 and:9.should be deleted from the minutes.
Additionally, on page 18, line 5,''wanted;on'vote should be changed to "wanted-a vote;"page 20, line 13, strike
"AMENDED;" change to"RESTATED,'" and change"Mayor Thompson,"to "Council Member Keller."
2. Minutes of November 20 - In response to comments by Council MemberHealy and Mayor Thompson at a previous
meeting questioning the motion for liaison assignments made by Council Member Maguire, Claire Cooper from our office
listened to the tape and advised that the motion was stated as set forth in the minutes. Today, I listened to the tape and I
concur with Claire; I understood the motion to be.as was stated and set forth in the minutes. The motion included all three
�ssignments and that representation on all:three�bodiesby Council MemberTorliatt was to continue"for one year Should
ou still have questions, the City Manager's Office has the video tape and`the audio'tape is available at our office.

CounciiMember Maguire did not agree with Council Member Healy: He believed
that a $4 million vision for a multi-billion dollar enterprise,was wellworth the cost.
Vice Mayor Torliatt reviewed the major costs'for the development of the General
Plan, and indicated she supported City-Management's recommendation:

:Execute a Professional Services Agreement with the
Firm of Dyett and Bhatia for the Preparation;and
