Summary Statement:
The City of Petaluma owns a:water tank site off of Hayes Lane.at,°the top of the hill. The City currently
leases the site for placement of communications antenna to various telecommunications companies. XM
Radio has an interest to place,a small;dish'on an existing antenna pole, along with some minor equipment
structures. XM Radio has agreed to lease the site from the City for$1500 per month for a period of five
years with two five-year options. The annual rent increase has been modified to the CPI or 3%,
whichever is more, after the first year of the lease. Revenue from•the lease is placed into the General
Millr Fund with unrestricted use.

ANTENNA.SITE LEASE AGREEMENT
1. EXECUTIVE SUMMARY:, •
The City currently leases sites to private communications companies at the
Hayes Lane Water Tank site.,'Revenue from these leases,supplements the General Fund.
XM Radio has agreed to a five-year lease, with two (2) five-year extensions. Leases are
required to be approved by;ordinance of the City Council.
2. BACKGROUND:
The City's water tank site near Hayes Lane is situated so as to be attractive for placement
of communications facilities. Our police and fire radio antennas have long been
positioned at this 'location. We,currently lease portions of the site to allow placement of
radio antennas for private companies, including Cellular One.
• XM.Radio has expressed interest in adding an antenna and related equipment to the site
and has agreed to a five-year lease agreement with two(2) five-year extensions
(attached). Their equipment consists of a small microwave dish that will be mounted on
an existing pole and a small equipment/power cabinet. The new equipment will not
extend higher than the existing equipment. Additional requests are expected to be
fortheommg XM will also have to secure a Use Pernut,for placement of this equipment
and has applied,to the Community Development Department for such use, along with any
potential environmental permits that may required: The draft lease called for payment
of$1000 per month with,an automatic annual 3% adjustment:
At the Council meeting;of-November,20, 2000, the City Council.Introduced the
Ordinance approving the lease agreement with amendments., Those amendments
changed the term of the leaser()five•years plus two additional five-year lease periods
with the lease payment to be renegotiated. It also modified,the annual rent increase to
CPI or;3%o,whichever was more, after the first year of.theslease. It'also increased the
initial rent to $1500 per month. The approval of the lease is also subject to site design
approval that requires minimum visual'impact of the improvements. The attached lease
agreement includes those changes.

21 BE IT ORDAINED BY THE COUNCIL OF THE CITY OF PETALUMA AS
22 FOLLOWS:
24 Section 1. Certain real property located in the City of Petaluma, County of Sonoma,
25 State of California is hereby authorized to be leased under theterms and conditions set forth
26 in the Site Lease Agreement by and between the City of Petaluma and KM Satellite Radio,
27 Inc., which Site Lease Agreement is attached hereto as Exhibit "A" and incorporated herein
28 by reference. The City Manager is hereby authorized to sign said Site Lease Agreement
29 which is for use as a mobile/wireless communications facility located at the La Cresta water
30 tank facility site further described in Exhibits "A" and `B" to the SiteLease Agreement.

32 Section 2. If any section, subsection, sentence, clause or phrase or word of this .
33 ordinance is for any reason held to be unconstitutional, unlaawfl or otherwise invalid by a
34 court of competent jurisdiction, such decision shall not affect the validity of the remaining
35 portions of this ordinance. The City Council of the City of Petaluma-hereby declares that it
36 would have passed and adopted this ordinance and each and all provisions thereof irrespective
07. of the fact that any one or more of said provisions be declared unconstitutional, unlawful or
;8 otherwise invalid.
