RESOLUTION OF THE CITY COUNCIL OF THE CITY OF PETALUMA AUTHORIZING AWARD
OF CONTRACT FOR THE TRANSMISSION PIPELINE IMPRESSED CATHODIC SYSTEM
UPGRADE PROJECT TO EXARO TECHNOLOGIES CORPORATION C67502435
WHEREAS, staff wishes to replace the failed cathodic protection system for the Water Main Transmission
line in the vicinity of Petaluma Blvd South, Landing Way, and the Petaluma River; and
WHEREAS, City staff has prepared construction bid documents and advertised for construction for the
Transmission Pipeline Impressed Cathodic System Upgrade (C67502435); and
WHEREAS, in accordance with the City of Petaluma Charter and Municipal Code, California Public
Contract Code Section 20162, and other applicable laws, City staff solicited bids for the Project; and
WHEREAS, the Project was bid on May 30th, 2024, and one (1) bid was received and opened on June 20,
2024, in accordance with applicable law; and
WHEREAS, the lowest responsible base bid for the Project was submitted by EXARO Technologies
Corporation; and
WHEREAS, the bid submitted by EXARO Technologies Corporation was found by staff to be fair and
reasonable; and satisfies the bidding requirements for the Project; and
WHEREAS, staff has verified that EXARO Technologies Corporation possesses a valid California
Contractor’s License, Class A (General Engineering Contractor), Contractor’s License No. 860376 that qualifies
the Contractor to perform the Project; and
WHEREAS, the Project is categorically exempt pursuant to the California Environmental Quality Act
(CEQA) and Title 14, the California Code of Regulations (“CEQA” Guidelines”), Section 15302, because the
Project consists of replacement and reconstruction of existing systems and/or facilities involving negligible or no
expansion of capacity; and
WHEREAS, the FY 23/24 CIP budget is sufficient to complete the project as bid.
NOW, THEREFORE, BE IT RESOLVED, by the City Council of the City of Petaluma as follows:
1. The above recitals are hereby declared to be true and correct and are incorporated into this resolution as
findings of the City Council.
2. Finds that the Project is categorically exempt pursuant to California Environmental Quality Act (CEQA)
and Title 14, the California Code of Regulations (“CEQA” Guidelines”), Section 15302, because the
Project consists of replacement and reconstruction of existing systems and/or facilities involving
negligible or no expansion of capacity.
3. Approve the project budget for the Water Transmission Pipeline Impressed Cathodic System Upgrade
(C67502435) Project.

4. In accordance with the City of Petaluma Charter and Municipal Code, California Public Contract Code
Section 20162, and other applicable laws, waives any and all non-conformance in the bid of EXARO
Technologies Corporation for the Water Transmission Pipeline Impressed Cathodic System Upgrade
(C67502435) Project, finds that EXARO Technologies Corporation is the lowest responsible bidder with
a bid of $162,200.00.
5. Awards the contract for the Water Transmission Pipeline Impressed Cathodic System Upgrade
(C67502435) Project to EXARO Technologies Corporation, in the amount of $162,200.00, the amount of
the lowest responsive bid, conditioned on EXARO Technologies Corporation timely executing the project
contract and submitting all required documents, including but not limited to, executed bonds, certificates
of insurance, and endorsements, in accordance with the project bid documents.
6. Directs staff to issue a notice of award to EXARO Technologies Corporation.
7. Authorizes and directs the City Manager to execute the project contract on behalf of the City of Petaluma
upon timely submission by EXARO Technologies Corporation, of the signed project contract and all other
required documents, including but not limited to, executed bonds, certificates of insurance, and
endorsements, in accordance with the project bid documents.
8. Approves a construction contract contingency of $25,500.00.
Under the power and authority conferred upon this Council by the Charter of said City.
REFERENCE: I hereby certify the foregoing Resolution was introduced and adopted by the
Council of the City of Petaluma at a Regular meeting on the 5th day of August 2024,
