Page 1 Resolution No. 2024-106 N.C.S. of the City of Petaluma, California RESOLUTION OF THE CITY COUNCIL OF THE CITY OF PETALUMA APPROVING THE PURCHASE OF TRANSPARITY ADAPTIVE TRAFFIC SIGNAL TIMING SOFTWARE FROM SWARCO MCCAIN, INC. IN THE AMOUNT OF $76,252.00 AND AUTHORIZING THE CITY MANAGER TO EXECUTE ALL DOCUMENTS NECESSARY TO COMPLETE THE PURCHASE WHEREAS, Petaluma has coordinated traffic signal timing in place across several intersections, which are currently programmed with a fixed timing plan; and WHEREAS, traffic signal coordination in these corridors could be improved by leveraging real-time data by switching to adaptive signal coordination; and WHEREAS, the Transparity Adaptive software is needed to implement adaptive signal coordination; and WHEREAS, SWARCO McCain is the manufacturer of much of our traffic equipment and offers Transparity Adaptive software, which would seamlessly integrate with our controllers and central management system; and WHEREAS, in accordance with the City of Petaluma Charter and Municipal Code, California Public, and other applicable laws, the vendor is the original software manufacturer that is not interchangeable with similar software of another manufacturer that would be compatible with our current equipment; and WHEREAS, the purchase complies with Petaluma Municipal Code Chapter 4.04 as this is a sole source purchase; and WHEREAS, staff recommends the City execute a purchase order with SWARCO McCain, Inc. for new Transparity Adaptive Software. NOW, THEREFORE, BE IT RESOLVED, by the City Council of the City of Petaluma as follows: 1. Declares that the above recitals are true and correct and are incorporated into this Resolution as findings of the Petaluma City Council. 2. Approves the purchase of Transparity Adaptive software in the amount of $76,252.00 from SWARCO McCain, Inc. 3. Finds that the purchase of the Transparity Adaptive software from SWARCO was a sole source purchase as vendor is the original software manufacturer that is not interchangeable with similar software of another manufacturer that would be compatible with our current equipment, and in compliance with the City’s purchasing requirements. 4. Finds that this project is exempt from the requirements of the California Environmental Quality Act (CEQA) in accordance with CEQA Guidelines Section 15378(b)(5), in that purchasing software does not meet CEQA's definition of a “project” because the action does not have the potential for resulting in either a direct physical change in the environment or a reasonably foreseeable indirect physical change in the environment. If this action was a project it would exempt pursuant to CEQA Guidelines Section 15301 (Existing Facilities) and Section 15303 (Minor Construction) as the software would be installed to our already existing signals Docusign Envelope ID: C7652C53-9B83-4E1B-84F5-61FB0669F682 Resolution No. 2024-106 N.C.S. Page 2 5. Authorizes the City Manager or her designee to execute any necessary documents to complete the purchase of Transparity Adaptive from SWARCO McCain, Inc. Under the power and authority conferred upon this Council by the Charter of said City.
