Resolution No. 2025-087 N.C.S.
of the City of Petaluma, California
RESOLUTION RATIFYING AWARD OF CONTRACT, ACCEPTING COMPLETION OF, AND
AUTHORIZING RELEASE OF THE 10% RETENTION FOR CONCRETE REPAIR AT THE
FAIRGROUNDS FOR BROTHERS LANDSCAPING INC.
WHEREAS, the City of Petaluma assumed management of the City-owned Fairgrounds on January 1, 2024,
and has prioritized site improvements aligned with adopted guiding principles to improve safety, increase public
access, and pilot new uses; and
WHEREAS, the concrete improvements at the Bianchi Barn were undertaken to address longstanding issues
related to uneven surfaces, poor drainage, and fragmented walkways, and to improve site functionality and
usability; and
WHEREAS, City staff determined that the circumstances surrounding this project met the precedent set forth
by Graydon v. Pasadena Redevelopment Agency (1980), justifying exemption from competitive bidding due to
the need for improvements and the availability of a contractor already mobilized on-site; and
WHEREAS, in accordance with Section 4.04.050 of the Petaluma Municipal Code, City staff issued an
emergency purchase to Brothers Landscaping, Inc. for construction services; and
WHEREAS, Brothers Landscaping, Inc. satisfactorily performed all work in accordance with City standards
and specifications, including the installation of 3,680 square feet of concrete flatwork and associated site grading,
with no change orders or scope adjustments; and
WHEREAS, the total construction cost of the project was $43,040.00, and all work has been completed to
the satisfaction of City staff; and
WHEREAS, the project is exempt from the requirements of the California Environmental Quality Act
(CEQA) pursuant to CEQA Guidelines Sections 15301 (Existing Facilities) and 15304 (Minor Alterations to
Land).
NOW, THEREFORE, BE IT RESOLVED, by the City Council of the City of Petaluma as follows:
1. Finds that the above recitals are true and correct and are incorporated herein as findings of this Resolution.
2. Ratifies the award of contract for the concrete repair work to Brothers Landscaping Inc.
3. The contract entitled Petaluma Fairgrounds Flatwork with a final contract amount of $43,040 is accepted as
complete subject to the Contractor’s continuing warranty and other obligations pursuant to the contract.
4. The City Clerk/Recording Secretary is hereby authorized and directed to file a Notice of Completion
concerning the Project with the Sonoma County Clerk’s Office within ten (10) days of the date of this
Resolution.
5. Staff is hereby authorized and directed to release all undisputed retention not subject to pending change orders
within (60) days of the date of this Resolution and in accordance with the terms of the Project contract, the

Petaluma City Charter, California Public Contract Code Section 7107, and applicable laws.
Under the power and authority conferred upon this Council by the Charter of said City.
REFERENCE: I hereby certify the foregoing Resolution was introduced and adopted by the
Council of the City of Petaluma at a Regular meeting on the 16th day of June 2025,
