The well was used for a number of years until it became contaminated by an acetone spill on the subject property. As a result, the City ceased using the well and eventually was compensated by Sola for the loss of the domestic water supply. he well has subsequently been properly abandoned, therefore it is no longer necessary for the City to retain ownership of the well site nor the access easement. Per Sola International's request through Mr. Mark S. Hennigh, it is recommended that Resolutions be passed authorizing the City Manager to sign the appropriate quitclaiming of City rights in the property and easement. PROPERTY ON CADER LANE 1. EXECUTIVE SUMMARY: During the 1977 drought, a municipal well was developed on land that subsequently became owned by Sola Optical International, Inc ("Sola"). The well was used for a number of years until it became contaminated by an acetone spill on the subject property. As a result, the City ceased using the well and eventually was compensated by Sola for the loss of the domestic water supply. BACKGROUND: See attached correspondence submitted on March 8, 2001 letter from Mr. Mark S. Hennigh. 3. ALTERNATIVES. Not abandon either the property or easement. 4. FINANCIAL IMPACTS: There is a small lessening of City responsibility to maintain the property, which is removed byquitolaiming-of the easement and well site. 5. CONCLUSION: The wellsiteand easement are no longer of any benefit to the City and there is no reason for us to maintain any property we do not see any potential for drilling an alternative well on the site. 6. OUTCOMES OR PERFORMANCE MEASUREMENTS THAT WILL IDENTIFY SUCCESSOR COMPLETION: Recording of the Grant Deed removes restrictions for the property owner to make the most use of their property and removes the City's obligation for maintenance on the site. 0 7. The Property is more particularly described in Exhibits A and B to the Quitclaim Deed enclosed with this letter. The City of Petaluma ("City") has operated a water well on the Property. Pursuant to that certain Well Abandonment &.Replacement Agreement recorded on June'6, 1996, as instrument number 1996-0050509 (the "Agreement"), the water well has been abandoned by the City. Sola has complied with the terms of the Agreement; completed closure of the well and the City has now approved Sola's closure. We have been informed by Steven Simmons that the City no longer has any interest in the documents which have been recorded on the Property which refer to or relate to the water well. Since the City is no longer operating a water well on the Property, Sola hereby requests that the City quitclaim to Sola all of its interests 'in the water well and remove and release all documents which have been recorded referring to or relating to the water well. We have prepared the enclosed Quitclaim Deed in which the City relinquishes its interests in and to the water well and all documents which refer or relate m the water well to Sola. Also enclosed for your review are-copies of the documents which have been recorded on the Property. Those documents are listed on Exhibit C to the Quitclaim Deed. The burdens and obligations contained in this g 1(a)are intended to burden the Station 5 Property and to obligate the City and any and all successor owners(m'whole or in part)of the Station 5 property. The foregoing covenants and obligations are intended to run with the Station 5 Property land. (b) Sola will be responsible for all actions required in connection with the closure and abandonment of the Wells and all related costs and expenses. Without limiting'.the generaliry of the foregoing, Sob will (i) engage at its sole,expense a licensed environmental drilling company to effect and implement the closure and abandonment of the Wells in accordance with applicable well closure and abandonment regulations and customary industry practices and (ii)procure or cause to be procured any and all permits, approvals and certificates required'from the.County of Sonoma Environmental Health Department or any other federal, state or 13(21 governmental agency required in connection with the closure and abandonment of the Wells. In connection with the closure and abandonment of the Wells, and:prior to effecting such closure and abandonment, Sola shall also obtain at its sole expense the approval of the U.S Environmental Protection Agency ("EPA"). in the event the EPA denies Sola's request for approval of'the closure and,abandonment of the Wells, then this Agreement shall be null and void a¢lnitio. Upon receipt of the EPA's approval,Sola shall so notify the City. Sole shall use reasonable efforts to accomplish,the closing and abandonment of the Wells in a reasonable and commercially prudent manner as soon asreasonably possible. Upon completion of the closure and abandonment of each of the Wells,Sofa shall so notify the City. (c) In connection with such closure and abandonment of the Wells, the City shall reasonably cooperate at its sole expense. Without limiting the generality of the foregoing, the City agrees to give Sola and its employees,consultants and contractors such access to the Station 5 well and the Sola-City well as is required to effectuate such closure and abandonment In furtherance thereof, the City hereby grants to Sola and its employees, consultants and contractors a non- exclusive license to freely enter onto the property on which the Wells are located and to otherwise access the Wells from time to time during normal business hours and at other•mutually agreeable times to effect the closure and abandonment of the Wells and for other related purposes. Sola shall remain responsible for the acts and omissions,of its employees, consultants and contractors while on such property for purposes of effecting the closure and abandonment of the Wells. (d) In the event that there is any City-owned equipment',or other property that is removed from the Wells in connection with their closure and.abandonment, Sole shall promptly notify the City and make reasonable arrangements for.the City to reclaim such equipment or other propern. (e) Sola hereby agrees to, and shall hold City, its elective and appointed boards, commissions, officers, agents and employees harmless from any liability for damage orrclaims for damage,for personal injury, including death,as well as claims for property damage which may arise from Sofa's or Sob's contractors', subcontractors', agents' or employees' actions under this Agreement, whether such actions be by Sola or any of Sob's contractors or subcontractors. The general liability and automobile policies are to contain, or be endorsed to contain, the following provisions: (A)The City,its officers,officials,employees,agents and vol mteers;are to be covered as additional insureds as respects: liability arising out of activities performed by or on behalf of Sola,products and completed operations of Sole; premises owned,,occupied or used by Solm or automobiles owned,leased,hired or borrowed by Soles. The coverage chnll contain,no special limitations on the scope of protection afforded to the City,its officers,officials,employees,agents or volunteers. (B)For any claims related to this project,the Sola's?insurance'coverageshalt be primary insurance as respects the City,its officers,officials,employees,agents and volunteers: Any insurance or self-insurance maintained by the City,its officers,officials,employees,agents or volunteers shall be excess of the Sola's insurance and shall not contribute with it. (C)Any failure to comply with reporting or other provisions of the policies including breaches of warranties shall not affect coverage provided to the City,its officers,officials,employees,agents or volunteer& (D)The Sola's insurance shall apply separately,to each insured.against whom claim is made or suit is brought except,with respect to the limits of the insurer's lability. (E)Each insurance policy required by this clause shall be endorsed to state that coverage shall not be suspended,voided,canceled by either party,reduced in coverage or in limits except after thirty(30)days'prior to written notice by - certified mail,return receipt requested,has been given to the City. (4) Acceptability of Insurers. Insurance is to be placed with insurers,yjth'a current A.M. Best's rating of no less than A:VlI: (5) Verification of Coverage. • Sola shall furnish the City with original endorsements effecting coverage required by this clause. The endorsements are to be signed by a person authorized by that,insurer to bind coverage on its behalf. The endorsements are to be on forms provided by the City. All endorsements are to be received and approved by the City before work commences.
