The City of Petaluma, is :requestin; a. proposal from your firm to prepare master plans,
- • preliminary design and icosti estimates, final plans and specifications, and provide project
management services for all desip aspects through acceptance of_ constructiontbids for the above
project.
The City of Petaluma's Community Development Commission has budgeted-a project that would
provide for pedestrian/bicycle trails?along the Petaluma River from the.Lakeville:StreetBndge to
"C" Street (see Exhibit B). Theprojeet also'includes the beautification of Water Street from E.
Washington St. to Western St Macludingta.feasibility'study for-under grounding of all utilities.
Since a portion of the pedestrianlbieycle trail.will use-the abandoned railroad trestle along the
Petaluma River turning.basin;between Western Ave. and B?",St., a"structural evaluation of the
trestle will be included in this project. To facilitate the-planning-of flirt:ire projects, a conceptual
design study shall be prepared.for bicycle and pedestrian trails upstream from Lakeville St. to
Lynch Creek, and downstream from "C" 'Si. to the "D"'St. Bridge, as part .of this request for
proposals. A detailed scope of services isprovidedr.in E.xchibitA.
• Specific requirements for the proposalaredescribed as follows.
1.0 PROPOSAL.REQUIREMENTS •
1.1 SUBMITT_-L'L COVERLETTER
The cover letter shall be signed:by an official authorized to bind the:firm and shall contain a.
Statement. that the proposal is valid for ninety (90) ,days for the herein described consulting
services for the City of Petaluma. Said letter'is!to be the first in-sert after the cover page of the
submittal.
1.2 INTRODUCTION
Provide an overview of the project, including a brief description of:your understanding of the
services to be provided, the project's objective, and your'approach to accomplish the objectives.
1.3 SCOPE OF SERVICE •

• Describe your approach for managing the project, budget, schedule,:construction inspection and
maintaining communication with the City.

Describe> your technical approach for ;completing this scope of service. Identify and detail
specific tasks as necessary to complete the work. Proposers are encouraged to amplify,the:scope
of work, to identify any supplemental tasks necessary, and to recommend any alternatives which
mayenhance the project or reduce costs.
The City is particularly interested in a description;of:your approach for providing;all aspects of
service outlined in this request for proposal;•as well as a communication flow diagram with,your
firmand City'sdesigriated project<management representative. •

1.4 PROJECT TEAM ORGANIZATION
Identify proposed personnel. Include an organization chart. Provide the manpower commitment
(numbers.of hours forreach individual) of the team. Recognize.that the City expects the.proposer
to contractually commit the proposed personnel to this level of effort if selected. Describe why
key personnel were selected for this project:and;related experiences. Please note;that many of
the services required oftyour:firm may,be on a specific time schedule and mnst be provided'
to the City within theagreed upon phasing•and:`timetables. Therefore, consultant should
be prepared toadjust manpower needs to:'meet'the pace ofeach specific project task.
1.5 EXPERIENCE:AND QUALIFICATIONS
• Identify the key"personnel for your team:<Describe the proposed personnel's qualifications and •
previous 'work experience for conducting each of the anticipated work elements:, For each
proposed key person; provide a brief description•of the three projects where that person has
provided similar services. For each of the three projects referenced, provide the•dates when the.
service was provided, the client name, contact name, address and contact telephone number.
Theserreferences will be contacted, so it is important that accurate and current phone numbers
are:provided., Inaccurate information will adversely reflect on the disposition of=your proposal.
1.6 ESTIMATED`COSTS•AND FEE SCHEDULE
The Petaluma. Community>Development Commission will fund this project: The consultant
employed to perform the elements of this proposal will be expected to ensure compliance with
all applicable federal, state and regional:requirements, including but not.limited to,,coordinating•
with City staff during, the preparation of agenda packets, memos, quarterly 'update, and
informational reports, and presenting same 'as required to the Petaluma City Council at their
regularly scheduled. meeting. Consultant;will be required to complete all tasks in the "\vork
program, submission of all relevant work products by the required delivery dates; and
maintenance of records, .accounts and books as necessary. Consultant shall submit a written
assurance of meeting these goals with their proposal.
Your proposal fee schedule must be submitted in;aseparate envelope and shall`define the total
estimated contract-price>on a time-and-expenses>basis. The pnce shall be am estimate of the time
and expenses=tie_aed to complete the work as proposed. The estimate shall>include:

1) A listing.of tasks;required<to;accomplish the p_roposed:scope of services;
2) An estimate of the labor hours for each position classification and task, and the
• estimated total,cost for each task;,
3) The proposed hourly'fee schedule for calendar.;years'2000'and 2001;
4) All other reimbursable fees and expenses.(please note that the City'will not pay
for lodging, vehicles,mileage, and,travel tune);;and.
5) Assumptions upon'which estimate is based.
6) Mark-upon other direct costs (ODC),shalFnot exceed 5 percent.

4.0 PROFESSIONAL, SERVICES AGREEMENT
The successful fiiin will be .required, to -execute the City of Petaluma Standard Professional •
Services -Agreement'(see Attachment E). The consultant should assume no exceptions to this •.
agreement will..be accepted and that.any firir.submittin a proposal must be prepared to execute;
this agreement without. modification. If a consultant believes that ,a, modification of the

proposal including,a description of the perceived benefits. "There is no obligation'on the part of

STREET.
Listed "below is a. general description of the consultant's tasks for "project management,
preparation of master plans preliminary designs, costaxestimates, and final construction plans and.
specification for construction bids. The consultant=wili,be g
re arin 'preliminary'study, a master
plan, and final,construction plans for bicycle and pedestrian facilities along the Petaluma River
from the Lakeville St. Bridge to "C" St. To anticipate future projects, the consultant will also
prepare conceptual plans for bicycle and pedestrian facilities beyond the approved project:limits
(see Exhibit B). The;,following tasks description and order of sequence;shall include, but are not
limited to:
1 The Consultant shall prepare a• structural evaluation of the condition of the existing •
railroad trestle along the Petaluma;River Turning Basin between Western Ave. and `B
St: to support 1) pedestrians and bicyclists; and 2) a gas powered trolley. The
evaluation shall also provide for the trestle's estimated life for these uses. If the trestle is
unusable, the consultant shall provide alternatives and costs such as :replacing or
renovating the.structure. Consultant to prepare agenda packet, council memo and make
presentation to'the-City'Council with City Staff.
2. The consultant shall prepare a preliminary-design study for bicycle improvements along
the Petaluma River, from the Lakeville St Bridge to "C" Street The study shall also
include the conceptual design for'future projects for the area upstream-from the Lakeville -
. Bridge to Lynch Creek, and downstream from "C" St. to the "D" St. Bridge. The
Petaluma River Plan,(see Exhibit C)'and the Petaluma Bicycle Master Plan (see Exhibit
D) _indicates that :a pedestrian/bicycle pathway shall' follow the bank of the Petaluma
River, both upstream and downstream ofthe"D" St. Bridge. The consultant's study shall •
include access,under or around' the "D" St Bridge as a futureiproject. Consultant to
prepare agenda packet, council memo and`m are presentation to the:City Council with the
assistance of City personnel.
3. This project includes the beautification of Water St. from E. Washington St. to Western
Ave. Inc consultant shall develop three master plan alternatives for City.consideration,
and then finalize a preferred plan: The master plan study shall include the layout of
parking and vehicle access, and pedestrian and bicycle enhancements; planters and
decorative tailings, access to businesses, historic street lights;, and the resurfacing of
Water St., etc. The project envisions the under rounding of all utilities. The consultant
shall provide a report of the feasibility for under grounding,.of the. utilities. The
consultant shall include coordination with P;G;&E;,and be knowledgeable-of Rule 20A
• funding through P.G.&E: Consultant to prepare agenda packet, council memo and make
presentation to the City Council with City Staff.

2A. City shall compensate Consultant for services Tendered hereunder under the following
terms:

2B. Notwithstanding'any provision herein:, Consultant shall not be paid any compensation
until such time as .Consultant has on file with the City. Finance Department current•
information requested on the `Vendor Information'' form.available'from the City, anchhas
obtained a currently' valid Petaluma"Business Tax Receipt pursuant ;to the Petaluma
Municipal Code:
2C. The Consultant is^also required to have paid; the appropriate business tax and •have' a
currently valid`Petaluma Business Tax'Receipt pursuant to the Petaluma Municipal>Cod'e.
2D. In no:-case shall the total contract compensation exceed _ Without prior written

3. Services performed by Consultant to City which exceed those services described in
Section 1 herein,.shall!be considered "extra work." Extra work shall.only be performed
by Consultant upon prior;written authorization of the Citv Manage-. . Consultant;shall be

S. Consultant represents that.Consultant.possesses distinct professional skills in performing
said services. 'City has relied upon said representations as a :material endorsement to
enter into this Agreement- Consultant shall, therefore: provide properly skilled
• professional and technical personnel to perform,all,services under this Agreement It is
further understood and,agreed that Consultant,:including his/her agents and employees, is
not an agent or employee of the City- but rather'solely: responsible for his/her acts and
omissions: Consultant has full-control over the means and'methods of performing said
services, and Consultant understands that said services are 'being. performed as an
independent Consultant Nothing in this Agreement•shall,in any way be construed to
constitute the Consultant, or•any of its agents or employees; as• an agent, employee or
representative of the City.
6. Termination- This Aareement may be terminated or suspended by the City upon ten (10)
days' written.nottce. Said notice will be commenced by the City Manager. Upon receipt
of such notice, Consultant shall immediately stop all work in process ,under this
Agreel-ttent: In`the,event the•City delivers, the Consultant shall;be'entitled to payment for
all services performed to date of termination'to theextent they were actually pertormed in
accordance with this,Aereement.
7. Consultant shall perform with his/her own organization:.all work-_specified and required
in this Agreement. No assignment or transfer in whole or in•part of this Agreement shall
be,made"without?the written consent of the City.

the written approval of Cin,. Any such subconsultants s"hall comply. to the extent

11. All notices required or permitted by this Agreement, including notice of chance of
address, shall-be:in writing and given by personal delivery or sent by United States Mail
postage prepaid 'and addressed to the-parties intended to be notified; Notice shall be
deemed given as of the date of delivery in person or as of the date deposited in any post-
office or any post office box regularly maintained by the United States! Government.

• manner arising out of or occasioned by Consultant's,performance of its obligations
pursuant to•this, Agreement whether or not there is a contributing act or omission or
concurrent, passive or active negligence or otherwise on the part of the City, except those
claims arising from the established active:sole,negligence,or sole willful misconduct of
the City or The City's, employees: The City inay-retain so. much of the' money due
Consultant:as shall be;considered.necessary, until disposition has been made of claims or
suits for damages as aforesaid.

• 17. If litigation ensues which pertains to the subject •matter of Consultant's services
hereunder. Consultant upon request from.City, agrees to testify therein at a reasonable
and customary fee:

19. Breach. City reserves the right toterminate this Agreement immediately in the event of a
breach by Consultant It isfurther understood,and agreed'that in the event of a breach of
this Agreement by Consultant., in addition to• all other remedies: penalties and damages
provided bylaw, •Ctty_mayprovi'de=such services-or retain another consultant to provide
such services, and deduct from the ,amounts due or to become due to Consultant the
actual costs to'City to provide or obtain such services. '
20. This contract`is the product of negotiation and compromise on-the part,of both parties and
that the parties agree. notwithstanding Civil Code section 1651.. that in the event of
uncertainty. thelanguage is not to be construed against the party causing the uncertainty_
to exist.
21. Aoolicable Law. Each party's performance hereunder shall comply with 'all applicable
laws of the United States of America: the State of California. and the City of Petaluma.
This Agreement shall be enforced and interpreted under the laws of the State of

California.and the City of Petaluma: If any part, term or provision of this Agreement •
shall be held void illegal. unenforceable. or in conflict with any law of the federal. state
or local government having jurisdiction over this Agreement. the validity of the
remaining portions or provisions shall not be affected thereby.
22. Non-Waiver. The City's failure to.enforce any provision of this Agreeiment`.dr the waiver
' theieof'in a particular'instance shall,not be`:construedas a general waiver:of any part of
such provision. The provision shall-remain in full force and effect.
23. Severability. If any term or portion of this..Agreement is held to be,invalid. illegal. or
othenvise<unenforceable by a_court of competent jurisdiction,,,the.remaining provisions of
this.Agreementshall continue in full force and effect.
24. Mediation. The parties agree to make ar,good-faith attempt to resolve"any`disputearising
out of this Agreement through mediation prior to commencing litigation.: The parties
shall mutually°agree'upon the mediator.and shall divide the costs of-mediation equally.
25. Consultant's Books and Records.
A. Consultant shall' maintain any and all ledgers,. books of accounts, invoices.
vouchers, canceled checks; and other records or documents evidencing.or relating
a minimum°s for services, or expenditures and disbursements,:charged to the City for
to charges •
period.of three (3) years or for any longer period required, by law;
from the date of final payment.to Consultant pursuant to this Agreement.
B. Consultant shall maintain all documents and records which demon strate
performance under this,-Ag reement for a minimum period of three (3) years or for
any longer period required bylaw, from the date of termination or completion of
this Agreement.
C. Any-records or documents required to be maintained pursuant to this Agreement
shall be made available for inspection or audit,at any time during regular business
hours, upon written request by the City`Manager, 'City Attorney„City Finance.
Director, or ,a designated representative of these officers. Copies of such
documents shall-be provided to the City for inspection at Petaluma'City Hall
when it is;practical to do+so. Otherwise. unless an alternative is mutually'agreed
upon. the records shall be availa_bleat Consultant's address indicated for receipt
of notices in this Agreement.
D. Where City has reason to`believe,'that such records or documents may be lost or
discarded due to dissolution, disbandment or termination of Consultant's
business. City may by ,written request by any of the above-named officers.

Deductibles and Self-lnsured•Retentions
Any deductibles or self-insured retentions must be declared to-and approved by the City: At the option of the
City, either: the insurer shall reduce or eliminate:such deductibles or self-insured4retentions as respects the City, r
its officers, officials, employees and volunteers or the Consultant shall procure a bond guaranteeing payment of
losses and related investigations, claim administration and defense expenses.
Other.Insurance.Provisions.
The general liability'and"automobile liability policies are to ,contain. or be endorsed to contain, the following
provisions:
I. The City, its officers: officials, employees and volunteers are to be covered,as insureds as respects:
liability arising out of activities performed by or:on behalf of the Consultant;,products and completed
operations, of the Consultant; premises owned, occupied or used by the Consultant: or automobiles
owned', leased, hired or borrowed by the Consultant. The coverage shall contain no special limitations
on the"scope of protection afforded to the City, its officers, officials, employees or volunteers. Coverage
shall not extend to.any indemnity coverage for the active negligence of the additional`insured in any
case where an agreementto indemnify the additional insured would be invalid under subdivision (b) of
section 2782 ofthe Civil-Code.
2. For any claims related to this project,the Consultants insurance coverage•,shall be primary insurance as
respects the City. its officers: officials.• employees and volunteers. Any insurance or ,self-insurance
maintained by the City; its officers, officials. employees or volunteers shall be excess of the Consultant's
insurance and shall not contribute with it
3. Any failure to comply with:reporting or other provisions:of the policiesincluding breaches of warranties
shall"not affect coverage provided to the City, its officers officials. employees or volunteers.
n. The Consultant's insurance shall apply separately to each insured against whom claim is made or suit is
brought, except with respect to the limits of the insurer's liability.
Each insurance policy required by •this clause shall be endorsed to state that 'coverage shall not be
suspended: ‘,oided; cancelled by either party, reduced in coverage or in limits except after thirt\ (30)
days: prior written.notice by certified mail. return receipt requestel has been given to the City.

Verification of Coverage
Coifs iltanf shall, furnish the City with original endorsements effecting coverage required by this clause. The

endorsements are to be on forms provided by the City: All.,endorsements are to be received and approved by the
City before work commences: As an alternative to the City s forms, the Consultant's insurer may provide
complete, certified copies of all required insurance policies including endorsements effecting the coverage
;required by these specifications.
