Page 1 of 2 Resolution No. 2026-008 N.C.S. of the City of Petaluma, California RESOLUTION OF THE CITY COUNCIL OF THE CITY OF PETALUMA ACCEPTING COMPLETION OF THE RAINIER AVENUE WATER SERVICE REPLACEMENT (C67502536), AND URBAN RECYCLED WATER SYSTEM EXPANSION (C66402554) PROJECTS BY TEAM GHILOTTI, INC. AND AUTHORIZING RELEASE OF RETENTION WHEREAS, by Resolution No. 2025-093 N.C.S., adopted July 7, 2025, the City Council awarded the contract for Rainier Avenue Water Services Replacement and Urban Recycled Water System Expansion Project (C67502536) (C66402554) (the “Project) to Team Ghilotti, Inc., the lowest responsive and responsible bidder, in the total amount of $1,021,417.00; and WHEREAS, during construction, the City authorized four (4) change orders totaling $56,529.07, resulting in a final contract amount of $1,077,946.07; and WHEREAS, City staff have inspected the work and determined that it has been completed in accordance with the contract requirements, subject to the contractor’s continuing warranty and other post -completion obligations under the contract; and WHEREAS, the Project design and plans, including the change orders, were approved by the Public Works Director, or a designee that is granted discretionary authority to review plans, specifications, and designs pursuant to PMC Section 3.04.065; and WHEREAS, the statute of limitations for any CEQA challenge has lapsed, and acceptance of the completed project is within the scope of the City Council’s prior CEQA determination made at contract award. At that time, the Council found the Project categorically exempt pursuant to CEQA Guidelines Sections 15301(b) and (d) and 15302(c), as the Project involved repair, replacement, and installation of existing public utility infrastructure within previously disturbed rights-of-way with negligible expansion of use; and WHEREAS, the recycled water pipeline component is also consistent with the Environmental Impact Report prepared for the Petaluma Valley Groundwater Sustainability Implementation Program Project #5 – Urban Recycled Water Expansion (Grant Agreement No. 4600015621), for which a Notice of Determination was filed with the Sonoma County Clerk and the State Clearinghouse (SCH No. 2007052146); and WHEREAS, acceptance of the completed work and release of retention are administrative actions and do not constitute a separate project under CEQA pursuant to CEQA Guidelines Section 15378(b)(5); and WHEREAS, staff recommend acceptance of the Project as complete, release of retention, and authorization to file a Notice of Completion. NOW, THEREFORE, BE IT RESOLVED, by the City Council of the City of Petaluma as follows: 1. Finds that the above recitals are true and correct and are incorporated herein as findings of this Resolution. 2. Finds that the statute of limitations for a CEQA challenge has expired, and acceptance of the completed Project is consistent with the CEQA exemptions previously adopted by the City Council. Accepts as complete the contract titled “Water Services Replacement – Rainier Avenue (C67502536) and Urban Water System Expansion – Rainier Extension (C66402554)” with Team Ghilotti, Inc., in the final contract amount of $1,077,946.07, subject to the contractor’s continuing warranty and other obligations pursuant to the contract. 4. Authorizes and directs the City Clerk to file a Notice of Completion for the project with the Sonoma County Clerk’s Office within ten (10) days of adoption of this resolution, in accordance with California Civil Code Section 9204 and Public Contract Code Section 7107. 5. Authorizes and directs staff to release all undisputed retention not subject to pending change orders within sixty (60) days, in accordance with the terms of the project contract, the Petaluma City Charter, Public Contract Code Section 7107, and applicable law. Under the power and authority conferred upon this Council by the Charter of said City.
