Page 1 of 2 Resolution No. 2026-010 N.C.S. of the City of Petaluma, California RESOLUTION AWARDING A CONTRACT FOR THE FIRE STATION 1 – SEISMIC, SAFETY, AND PRIVACY UPGRADES PROJECT (C11202433) TO MIDSTATE CONSTRUCTION CORPORATION WHEREAS, in accordance with the City of Petaluma Charter and Municipal Code, California Public Contract Code Section 20162, and other applicable laws, City staff prepared bid documents and solicited bids for the Fire Station 1 – Seismic, Safety, and Privacy Upgrades Project (C11202433); and WHEREAS, the Project was advertised on October 31, 2025 and eleven (11) bids were received and opened on December 11, 2025 in accordance with applicable law; and WHEREAS, Midstate Construction Corporation submitted the lowest responsive and responsible base bid for the Project in the amount of $5,850,000; and WHERAS, City staff has confirmed that Midstate Construction Corporation satisfies all bidding requirements for the Project and possesses a valid California Contractor’s License, Class B, No. 89455, qualifying them to perform the required work; and WHEREAS, no protests to the bid were received, and the deadline to file a protest has lapsed; and WHEREAS, the bid documents included unit-priced bid alternates intended to address potential unforeseen conditions that may be encountered during construction of the historic facility; and WHEREAS, approval of unit-priced bid alternates allows the City to address unforeseen conditions efficiently, if necessary, without delaying construction to negotiate pricing, and does not assume that the associated work will be required or obligate the City to use such bid alternates; and WHEREAS, award of the construction contract based on the base bid, together with approval of one unit of each unit-priced bid alternate, does not, by itself, authorize expenditures beyond the amounts appropriated for the Project; and WHEREAS, he City Council previously approved a total project budget of $7,103,000 for the Project, and a revised total project budget of $8,784,000 is being brought forward concurrently with this action and, ultimately, as part of the City’s Mid-Year Budget Adjustments; and WHEREAS, the project is categorically exempt from the California Environmental Quality Act (“CEQA”) pursuant to CEQA Guidelines Section 15301 (Existing Facilities) and Section 15331 (Historical Resource Restoration/Rehabilitation), because the project involves minor alterations to existing private structures and limited repair, restoration, preservation, and reconstruction of historical resources in a manner consistent with the Secretary of the Interior’s Standards for the Treatment of Historic Properties; and WHEREAS, a Historic Site Plan and Architectural Review (HSPAR) permit for the Project was issued on July 9, 2025, and a Notice of Exemption was filed with the County of Sonoma on July 17, 2025; and WHEREAS, the statute of limitations for legal challenge under CEQA has expired, and therefore no further environmental review is required; and Docusign Envelope ID: 769DA883-DA71-4C0F-8237-35F34D1E54D8 Resolution No. 2026-010 N.C.S. Page 2 of 2 WHEREAS, award of the construction contract based on the base bid does not, by itself, authorize expenditures beyond the amounts appropriated for the Project. NOW, THEREFORE, BE IT RESOLVED, by the City Council of the City of Petaluma as follows: 1. Finds the above recitals to be true and correct and incorporates them as findings of this Resolution. 2. Finds that the Project is categorically exempt from CEQA pursuant to CEQA Guidelines Sections 15301(c) and 15331(c), a Notice of Exemption has been filed, the statute of limitations has expired, and that no further environmental review is required. 3. Finds that the bid submitted by Midstate Construction Corporation is the lowest responsive bid, and that Midstate Construction Corporation is the lowest responsible bidder for the Project. 4. Awards the construction contract for the Fire Station 1 – Seismic, Safety, and Privacy Upgrades Project (C11202433) to Midstate Construction Corporation based on the lowest responsive and responsible base bid in the amount of $5,850,000, and approves one unit of each unit -priced bid alternate in the total amount of $45,000, for a total initial contract award amount of $5,895,000, subject to timely execution of the contract and submission of all required documents, including bonds, insurance certificates, an d endorsements, in accordance with the bid documents. 5. Approves the unit-priced bid alternates included in the bid documents for potential use if necessary. Approval of the unit-priced bid alternates does not obligate the City to use them and does not authorize expenditures beyond the amounts appropriated for the Project, including approved contingency. 6. Award of the construction contract is consistent with the revised Project budget being considered through the City’s Mid-Year Budget Adjustments. Any use of unit-priced bid alternates shall be subject to available appropriations and administered within the approved Project budget 7. Directs staff to issue a Notice of Award to Midstate Construction Corporation. 8. Authorizes and directs the City Manager to execute the project contract on behalf of the City of Petaluma upon timely submission by Midstate Construction Corporation of all required documentation in accordance with the bid specifications. Under the power and authority conferred upon this Council by the Charter of said City.
